Baker Donelson Shareholder Thrives in Pressure-Packed Legal Profession
When attorney Mark A. B. Carlson thought about being a lawyer, the thing that excited him was going to law school.

After graduating from Dartmouth College in New Hampshire in 1992, Carlson fulfilled that desire, by attending Harvard University Law School, from which he graduated cum laude in 1995. He went on to work for several firms and companies in California before coming to Memphis in 2004 to work for Baker, Donelson, Bearman, Caldwell & Berkowitz PC, where he focuses his practice in securities, mergers and acquisitions and general business transactions.

Earlier this year, Carlson became one of five attorneys who were named shareholders in the Memphis office of Baker Donelson. He joined John B. Burns, Leigh M. Chiles, Angie C. Davis and Clinton J. Simpson in the distinction.

Firm Represents Simcere Pharmaceutical Group in its IPO on the New York Stock Exchange
The Hong Kong office of the Firm represented Simcere Pharmaceutical Group, a leading manufacturer and supplier of branded generic pharmaceuticals in the fast growing China market, in connection with its initial public offering on the New York Stock Exchange of 15,625,000 American Depositary Shares, raising approximately US$260.5 million. The transaction is the largest IPO of a pharmaceutical company out of China. The global bookrunner for the offering was Goldman Sachs.

The Simpson Thacher team for the transaction included Leiming Chen, Shuang Zhao and David Lee (Corporate) and Rob Holo (Tax).

Kaye Scholer Represents Three of ABA's Significant Pro Bono Death Penalty Victories
Three Kaye Scholer pro bono death penalty victories were cited by the American Bar Association's Death Penalty Representation Project as significant pro bono successes. Kaye Scholer is a recognized leader in defense work for death penalty cases and has a long history of representing indigent death row inmates who were sentenced under circumstances in violation of their constitutional rights.

The American Bar Association created the Death Penalty Representation Project in 1986 with the goals to better inform the bar and the public about the lack of representation available to death row inmates, to address this urgent need by recruiting competent, volunteer attorneys and to offer counsel training and assistance. The Project also works for systemic changes that would assure those facing death are represented at all stages of the proceedings —from trial through clemency— by qualified, adequately compensated counsel.

The three Kaye Scholer pro bono successes on the list are:

In 2006, Virginia halted the execution of a severely mentally impaired man. The Governor granted a reprieve of 18 months for further evaluation of the individual's condition. The stay was granted in response to a clemency petition filed by Kaye Scholer.

Also in 2006, Kaye Scholer convinced a federal court in Alabama that our pro bono client was entitled to a new sentencing hearing or to have his death sentence vacated by the State of Alabama. The court concluded that our client received ineffective assistance of counsel when his trial counsel failed to investigate and present evidence at sentencing regarding his mental retardation.

In 2005, the Sixth Circuit Court of Appeals overturned an inmate's death sentence and conviction for aggravated felony murder. Kaye Scholer filed an amicus brief on behalf of the UK government in support of the client's successful 6th Circuit appeal.

JEANNINE YOO SANO TO JOIN HOWREY IN EAST PALO ALTO
"Howrey LLP has announced that Jeannine Yoo Sano, formerly Co-Chair of the IP Litigation Practice Group at Dewey Ballantine and Managing Partner of that firm’s East Palo Alto office, will join Howrey’s East Palo Alto office, May 1st.

In making the announcement, Henry Bunsow, Howrey Managing Partner for Northern California said, “Jeannine brings strong IP litigation skills to Howrey. She is a proven successful trial lawyer and will be an asset to our firm and for our clients, as we continue to build Howrey’s Northern California presence”

Jeannine Sano’s practice focuses on patent infringement litigation covering a broad variety of industries and technologies including semiconductors, computer hardware and software, among others. She has appeared before various state and federal courts at both the trial and appellate levels and before the United States International Trade Commission (ITC) in Section 337 cases. Howrey has one of the nation’s foremost Section 337 and patent litigation practices, to which Jeannine Sano will bring substantial additional cachet.

Jeannine received her JD from University of California, Hastings College of Law and her A.B. with Honors in Human Biology from Stanford University. She has been selected as a Northern California Super Lawyer for the last several consecutive years and has recently been named one of The Daily Journal's Top Women Litigators for 2007, as well as being recognized as a leader in Intellectual Property by Chambers USA in its upcoming 2007 edition."

Nina Miglionico “Paving The Way” Award Recipient M. Ann Huckstep Honored - Women Lawyers Section of the Birmingham Bar Association To Hold Ceremony
"The Women Lawyers Section of the Birmingham Bar Association is pleased to announce that M. Ann Huckstep, chair of the Executive Committee of the law firm of Adams and Reese LLP, has been selected as the recipient of the prestigious Nina Miglionico “Paving The Way” Leadership Award. Huckstep will be honored at a ceremony on April 26, 2007 at 5:00 p.m. at the Concord Center in downtown Birmingham.

According to Ashley H. Hattaway, Chair of the Women Lawyers Section, “The Nina Miglionico ‘Paving The Way’ Leadership Award was established by the Women Lawyers Section to recognize and honor lawyers who have actively paved the way to success and advancement for women lawyers. Our recipient this year, Ann Huckstep, has served as an inspiration to others and has paved the way for the advancement and status of other women lawyers.”

The “Paving The Way” Leadership Award, exemplifies Nina Miglionico’s (Miss Nina) life and her devotion to the public good, as one of the state’s first women lawyers to engage in private practice in 1936, and as an altruistic supporter of her church, community, and nation throughout her decades of service.

Hattaway continues, “Ann exemplifies the purpose and meaning of the Nina Miglionico “Paving the Way” Award. Despite devoting countless hours to her clients and her thriving legal practice, Ann is active in numerous civic and community groups and has held leadership roles in most of them.”

Chair-elect of the Women Lawyers Section, Leatha Gilbert, adds, “It is our intent that recipients of this award, like Ann, have achieved professional excellence, assisted women lawyers through mentoring, inspired women lawyers as a professional role model, and provided opportunities for the advancement of women lawyers.”

Huckstep joins last year’s Nina Miglionico recipient, Judge Inge Prytz Johnson, in personifying the true meaning of “Paving The Way.”

Anthony A. Joseph, President of the Birmingham Bar Association notes, “Ann has excelled throughout her career due to hard work, determination, and dedication. Her profession has been marked by great accomplishments and numerous ‘female firsts.’ Her passion for the practice of law and her community activism serves as an inspiration to us all.”

Huckstep responds, “It is truly a privilege to join last year’s recipient, Judge Inge Prytz Johnson. I am humbled to accept an award in honor of Nina Miglionico. As ‘Miss Nina’ once said, Isn’t the more important thing the people who follow you? It is great to be first, to be ‘one,’ but it is the two and three and four that come after you that is the telling thing.”

Huckstep continues, “My goal has never been to be the first female to achieve a particular accomplishment. My goal has always been to commit myself 100 percent to the task at hand and to accept nothing less than the very best for my clients, my firm, and my community.”

Huckstep’s career has been marked by many impressive achievements.

Huckstep is one of the top health care attorneys in the Southeast region. She is the first female to chair the Executive Committee of her firm, Adams and Reese LLP, one of the fastest growing law firms in the South Central United States. She was also the first female elected to serve on the Executive Committee of Lange, Simpson, Robinson & Somerville, one of Alabama’s oldest law firms that merged with Adams and Reese in 2003. In addition to becoming the first female chair, Huckstep was also the first female to chair a top ten law firm in the entire state of Alabama. It was under her leadership that the successful Lange Simpson merger with Adams and Reese took flight.

As a top health care attorney, Huckstep has been recognized by “Best Lawyers in America®” for Health Care Law for many years. She represents a number of health care providers, including hospitals, medical service companies and physicians. She serves as an advisor on a broad range of matters, including compliance, accreditation, business transactions and corporate matters. She is well-known for her extensive experience with Certificate of Need Law. In additional to health care law, Huckstep also practices in the areas of employee benefits and ERISA, mergers and acquisitions and general corporate law.

Active in numerous civic and community groups, Huckstep has held many leadership roles. Among her many other “female firsts,” she became the first female to chair the Board of Trustees for Christ United Methodist in Birmingham. She was the first female to serve on the Board of Directors of the Birmingham Rotary Club in 1992. One year later, she served as Chair of the Board of Management of the Downtown Birmingham YMCA. Presently, Huckstep serves as a Vice Chairman of the Birmingham Regional Chamber, a member of its Executive Committee, as well as its legal counsel. She is on the Board of Directors of the United Way of Central Alabama, and on the Board of the Birmingham Rotary Club where she serves as Sergeant at Arms. She is also a current Board Member of the Birmingham YMCA.

Over the years, Huckstep has received many awards including being named one of only ten “Top Birmingham Women” for 2005 and “Who’s Who in Health Care” for 2007 by the Birmingham Business Journal. These honors were bestowed upon her for the many contributions she has made to the legal profession and to the community.

O’MELVENY & MYERS REPRESENTS SOLIDCORE SYSTEMS IN $10 MILLION SERIES D FINANCING
O'Melveny & Myers LLP represented Solidcore Systems, a provider of change control for critical systems, in its $10 million Series D financing. The financing was led by new investor JAFCO Ventures, and including repeat investors Menlo Ventures, Matrix Partners, and Sevin Rosen Funds.
