Baker & McKenzie Advises Air Liquide on the Acquisition of Lurgi AG
Baker & McKenzie has advised Air Liquide S.A., Paris, a producer and supplier of industrial and medical gases and related services, on the acquisition of Lurgi AG, Frankfurt. Air Liquide acquired all shares of Lurgi AG from GEA Group AG for EUR 550 million.

Lurgi, a subsidiary of GEA Group, is a technology company operating in the field of process engineering and plant contracting. The sale took place in the course of a bidding process during which GEA Group disposed of all activities in the field of plant engineering.

Terri Gardner Receives NCACPA’s Outstanding Chapter Speaker Award
Terri L. Gardner, an attorney in Poyner & Spruill’s Raleigh office, was recently selected as a 2006-2007 recipient of NCACPA’s Outstanding Chapter Speaker Award. The North Carolina Association of CPAs recognized Gardner for providing exemplary continuing professional education for their members in the past year. “We sincerely appreciate the hard work and talent you have contributed to professional development in our state,” said Sharon H. Bryson, Chief Operating Officer of NCACPA.

Terri is certified as a bankruptcy specialist by the North Carolina State Bar Board of Legal Specialization and the American Board of Certification. Her practice is primarily devoted to “out of court” workouts or chapter 11 filings for companies and individuals with complex financial issues. She also represents creditors committees, and secured and unsecured creditors in insolvency proceedings. Earlier this year she was recognized as one of the Top 50 Women Attorneys in North Carolina, and in Business North Carolina Magazine, she was chosen the top bankruptcy attorney in North Carolina

Terri received both her undergraduate and law degrees from Wake Forest University.

MILES & STOCKBRIDGE TO SPONSOR FREDERICK INNOVATIVE TECHNOLOGY CENTER, INC.
The law firm Miles & Stockbridge P.C. announced today that it will sponsor the Frederick Innovative Technology Center, Inc. (FITCI) and its work to nurture the development of entrepreneurial biotech and information technology companies in Frederick County.

The law firm’s gift will allow FITCI to purchase additional scientific equipment for its laboratories, which are shared by 22 start-up company clients.

“Miles & Stockbridge has been ‘wowed’ by FITCI’s accomplishments during the last two years,” said John Frisch, chairman of Miles & Stockbridge. “They are creating jobs, helping start-ups survive and grow, and enhancing the overall entrepreneurial climate in Frederick County. As a business entrenched in the Frederick community and our state’s biotech business, we are thrilled to help FITCI carry this momentum forward.”

The law firm also will sponsor the FITCI Entrepreneurial Lecture Series next fall, an eight-week session addressing topics relevant to start-up businesses, including access to funding, intellectual property, human resources management, and sales and marketing.

Levenfeld Pearlstein Represents Waterton Associates in Purchase of Presidential Towers in Chicago’s West Loop
Levenfeld Pearlstein LLC is pleased to have served as legal counsel to Waterton Associates LLC, a Chicago-based real estate investment and advisory firm, and its affiliates, on their recent acquisition of Presidential Towers. The acquisition is believed to be one of the largest single-property real estate transactions in Chicago history. The property consists of four 50-story towers covering nearly six acres, and contains 2,346 apartments, a five-story parking garage and more than 100,000 square feet of commercial space. The transaction involved a large senior debt facility furnished by Bank of America.

David B. Berzon and Brian Kozminski, the former and current chairs of Levenfeld Pearlstein’s Real Estate & Finance Practice Group, acted as lead counsel on the deal. Additional members of the firm’s legal team that were involved in the transaction included partner Jason P. Neumark, who led the finance team on the Bank of America deal; partner Peter F. Donati, who handled employment matters associated with the transaction; partner Michael J. Tuchman, who presided over tax matters and structuring; and of counsel Gabriel J. Minc, who handled ERISA issues.

“We are very pleased to have assisted Waterton in the acquisition of this significant piece of Chicago real estate,” said Mr. Berzon. “We were honored to be selected as part of the team to handle this landmark deal.

Jackson Lewis Increases Richmond Presence: Employment law team reunited as Joseph D. McCluskey joins David E. Nagle
Jackson Lewis LLP, one of the nation’s leading workplace law firms, announced today that Joseph D. McCluskey has joined the firm’s Richmond, Va. office as Of Counsel. McCluskey will work with David E. Nagle, resident partner of the Richmond office.

“Joe is a dedicated practitioner with over 20 years of experience in management-side labor and employment law,” says Nagle. “Before coming to Jackson Lewis, Joe and I worked side-by-side for nearly a decade and it’s great to have our team back together.”

In his position as Of Counsel, McCluskey will practice and advise clients concerning complex labor and employment issues relating to compliance with equal employment, disability, leave and wage and hour laws, reorganization/ downsizing, union and non-union disputes and many other labor law matters. In addition, McCluskey will counsel employers trying to avoid litigation as well as represent clients being sued for discrimination, tort, and whistleblower claims and prosecute claims of employers for violations of non-compete and confidentiality agreements.

“I’m pleased to be a part of a firm with such an influential reputation in the field of employment and labor law,” says McCluskey. “I was most attracted to Jackson Lewis’s stature, resources, and commitment to its clients.”

Prior to joining Jackson Lewis, McCluskey was a partner with Leclair Ryan, where he worked for almost a decade alongside Nagle and was responsible for all areas of management-side employment and labor law. Prior to Leclair Ryan, McCluskey was with Dominion Virginia Power where he represented the unionized company regarding all matters relating to employment and labor law; he was an associate with Hunton & William’s Labor and Employment Team, where he counseled clients and litigated cases in state and federal courts; and from 1991-97, he was an Assistant Professor teaching Employment Law at his alma mater, the University of Richmond.

McCluskey is a graduate of the University of Richmond (J.D., cum laude, 1984; B.A.S., 1981) and has been a member of the Virginia Bar Association since 1984. His bar admissions include the United States Supreme Court, the U.S. Court of Appeals for the Fourth Circuit, the U.S. District Courts in Virginia, and the Virginia Supreme Court.
