Prominent Hedge Fund Lawyer Timothy M. Clark Joins Proskauer Rose as Partner
Hedge fund and private equity lawyer Timothy M. Clark has joined the New York office of Proskauer Rose LLP as a partner, continuing the expansion of the firm's significant private investment funds practice.

Mr. Clark has extensive experience representing a range of investment firms, in particular hedge funds, in connection with fund formation, complex transactions and regulatory issues.

"Proskauer has developed one of the largest, broadest and most sophisticated private investment fund practices, with more than 125 lawyers working on private equity and hedge fund formation," said Ronald R. Papa, partner and chair of Proskauer's Corporate Department. "Timothy offers outstanding experience working with hedge funds, private equity firms and venture capitalists and makes an excellent addition to our Hedge Fund and Private Investment Funds practices."

"Particularly today, with the financial markets in flux, investment firms are looking for counsel from seasoned advisors who have experienced various economic cycles and can provide the insight to help firms chart a successful course forward," added Christopher Wells, head of Proskauer's Hedge Fund Practice. "Timothy's expertise is an ideal complement to our deep bench of talent and we are delighted to have him join our team."

Mr. Clark earned his law degree from New York University Law School.

He is the latest addition to Proskauer's firm-wide private investment funds, corporate and transactional capabilities. The firm has also announced plans to open a London office led by Matthew Hudson, the former head of O'Melveny & Myers' European Corporate and Private Equity practices. Proskauer also recently announced that noted private equity fund formation, transaction and taxation lawyers Daniel Schmidt and Olivier Dumas joined its Paris office as partners and that it has established an office in São Paulo, Brazil, with lawyers representing corporate and banking clients in debt and equity offerings, mergers and acquisitions, and bank finance, among other matters. In addition, Trevor Chaplick, a noted corporate and transactional lawyer and former head of the Washington, D.C. office of Wilson Sonsini, joined the firm as co-head of its Washington, D.C. office, and veteran real estate finance lawyers Louis Eatman, Douglas Frank and Andrea Ascher and capital markets lawyer Stuart Bressman have joined the firm as partners.

Walberg Heading to South Africa with Habitat for Humanity®
Eric L. Walberg, an attorney with Jones, Skelton & Hochuli, P.L.C., will be traveling to South Africa with Habitat for Humanity® to provide construction assistance to a new orphan support program which has been setup to care for and support local children whose parents have died from HIV/AIDS.

The program, which is being sponsored by Habitat for Humanity®, Christ Church Lutheran (Phoenix), Thrivent Financial for Lutherans®, and Shongweni Lutheran Church of South Africa, will construct 15 homes for orphans and vulnerable children during the 2007 calendar year. Walberg, who practices in the areas of civil and commercial litigation, corporate and transactional law, and municipal liability, will join other volunteers in Ntshongweni, South Africa from October 26 to November 5.

Former FDA Lawyer Joins Pharmaceutical and Biotech Practice in Washington, D.C.
Hogan & Hartson LLP announced today that Mike Druckman has joined the firm’s Washington, D.C. office as a partner. Druckman will be a member of the pharmaceutical and biotechnology practice group, which is part of the firm’s food, drug, medical device, and agriculture practice. At Hogan & Hartson, he will be joining nine other former lawyers from the Food and Drug Administration's Office of the Chief Counsel (OCC) who are collectively part of the broader practice.

For the past six years, Druckman has been a member of the FDA’s Office of the Chief Counsel (OCC), first as an associate chief counsel for enforcement, and then as an associate chief counsel for biologics. He served as a principal advisor to the FDA’s Center for Biologics Evaluation and Research (CBER) on legal and regulatory issues. Druckman also served as co-team leader for the OCC’s Biologics Team and as a member of the Pandemic Flu and Disclosure Teams.

Prior to joining the OCC, Druckman was a litigation partner at Patton Boggs LLP, where he focused his practice on complex civil litigation and white collar criminal defense.

Druckman will focus his practice on all aspects of U.S. Food and Drug Administration (FDA) product approval pathways; enforcement and compliance; and advertising and promotion. In addition to broad counseling and litigation experience in those areas, he also has particular experience with vaccines, counterterrorism products and public health crisis preparedness, post-approval safety, blood components and derivatives, Prescription Drug User Fee Act (PDUFA) issues, protection of trade secrets and confidential information, and investigational product and clinical trial issues. As part of the pharmaceutical and biotechnology practice group, Druckman will be joining seven partners and 11 counsel and associates dedicated to pharmaceutical and biotechnology issues.

Druckman received his law degree from the University of Pennsylvania Law School and his bachelor’s degree from Harvard College. Following law school, he served as a law clerk to The Honorable John H. Pratt of the U.S. District Court for the District of Columbia.

Mediatek to Acquire Analog Devices Cellular Handset Radio and Baseband Chipset Operations
Davis Polk & Wardwell is advising MediaTek, Inc. on its acquisition of the assets related to the Analog Devices, Inc. Othello® radio and SoftFone® baseband chipset product lines, as well as certain cellular handset baseband support operations. Based in Taiwan, MediaTek is a leading fabless semiconductor company for wireless communications and digital media solutions. Analog Devices is a Massachusetts-based leader in data conversion and signal conditioning technology.

Under the terms of the acquisition, MediaTek will acquire the operations for approximately $350 million in cash. The boards of directors of both companies have approved the transaction, which is expected to close near the end of 2007, following the satisfaction of regulatory requirements and other customary closing conditions.

The Davis Polk corporate team includes partner Alan F. Denenberg and associates Sam Kelso and Matthew E. King, all of the Menlo Park office. Partner Rachel D. Kleinberg of the Menlo Park office is providing tax advice. The intellectual property team includes partner Steven S. Weiner and associate Vishnu Reddy, both of the Menlo Park office, and associate Stefan Quick (not yet admitted) of the New York office. Counsel Cynthia Akard of the Menlo Park office is providing employment advice.

Weil, Gotshal Closes Citigroup's $660 Million Financing for Barney's Acquisition Despite Roil in Credit Markets
Weil, Gotshal & Manges LLP today closed a $660 million financing for the acquisition of Barney's by U.A.E. government-owned investment group Istithmar on behalf of its client Citigroup. Total value of the deal, which marked one of the first major acquisition-related financings completed since the August credit market constriction, was $942 million.

Involved in the transaction were attorneys from Weil Gotshal's US and European offices including partners Dan Dokos, Douglas Urquhart and Elaine Stangland in banking & finance; Matthew Bloch in capital markets; and Jeffrey Osterman in intellectual property; counsel Erika Weinberg; and associates Mona Al-Sharmani, Jean-Christophe David, Chrystal Dyer-Laroche, Elizabeth Martialay, Hoyoon Nam, Barbara Vining and Jesse Zigmund.
