Freshfields grows its China finance practice
Freshfields Bruckhaus Deringer is pleased to announce the following changes to its China finance team:

· Bruce Cooper joins from the Singapore office;

· Yeelong Tan joins from the Singapore office;

· Paul Ng has been appointed partner, effective today.

PROFILES

Bruce Cooper is an experienced finance professional, having practised in Asia (including Singapore and Hong Kong) for over 14 years. He is known regionally not only for his project and infrastructure work but also for his banking and structured finance expertise.

Yeelong Tan has extensive finance experience ranging from general debt and asset financing to infrastructure projects development and project financing, acting for lenders and sponsors. Her recent practice has also included corporate finance and mergers and acquisitions. She has practised in Asia for over twenty years and is fluent in Mandarin and Cantonese.

Paul Ng is a senior member of the finance team with a specific focus on the banking and leasing sector in China and also the asset finance and transportation sector in Asia generally. Paul is also an aircraft and rail specialist with extensive experience in advising finance and operating lessors, lenders and lessees on related technical and financing matters including tax leases and export credit loans. Paul is fluent in English and Mandarin.

Jacksonville Office One of the Best Places to Work in Northeast Florida
The Jacksonville office of Ford & Harrison LLP, a national labor and employment law firm, took second place in the small business category of this year’s Jacksonville Business Journal rankings of the “Best Places to Work” in Northeast Florida.

This marked a steady improvement for the office, which came in third place last year and was just four tenths of a point behind this year’s winner.

Peter Corbin, managing partner of the Jacksonville office, expressed his satisfaction that Ford & Harrison’s employment procedures were yielding such positive results, “Employment law is our business and we know that successful labor and employment practices lead to a constructive work environment.”

This is the second year that the Jacksonville Business Journal has compiled a list of the “Best Places to Work” in Northeast Florida. The rankings are divided into three categories based upon the number of employees in the local office. In order to qualify for participation, each business must be nominated by an employee and a minimum number of employees – depending upon the size of the company- must participate in the survey. In addition to its strong showing overall, the Jacksonville office also boasted 100 percent employee participation.

Ford & Harrison’s Arnold Perl Honored by Government of Japan
MEMPHIS- The Government of Japan officially announced on April 28 that distinguished attorney Arnold Perl has been honored with the Order of the Rising Sun, Gold Rays with Rosette, in recognition of his contributions to the U.S.-Japan relationship in Tennessee.

The conferment of the decoration is a privilege of His Majesty the Emperor of Japan.

The prestigious title recognizes individuals who have made significant contributions to Japan’s ties with foreign nations. Mr. Perl was recognized primarily for his work in co-founding the Japan-Tennessee Society and in organizing and chairing the Japan-America Society of Tennessee.

Mr. Masaru Sakato, Consul General of Japan in New Orleans, conveyed to Mr. Perl these congratulatory words of His Excellency Mr. Taro Aso, Minister of Foreign Affairs of Japan:

“Please accept my sincerest congratulations upon the conferment of the Order of the Rising Sun, Gold Rays with Rosette, in recognition of your outstanding contribution, and my best wishes for your continued good health and happiness.”

Mr. Perl has worked diligently to foster economic ties between business leaders in Tennessee and Japan. He wrote the forward to the book “Managing with Respect,” which was published in Japan, and is also the co-author of the widely acclaimed leadership book, “Simple Solutions: Harness the Power of Passion and Simplicity to Get Results.”

Mr. Perl is active in the Memphis professional, civic and religious communities. He is chairman of the Memphis-Shelby County Airport Authority, secretary and counsel of the Memphis Regional Chamber of Commerce and president of Temple Israel.

Mr. Perl founded the former law firm of Young & Perl, PLC, which enjoyed a national practice in labor and employment law. He is currently a partner in the law firm of Ford & Harrison LLP, a national labor and employment law firm with 18 branch offices in the U.S.

Consul General Sakato will present the award to Mr. Perl at a formal ceremony in Memphis, the date of which will be announced.

Fenwick & West Represents Tellme Networks in Acquisition by Microsoft
Fenwick & West LLP represented Mountain View, CA-based Tellme Networks, Inc. in its acquisition by Microsoft Corporation (NASDAQ: MSFT). The deal was initially announced in March 2007 and closed on April 30, 2007. By combining Internet data and a voice interface, Tellme improves how people and businesses use the phone. The acquisition will help Microsoft bring the power of voice technology to everyday life.

Financial terms of the transaction were not disclosed. Information about the transaction can be obtained from the Microsoft Web site.

The Fenwick & West transaction team included corporate attorneys Gordy Davidson, Sayre Stevick, Greg Roussel, Melissa Trousdale, Guy Ladetzky, Kee Bong Kim, and Shannon O'Sullivan; executive compensation and employee benefits attorneys Scott Spector, Elizabeth Gartland and Mona Clee; technology transactions attorneys Lisa Kenkel and Ben Longoria; and tax attorneys Ron Schrotenboer and Timothy Fitzgibbon.

Former SEC Senior Counsel Daphne Tippens Chisolm Joins Dechert LLP
Dechert LLP announced today that Daphne Tippens Chisolm has joined the firm as counsel in its financial services practice. She is based in the firm's Charlotte office.

Chisolm was senior counsel, Office of Chief Counsel, Division of Investment Management at the United States Securities and Exchange Commission (SEC) for two years. At the SEC, her duties included reviewing and analyzing requests for interpretive and no-action relief under the Investment Company Act of 1940 and the Investment Advisers Act of 1940. She also drafted opinions, memoranda, and letters concerning matters arising under the federal securities laws and was responsible for responses to public inquiries regarding matters arising under the federal securities laws. Chisolm joined the SEC in 1999 and spent over three years in the Office of Chief Counsel before assuming the role of Counsel in the Commissioner's Office, Harvey J. Goldschmid. She returned to the Division of Investment Management as senior counsel in 2005.

"Daphne has tremendous expertise from her years at the SEC and will be a great asset to the group," said Joseph R. Fleming, co-chair of the Dechert's financial services group. "She is an extremely talented lawyer and we are proud to add Daphne to our team."

Prior to joining the SEC, Chisolm spent five years in private practice, including two with Dechert in the firm's Washington, D.C., office.

Partner Profiled in 'Securities Law360'
DC Partner Therese Pritchard was the first woman in her family to graduate from college. She then followed in her father’s footsteps and went on to law school. Later, working in the Division of Enforcement of the Securities and Exchange Commission, she was smart enough and lucky enough to be at the center of things when the Wall Street scandals of the 1980s made headlines. Pritchard’s path from college to the SEC to Bryan Cave is chronicled in a recent Securities Law360 article, “Outstanding Women: Therese Pritchard.”

“I’m not a shrinking violet type,” she told the publication. “I was kind of a pushy broad. I had the demeanor that didn’t necessarily win friends but made me a good lawyer and helped me get to where I am.”

Pritchard was with the Division of Enforcement of the Securities and Exchange Commission from 1982 to 1991. She served as an assistant director from 1986 on, handling many of its most notable Wall Street cases.

Pritchard joined Bryan Cave in 1999. She concentrates her practice on securities and financial institutions enforcement and litigation, representing major public companies, banks, broker-dealers and individuals under investigation by the SEC, the NYSE, the NASD and the federal banking agencies. Chair of the Securities Enforcement Subcommittee of the American Bar Association’s Business Law Section, Pritchard is a frequent speaker on securities law and enforcement matters at continuing legal education programs.

Payment Systems Events Include BC Partners
Two recent seminars on payment systems and today’s regulatory environment included key help from Bryan Cave LLP attorneys.

New York Partner Judith Rinearson addressed the current state of payments law April 27 at a national symposium held at the Federal Reserve Bank of New York. Rinearson was part of the day’s opening panel, which explored payment methods such as stored-value-card products and PayPal.

The symposium was designed for lawyers with a background in payments law who represent financial institutions, payments networks, payments solution providers and major users of payments systems, including business users and consumers. Bank regulators, finance professionals, academics and legislative staff also attended.

In addition, Rinearson co-chaired the American Conference Institute’s 3rd National Forum on Payment Systems, April 30-May 1 at The Flatotel in New York. This is the third year she has co-chaired the event, which focuses on mitigating the legal and operational risks of various payment systems. Rinearson and a faculty of leading payments professionals and key federal and state regulators discussed the steps needed to ensure that compliance programs are up to speed with the latest laws.

Rinearson opened the event with co-chair Russell Schrader, assistant general counsel of Visa U.S.A., on April 30. Later, she participated in a panel discussion on ensuring compliance with recent developments related to Regulation E, addressing issues such as the new payroll card disclosures and ACH stop payments.

Also at the same National Forum on Payment Systems, New York Partner Christine Cesare discussed litigation strategies and recent cases that may impact payment practices. Her presentation focused on the Simon Mall litigation, the recent Cole decision on pre-screened credit offers and the credit card Interchange litigation. She also commented on the new e-discovery rules and the latest litigation strategies and techniques for defending cases.

Each year, the National Forum on Payment Systems brings together payment systems and financial services executives, compliance officers, chief administrative officers, payment operations managers, privacy officers, information security officers and regulatory affairs officers. A number of private practice attorneys also attend.

Rinearson is a recognized authority in the areas of payment systems, electronic payments, stored value, travelers checks and check processing. She has more than 18 years of experience in the financial services industry, particularly in the areas of non-bank money services and payment products. Rinearson formerly was group counsel for the American Express Global Travelers Cheque and Prepaid Service Group for more than 10 years. With her guidance, American Express launched a range of stored value cards and products, including phone cards, gift cards, mall cards and expense management cards. Her experience also encompasses smart cards, “virtual” and RFID (radio frequency ID) products. Rinearson is a frequent lecturer on stored value regulation and has published numerous articles.

Cesare is a member of the firm’s Executive Committee. She is a litigator with a practice focus on complex commercial litigation. Her experience includes trial, appellate and arbitration proceedings. In the area of complex banking and business litigation, she has represented financial institutions in actions involving claims of breach of contract, fraud, lender liability, negligence, indemnification and unjust enrichment as well as claims under various state and federal statutes, including consumer statutes. Her litigation experience also includes defending claims in the context of class actions. In the course of representing financial institutions issuing prepaid cards, she has been involved in litigation matters challenging the issuance of such cards. She also has represented financial institutions acting as corporate trustees, and has commenced litigation to enforce the rights of bond holders. In addition, Cesare has experience defending corporate trustees in actions involving claims for breach of contract, negligence, indemnification, constructive trust and breach of fiduciary duty.
