Greenberg Traurig, LLP Launches Climate Change Task Force
The international law firm Greenberg Traurig, LLP is pleased to announce the formation of its Climate Change Task Force. Formed by the firm as part of the Energy Group, the Climate Change Task Force is a multidisciplinary practice group designed to coordinate the various practice areas applicable to greenhouse gas emissions, carbon credit trading, alternative fuel sources, sustainable development and other climate change-related practices.

The growing task force draws from the experience of approximately 65 members across nearly every practice area and geographic location within Greenberg Traurig, thus highlighting the group's intent to focus the firm's efforts on addressing climate change issues on an integrated, firm-wide and international basis.

The task force represents clients from an array of industries in connection with the increasingly complex climate change issues associated with energy, industrial and natural resource projects. Members of the task force bring together a wide range of relevant experience in development, acquisition, trade and financing; international, federal and state regulatory compliance and permitting issues; administrative agency and legislative advocacy; environmental permitting and compliance; tax and securities law; intellectual property; and litigation and dispute resolution. Many members of the task force have served as political appointees responsible for crafting air quality legislation.

For various reasons, a number of states and regional entities have begun to regulate greenhouse gas emissions. Greenberg Traurig’s Climate Change Task Force helps clients track and respond to the rapid developments in state laws and regulations, as well as the requirements of regional climate change schemes and evolving federal requirements and voluntary programs. Greenberg Traurig also tracks legislation and represents clients participating in international programs.

Simpson Thacher Represents the Initial Purchasers in Connection with SBA Communications Corporation’s $350 Million Convertible Senior Notes Offering
Simpson Thacher represented the initial purchasers in connection with SBA Communications Corporation’s Rule 144A offering of $350 million aggregate principal amount of 0.375% Convertible Senior Notes due 2010. Lehman Brothers Inc., Citigroup Global Markets Inc. and Deutsche Bank Securities Inc. acted as joint book-running managers for the offering. The offering closed on March 26, 2007.

SBA Communications Corporation is an independent owner and operator of wireless communications towers whose primary focus is the leasing of antenna space on their multi-tenant towers to a variety of wireless service providers under long-term lease contracts.

The Firm Represents JPMorgan in Exit Financing for Delta Air Lines Inc.
Simpson Thacher represents JPMorgan Chase Bank, N.A., J.P. Morgan Securities Inc. and the other Arrangers in connection with $2.5 billion in exit financing for Delta Air Lines Inc. in connection with its emergence from its Chapter 11 bankruptcy proceeding.

Dolan Family Group to Acquire 100% of Public Interest in Cablevision
Cablevision Systems Corporation (NYSE: CVC) announced today that it has entered into a definitive merger agreement with an entity created by members of the Dolan Family Group, pursuant to which all outstanding shares of Cablevision that the Dolan Family Group does not already own will be converted into a right to receive $36.26 a share in cash. The transaction implies a total enterprise value of approximately $22 billion. Shearman & Sterling LLP represented Lead Arrangers Merrill Lynch, Bear, Stearns & Co. Inc., and Bank of America who have committed to provide approximately $15.5 billion in bank and bond debt financing to fund the merger consideration and refinance certain bank indebtedness of Cablevision. The company's existing notes and debentures will remain outstanding. The Dolan Family Group will contribute approximately $2.1 billion in equity to the transaction through reinvestment of its Cablevision shares in the new privately held company.

Kramer Levin Obtains Asylum For Sudanese Student Activist Who Fled Torture and Likely Execution
Erin Oshiro and Seema Saifee, with the supervision of Michael Sternhell and the assistance of Aaron Frankel and paralegal Marina Trad, have obtained asylum for a student activist from Darfur, Sudan. After our client issued a political statement condemning the Sudanese government’s genocide in Darfur, the special security forces of the Sudanese government arrested, detained, and tortured him for 17 days. Our client was released only after he was forced to sign a list of conditions requiring him to abandon his political beliefs and betray his tribe. Upon his release, our client fled his hometown and, after learning that security forces had detained his entire family, he fled to Egypt. During his two years in Egypt, our client continued to be arrested, detained, and beaten by Sudanese agents, and he eventually fled to the United States. Our client faced re-arrest, torture, and execution if returned to Sudan because of the prevalent persecution of known and suspected opponents of the government, and because of his membership in the Zaghawa tribe, an ethnic group that is systematically persecuted by the Sudanese government. After the Kramer Levin team made a substantial submission on country conditions in Egypt, the government stipulated that our client had not firmly resettled there. Immigration Judge Dorothy Harbeck agreed and granted asylum to our client after specifically finding his testimony to be credible. The case was referred by Human Rights First.
