198 Holland & Knight Lawyers Named Best Lawyers in America For 2008
Holland & Knight is pleased to announce that 198 lawyers representing 49 different practice areas have been named by their peers to the 2008 edition of The Best Lawyers in America. The firm leads the nation with the most attorneys listed in the categories of Bet-the-Company Litigation, Land Use & Zoning, Maritime Law, and Trusts and Estates.

Published since 1983, The Best Lawyers in America is widely regarded as the preeminent referral guide to the legal profession in the United States. The Best Lawyers lists are compiled through an exhaustive peer-review survey in which thousands of the top lawyers in the U.S. confidentially evaluate their professional peers.

The following lawyers were recognized in their respective practice areas. The notations of "10", "20" and "25" indicate how many years that individual has been included on the list.

Barnes & Thornburg LLP Named Finalist for Diversity Award
Barnes & Thornburg LLP has been named one of three finalists in the law firm category of the Diversity in Practice Awards, presented by The Indiana Lawyer and the Marion County Bar Association.

The awards are part of the upcoming Diversity in Practice conference slated for September 27 and 28 in Indianapolis, which will provide an educational experience for attorneys, human resource professionals and corporate counsel on the issue of diversity and the legal profession.

Barnes & Thornburg’s firmwide diversity committee helps shape the firm’s diversity program, which includes several key components. They include recruitment and retention, a professional and skills development program, and sponsorship of diversity-focused events. It also includes diversity sensitivity training, which the firm required all staff and attorneys to complete in recent months with a program provided by the Indianapolis Urban League.

In addition to the firm being named a finalist for the Diversity award, several of its attorneys were profiled in a Q&A article as part of the Diversity in Practice supplement that was distributed recently by The Indiana Lawyer and The Indianapolis Business Journal.

Harold Bickham, Alan Mills and Tony Prather of the Indianapolis office, as well as Dawn Rosemond of the firm’s Fort Wayne office, joined five other senior-level attorneys for a roundtable discussion conducted by The Indiana Lawyer to discuss the state of African-Americans in the practice of law. Panelists discussed several topics, including recruiting and retention, diversity committees, business development and other issues.

Foster Selected as Up and Coming Lawyer
Armstrong Teasdale is pleased to announce that Jovita Foster was selected as a 2007 Up and Coming Lawyer by Missouri Lawyers Weekly and profiled in the August 27 issue. Foster was chosen both for her contributions to the legal profession and the surrounding community.

Foster is a senior associate in the firm’s Litigation Department where she concentrates her practice in the areas of commercial and business litigation. She represents a wide variety of businesses in contract and consumer law disputes. Her practice also includes representing developers, property owners, and title companies in matters involving eminent domain, title disputes, and leasing matters.

Aside from her exceptional legal work, Foster has an enduring commitment to the St. Louis community as evidenced by her recent selection as a member of the Board of Directors for Junior Achievement of Mississippi Valley, Inc. She also devotes her time and resources to the United Way of Greater St. Louis. In regards to her professional affiliations, she is a member of The Missouri Bar and the Illinois State Bar Association; is a commissioner for the Missouri Credit Union Commission; is a member of the Commercial Real Estate Women “CREW” St. Louis; and has served as a Director and on the Executive Committee for the Missouri Organization of Defense Lawyers.

Paul Hastings Represents Applera Corporation in its $195 Million Acquisition of Berkeley HeartLab
Paul, Hastings, Janofsky & Walker LLP, a leading international law firm, announced today that the firm represented the Celera Group of Applera Corporation in its agreement to acquire Berkeley HeartLab Inc, a cardiovascular healthcare company. The deal is valued at approximately $195 million.

Under the agreement, California-based Berkeley Heartlab will operate as a business unit of Celera.

Mergers & acquisitions partner Deyan Spiridonov led the Paul Hastings team, which included associates Teri O’Brien and Tamara Sampsell. Healthcare partner James Owens advised Applera on regulatory matters for the acquisition.

Entrepreneurs Foundation Freedom Day Honors Lives Lost and Changed on September 11 Andrews Kurth Joins 40 Other Companies to Renovate and Rejuvenate the Brady Center in East
Andrews Kurth will participate in the Entrepreneurs Foundation of North Texas (EFNT) sixth annual Freedom Day, bringing together more than 300 EFNT stakeholders for a day of community service in honor of those whose lives were forever changed by the tragic events of September 11, 2001.

This year, EFNT, a fund of the Communities Foundation of Texas, is partnering with Catholic Charities of Dallas at the Brady Center, an East Dallas-based agency that provides social services ranging from health screenings and emergency aid to English as a Second Language classes and monthly supplemental food assistance to more than 5,000 people per year.

After gathering in the morning for a moment of reflection, Freedom Day volunteers will spend the rest of the day working on projects including painting, carpentry, cleaning, landscaping, organizing the thrift store and much more. In addition to work done on-site, some volunteers will be providing much-needed renovations in the homes of low-income senior citizens. The day concludes with a celebration service.

"Andrews Kurth is proud to sponsor and support Freedom Day. We know that volunteering is crucial to building stronger communities, and are honored to be a part of a day that remembers the lives lost and irrevocably changed by the tragedy of September 11," said Mark Solomon, Andrews Kurth Managing Partner of the Dallas Office.

Now in its sixth year, previous EFNT Freedom Days have been held in partnership with organizations including the Interfaith Housing Coalition, the Wilkinson Center, Community Homes for Adults Incorporated, Camp Summit, Junior Achievement and The Science Place. Executive Compensation and Benefits Practice Gains New Co-head at White & Case
White & Case LLP announced today the addition of lateral partner Andrew L. Oringer to its Executive Compensation and Benefits Practice. Oringer will join the New York office as co-head of the US Practice, along with partner Kenneth A. Raskin, making it among the most prominent practices in New York.

"As the Firm's mergers and acquisitions activity rapidly increases, I saw a need to continue to enhance our practice, especially in light of mounting issues and complexity related to employee and executive compensation and benefits, like options backdating and an almost total revamping of the fiduciary, deferred compensation and disclosure rules," said Raskin, head of the Firm's Global Executive Compensation, Benefits and Employment Law Practice. "Andy's background in fiduciary issues and benefits-related tax matters will bolster the practice's current strengths and help us to better serve our clients' evolving needs. His strong track record with corporate executives and boards, and private equity shops, will enable him to work directly with them in constructing compensation plans and programs that are tax and cost efficient, and which align the interests of the employee with those of the employer."

Oringer counsels clients regarding their employee benefit plans and programs and regarding fiduciary issues arising in connection with the investment of employee benefit plan assets. He has been involved in the structuring of numerous large investment funds that have been successfully marketed to employee benefits plans in the past several years, and also frequently counsels plan fiduciaries in connection with the making of plan investments. He has been instrumental in designing novel structures to address complex issues. He also advises clients on employee benefits and executive compensation aspects of corporate transactions and initial public offerings in which benefits and compensation issues have played a central part, including transactions involving large leveraged ESOPs. Oringer also represents employers and executives in the negotiation of executive employment and termination agreements.

"I am thrilled to join a New York-based firm with the global platform and vision to which White & Case has so fully committed itself, and especially look forward to working closely with Ken Raskin over the coming years," said Oringer.

Oringer, a frequent author and lecturer, is co-chair of the Employee Benefits Committee of the Tax Section of the New York State Bar and co-chair of the Fiduciary/Investments Subcommittee of the Employee Benefits Committee of the American Bar Association's Section of Taxation. Public-private Partnerships Pave the Way for US Infrastructure Repair
Recent catastrophic infrastructure break-downs such as the failure of New Orleans' levees during Hurricane Katrina, the steam pipe explosion in midtown Manhattan and collapse of the I-35 bridge in Minneapolis have underscored the critical need to repair the nation's decaying infrastructure.

With the nation's backlog of unmet infrastructure needs far outpacing available government resources, public-private partnerships offer one of the most effective approaches to bridge America's infrastructure gap, say White & Case lawyers who have worked on several of the nation's groundbreaking infrastructure privatization projects to date.

"Our economy is highly dependent on the country's infrastructure system. Last year marked the 50th anniversary of the US Interstate Highway System. This complex network of roads and bridges, and our entire transportation system, is in dire need of repair. Unfortunately, financing these repairs has been an extreme challenge for cash-strapped municipalities and other public entities," says White & Case project finance partner Ned Neaher. "Public-private partnerships are one solution and a gateway to a long-term development and maintenance plan for these assets."

For decades economists and transportation policy experts have urged private sector participation as a means to fund the nation's essential infrastructure needs, but only within the last few years have projects like the Chicago Skyway and the Indiana Toll Road, pioneering deals in which White & Case has been involved, been used to solve this problem.

In 2005, when the state of Indiana's major tolled highway, the East-West Toll Road, popularly known as the "crossroads of America," was in need of repair and improvement, the legislature voted to grant a long-term concession of the highway to a private operator. ITR Concession Company LLC, owned by a consortium of Cintra and Macquarie, was chosen in a competitive bidding process to operate, maintain and collect tolls on the road for 75 years. In return, Indiana received a one-time, lump-sum payment of $3.8 billion. The concession created a myriad of construction jobs and the up-front concession payment will fund 130 state highway projects over the next 10 years. To date, the project is the largest infrastructure PPP deal in US history.

"The Indiana Toll Road represents a viable business model to rebuild, operate and maintain America's vital infrastructure," says Neaher. "By privatizing operations, there is a better opportunity for innovation and enhanced customer service, as well as continued employment opportunities and a significant source of finance for other needed transportation projects."

Together with partner Tomer Pinkusiewicz, Neaher also represented Skyway Concession Company LLC, a special purpose company formed by Cintra and Macquarie, in connection with the $1.4 billion Rule 144A monoline wrapped bond refinancing of the 99-year concession for the Chicago Skyway, a 7.8 mile limited access toll bridge and highway system privatized by the City of Chicago in 2005. Both transactions have received numerous industry awards for their innovative features.

Ned Neaher concentrates his practice on US infrastructure project development and finance and international project finance. He has been involved in financings in a wide range of sectors, including airports, toll roads, ports, power, oil and gas, telecommunications and other industrial projects throughout the world.
