Cozen O’Connor Presents Fifth Annual Southeast Subrogation Seminar
Cozen O’Connor’s National Subrogation and Recovery Department recently presented its Fifth Annual Southeast Subrogation Seminar, a half-day, educational legal seminar at Turner Field in Atlanta, Ga., home of the Atlanta Braves. The program was comprised of a series of substantive presentations by firm attorneys Albert G. Dugan, Jr., John W. Reis, Megan A. Lammon and Karen D. Fultz. Topics discussed included:

* Spoliation
* Economic Loss Doctrine
* Subrogation Agreements
* Damages
* Subrogation Jeopardy


Following the program, seminar participants attended an Atlanta Braves vs. San Diego Padres baseball game.

Baker & McKenzie Advises China LotSynergy Holdings on its Strategic Alliance with IGT to Expand in the Chinese Lottery Market
Baker & McKenzie’s mergers & acquisitions team in Hong Kong recently advised Hong Kong-listed China LotSynergy Holdings Limited (“CLS”) on its strategic alliance with International Game Technology (“IGT”) to further expand its business in the welfare lottery market in China. The Subscription Agreement and Technical Cooperation Agreement were signed on 1 May 2007. Completion is scheduled to take place on or before 31 May 2007.

IGT will invest approximately US$103 million in CLS, partly in the form of equity and partly in the form of a convertible note. Through the strategic alliance with CLS, IGT will be able to gain access to the fast-growing welfare lottery market in China, while CLS will be able to source advanced gaming technology to support its business expansion in China.

CLS is principally engaged in investment, project development and the provision of technologies and equipment and consultancy services in lottery business and related sectors in China. IGT is a global company specializing in the design, development, manufacturing, distribution and sale of computerized gaming machines and related systems. UBS Investment Bank acted as the financial adviser to CLS.

Proceeds from the shares and convertible note will be used for business expansion, potential investment opportunities, and general working capital purposes.

The Baker & McKenzie team, led by corporate Partner Lawrence Lee in Hong Kong, acted as deal counsel on this transaction. Lawrence was assisted by associates Christine Lee and Anna Gamvros as well as a team of lawyers from the firm’s corporate, securities and technology teams.

Baker & McKenzie Advises SP Telemedia Ltd on the $250 Million Sale of Media Assets to PBL Media Pty Ltd
Baker & McKenzie has acted as legal adviser to SP Telemedia (which trades under the name "SOUL") on its agreement to sell media assets to PBL Media Pty Limited ("PBL Media") for $250 million. Baker & McKenzie worked closely on the transaction with Pitt Capital Partners, financial adviser to SP Telemedia.

The sale of the assets, which include NBN Television and its outside broadcasting and production operations, occurred after a competitive sales process. PBL Media's offer was unanimously supported by SP Telemedia's Board of Directors and its major shareholder, Washington H. Soul Pattinson & Company Ltd, on the basis that it provided the best outcome for all stakeholders in the company.

Baker & McKenzie's team was led by Steven Glanz and Hal Lloyd, working with Senior Associate, Julie Hutton and Associate Kimberley Christiansen. Gilbert & Tobin advised PBL Media.

The acquisition had a number of novel aspects. It was implemented on an expedited basis in less than 10 days, with interest in the business being expressed by both PBL Media and WIN Corporation, who were also competing for Channel Nine affiliates in other markets. Final bids were due from any interested bidders on Monday, 30 April, agreements were entered into with PBL Media on 1 May and the transaction completed on 9 May. In addition, the Soul telecommunications side of the business and the NBN media business were operationally integrated with the sale requiring shared services arrangements that will permit the businesses to continue to operate together on a long term basis.

Baker & McKenzie corporate Partner Hal Lloyd said "The vendor, SP Telemedia, was in a strong commercial position, with two bidders that both wanted to buy the business. This enabled SP Telemedia to achieve a great commercial outcome in a short time period."

Baker & McKenzie has a longstanding relationship with SP Telemedia, having recently acted on a number of acquisitions for the company, including its off market takeover bid for B Digital. SP Telemedia now intends to focus on its high growth telecommunications operations, multi media capabilities and media infrastructure assets.

Baker & McKenzie LLP Partners with Habitat for Humanity for 7th Annual Day in Service
Baker & McKenzie LLP volunteer attorneys and staff joined Windy City Habitat for Humanity in building a home for its Seventh Annual Day in Service on Saturday, May 5. Sixteen volunteers from the Firm's Chicago and Global Services offices assisted Windy City Habitat for Humanity in building a house on 103rd Street in Beverly, located on Chicago’s southwest side.

"The involvement of all the volunteers from Baker & McKenzie on May 5th was a wonderful way to give back to the community," said Robert Deignan, Co-chair of the Chicago office Pro Bono and Community Service Committee. "Every effort that enriches Chicago is one in which members of our Firm take great pride."

At the build site, Baker & McKenzie volunteers assisted with carpentry, landscaping, painting, roofing and other activities to aid in building a Habitat for Humanity home. The Chicago office also held an auction on Friday, May 4 for children’s art pieces. The proceeds of the auction benefited Windy City Habitat for Humanity.

Many of the Firm’s lawyers and volunteers from other U.S. and Canadian offices will also be participating in Habitat builds in their respective cities this summer.

Stone Pigman Sponsors the Annual John Minor Wisdom Awards Luncheon
Stone Pigman sponsored the American Bar Association's Section of Litigation's John Minor Wisdom Awards Luncheon last month. The 2007 John Minor Wisdom Public Service and Professionalism Awards are bestowed to individuals and law firms for their outstanding pro bono achievements. "The association with the award permits us to advance the causes of public service and professionalism exemplified by the career of our firm's founder and the namesake for the award, John Minor Wisdom," said Jay Gulotta, chair of Stone Pigman's Litigation Section.

Stone Pigman congratulates the recipients of the awards, whose achievements ennoble the legal profession.

Thomas awarded Federal Bar Association’s Gilman Award
James C. Thomas, an Of Counsel attorney with Plunkett & Cooney, P.C., was awarded the 2007 Gilman Award by the Federal Bar Association – Eastern District of Michigan Chapter on April 26 at the association’s Gilman Award Luncheon.

“In my opinion, the prosecuting and defense lawyers who have previously received the Gilman Award are the best lawyers that practice in the federal courthouse,” said Thomas. “I am feeling a bit of humility and a great deal of pride by receiving this honor.”

The Gilman Award is presented annually to an outstanding criminal law practitioner who exemplifies the excellence, professionalism and commitment to public service demonstrated by Len Gilman, a U.S. Attorney who served until his death in 1985. The Federal Bar Association (FBA), founded nationally in 1920 by a group of federal government lawyers, is recognized as the preeminent professional organization for private attorneys, government lawyers and judges involved in federal practice.

A criminal defense attorney for 33 years, Thomas has successfully defended clients in some of southeast Michigan’s highest profile criminal cases, including the Detroit Police Corruption Case, the Young Boys Incorporated. II case, and the first trial resulting from the prosecution of suspects following the attacks of September 11 in which he won an acquittal for his client on terrorism-related charges.

A graduate of Detroit College of Law, Thomas is the recipient of numerous honors, including “The Best Lawyers in America ® for Criminal Defense (Non-White-Collar and White-Collar) award” — 2006 (Copyright 2007 by Woodward/White, Inc., of Aiken, S.C.), the “Defender of Justice Award” from the National Lawyers Guild and the “Justice for All Award” from the Criminal Defense Attorneys of Michigan, an organization for which he currently serves as a member of its board of directors. He also has the distinction of being named by Law & Politics magazine as one of Michigan’s Super Lawyers in the areas of criminal defense and white collar criminal defense.

Jon Huntington Represents Local Business Owners in Trial Win
Judgment for defendants represented by Mr. Huntington was recently entered in this case after a trial in Superior Court in February before Justice S. Kirk Studstrup. At the two-day trial, the plaintiffs’ claimed that a floating dock installed seasonally on the coast of Maine and maintained by Mr. Huntington’s clients as part of their business interfered with access to open water from the plaintiffs’ property, next door to the campground, and therefore was enjoinable as a common law nuisance. The plaintiffs presented the testimony of a surveyor who measured and mapped water depths in the cove shared by the parties and the clearances between the defendants’ dock and the rocks and shorelines adjacent to it. Among the witnesses called by Mr. Huntington for the defense was a former harbormaster from the area who testified that the dock was not a navigational hazard for a prudent mariner.

In denying the plaintiffs’ claim, the court applied the common law of private nuisance in Maine. It held that the plaintiffs had failed to prove that any interference with the plaintiffs’ access resulting from the uses and location of the dock was unreasonable. In Mr Huntington’s view, the issues at the trial were intensively factual, and when all the facts related to the cove, the tides, the history, and the uses were presented and considered, the court concluded that there was no good reason to require a change in the dock under the circumstances.
