Firm Adds Experienced Government Regulation and Land Use Attorney to Real Estate Practice
Blank Rome announced today that Marvin B. Mitzner has joined the Firm as a partner in the real estate group. Mr. Mitzner brings over 20 years of experience to Blank Rome, specifically dealing in New York City land use and government regulation.

“The scope of Marvin’s experience in government regulation and land use will be a tremendous complement to Blank Rome’s nationally recognized real estate practice,” said Carl M. Buchholz, managing partner and chief executive officer. “We are pleased to welcome Marvin to Blank Rome and look forward to integrating his unique expertise into the Firm.”

Prior to joining Blank Rome, Mr. Mitzner served as a senior member (partner) in the New York office of Cozen O’Connor. Before joining Cozen O’Connor, he served as partner at the law firm of Fischbein Badillo Wagner Harding in New York and previously at Davidoff & Malito LLP. Mr. Mitzner has extensive experience representing developers, corporations, banks, and institutions in all aspects of land use and development law. He counsels clients in all facets of site development, including acquisition, zoning analysis, air rights purchases, landmarks law, environmental review, economic development and tax incentives, and discretionary land use approvals. Mr. Mitzner was liaison to the Board of Estimate on zoning matters and served as assistant corporation counsel of the City of New York in the division that handled and litigated most agency regulation and licensing matters.

In addition, Mr. Mitzner has prosecuted a wide range of applications before various New York City agencies involved in development, licensing, and government contracts, and has appeared at public hearings and before local community boards as part of the public review process. He has also represented clients before New York State and multi-jurisdictional agencies, such as the Metropolitan Transportation Authority (MTA), Division Housing and Community Renewal (DHCR), Empire State Development Corporation (ESDC), Department of Environmental Conservation (DEC), and the Port Authority of New York and New Jersey.

Mr. Mitzner received his law degree from New York Law School and a bachelor of science degree from City College of New York.

Morgan Stanley Emerging Markets Domestic Debt Fund Initial Public Offering
Davis Polk & Wardwell advised Morgan Stanley & Co. Incorporated in connection with the initial public offering by Morgan Stanley Emerging Markets Domestic Debt Fund, Inc. of $1.275 billion of its shares of common stock. The fund is listed on the New York Stock Exchange under the symbol ‚EDD.?

The fund is advised by Morgan Stanley Investment Management Inc.

Davis Polk Advises Smith & Nephew on Its Acquisition of Blue Sky Medical Group
Davis Polk & Wardwell advised Smith & Nephew plc on its acquisition of Blue Sky Medical Group Incorporated, a privately held medical device company that develops and manufactures products for treating chronic wounds using negative pressure wound therapy. Smith & Nephew is a global medical technology business, specializing in orthopedics, endoscopy and advanced wound management products.

In accordance with the terms of the merger agreement, Smith & Nephew purchased all of Blue Sky Medical Groups’ outstanding common stock for $15 million initially, with further milestone payments of up to $95 million related to revenues and other events. The transaction was signed on May 10, 2007, and closed on May 11, 2007.

The Davis Polk corporate team included partner Julia K. Cowles, associates Zachary R. Patton, Stephen Salmon and Tobias Bage (not admitted to practice in the United States) and legal assistant Cari M. Hebel. Partner Rachel D. Kleinberg provided tax advice. Davis Polk Advises Huntington Bancshares Incorporated on Its Offering of Trust Preferred Securities
Davis Polk & Wardwell advised Huntington Bancshares Incorporated on an SEC-registered offering of $250 million of 6.65% trust preferred securities by Huntington Capital III, a Delaware statutory trust and wholly owned subsidiary of Huntington Bancshares Incorporated, guaranteed on a subordinated basis by Huntington Bancshares Incorporated. The ‚hybrid? securities were structured as Moody’s Basket D securities, which provide Huntington Bancshares Incorporated with 75% equity credit and qualify as Tier 1 capital.

Huntington Bancshares Incorporated is a multi-state, diversified financial holding company headquartered in Columbus, Ohio. Through its subsidiaries, it provides full-service commercial and consumer banking services, mortgage banking services, automobile financing, equipment leasing, investment management, trust services, brokerage services, private mortgage insurance, reinsure credit life and disability insurance, and other insurance and financial products and services.

Paul Hastings Wins Patent Trial for Eisai Pharmaceuticals
Paul, Hastings, Janofsky & Walker LLP (Paul Hastings), a leading international law firm, won an important patent trial on behalf of Eisai Co. Ltd. regarding the pharmaceutical company's billion dollar a year stomach acid suppression medication, Aciphex.

Following a two week trial in March, the U.S. District Court in the Southern District of New York ruled Friday that Eisai's patent on Aciphex's active ingredient rabeprazole was enforceable - effectively defeating efforts by Teva Pharmaceuticals and Dr. Reddy's Laboratories to sell generic versions of the drug in the U.S. prior to the expiration of Eisai's patent in 2013.

The generic drugmakers had charged that Eisai's patent should be held unenforceable because Eisai had allegedly failed to disclose a copending patent application covering a drug molecule that was almost identical to the active ingredient of Aciphex. This failure was alleged to have been done with the intent to deceive the Patent Office.

Despite an earlier enforceability ruling by the Court, which was widely interpreted as leaning against Eisai's position and that spawned multiple class action antitrust lawsuits against Eisai, Paul Hastings attorneys convinced District Judge Gerard E. Lynch that although the compounds of the two patent applications were similar, they produced distinctly different effects. Judge Lynch also found Eisai's patent attorneys to be credible in their good faith explanations for their actions.

In October 2006, Paul Hastings had won a partial summary judgment for Eisai, upholding the validity of Aciphex's composition of matter patent. Eisai's patent is valid until May 8, 2013. With Friday's trial ruling, Paul Hastings ended more than three years of litigation and secured a total victory in this "bet your company" case for Eisai, which had a significant percentage of its company's revenues riding on the decision.

The Paul Hastings team was led by New York partners Joseph O'Malley and Bruce Wexler.
