Shearman & Sterling Advises ICIG on Acquisition of Custom Manufacturing Business from Clariant
Shearman & Sterling LLP advised International Chemical Investors Group (ICIG) on the acquisition of the Custom Manufacturing Business of Swiss Clariant AG comprising chemical production sites in Germany and the US. The new entity will be one of the world’s leading suppliers to the agrochemical industry.

Closing of the transaction is subject to approval of the antitrust authorities.

ICIG is an investment group focusing on mid-sized chemical businesses, preferably subsidiaries of large chemical corporations.

The international Shearman & Sterling team advising ICIG on the transaction included partners Thomas König, Andrea Eggenstein (both M&A, Frankfurt) and Johannes Frey (Tax, Frankfurt).

Shearman & Sterling Advises DaimlerChrysler on the sale of Chrysler to Cerberus
Shearman & Sterling advised DaimlerChrysler AG as Lead Counsel on the sale of 80.1% of the shares in the future Chrysler Holding LLC to an affiliate of the Private Equity House Cerberus Capital Management, L.P., New York.

DLA Piper advises Kaupthing Bank HF. on Jane Norman Refinance
DLA Piper has advised Kaupthing Bank HF. on its provision of £139 million senior debt funding which was utilised in part to refinance existing indebtedness of JN Group Limited and its subsidiaries. This refinancing follows on from the management buy-out of Jane Norman (Holdings) Limited and its subsidiary Jane Norman Limited in July 2005 which DLA Piper acted on, and which was funded by Kaupthing Bank HF. and backed by Baugar Group and Kaupthing Principal Investments.

Jane Norman is a women's fashion retailer with stores and concessions across the United Kingdom and Ireland.

Peter Crichton, DLA Piper's lead banking partner on the deal commented: "We are delighted to have once again been involved with Kaupthing Bank HF. with whom we have a strong relationship. We are pleased to support their business and we wish Jane Norman every success."

The DLA Piper team was led by Banking partner Peter Crichton, assisted by Tamsyn Mileham, Katy Byatt and Smridhi Gulati.

Kantner joins DLA Piper’s Intellectual Property practice in Dallas
DLA Piper US LLP has announced that Robert Kantner has joined the firm’s Intellectual Property practice group as a partner in its Dallas office. He comes to DLA Piper from Baker Botts L.L.P.

Kantner is a trial attorney with a focus on intellectual property litigation and related antitrust and commercial litigation for various technology companies. He has tried 21 cases to verdict or judicial ruling and three other cases to an arbitral award.

“Bob is an experienced and well-respected litigator, and his vast knowledge and technical experience will add even more depth to our intellectual property and business litigation practices,” said Robert Mathias, chair of DLA Piper’s Litigation practice group. “He is an outstanding attorney who will also provide excellent new business opportunities throughout the U.S. and internationally.”

“We are delighted to have Bob join our team in Dallas,” added Philip Weller, managing partner of the firm’s Dallas office. “He will be instrumental in our intellectual property, antitrust and commercial litigation trial practice”

Previously, Kantner was a partner with BakerBotts L.L.P. in Dallas. For more than 20 years at that firm, Kantner handled and in many instances tried copyright, patent, trademark and trade secret cases. Many of those cases involved antitrust claims, and Kantner has also handled antitrust and other commercial cases. Kantner has represented both plaintiffs and defendants in Texas and throughout the United States. He has represented numerous telecommunications equipment and software companies and developed a thorough understanding of those industries.

“We are excited about the potential Bob brings to help our Dallas office grow,” added James Nelson, head of the Litigation practice group in Texas. “His strong background in intellectual property litigation and antitrust and competition disputes will further strengthen our Texas litigation group and aid in the mentoring and training of young litigation lawyers.”

Kantner received a J.D. from Harvard Law School and a B.A., with honors, from the University of Virginia, where he participated in an honors program limited to six students. He is listed in the 2007 edition of The Best Lawyers in America and among The Best Telecommunications Lawyers for 2007. Kantner is a member of the intellectual property, antitrust and litigation sections of the American Bar Association and the Dallas Bar Association and is a fellow of the Dallas Bar Foundation.

Richard Riley Receives Honorary Degree at UNC Chapel Hill’s Spring Commencement
Nelson Mullins Riley & Scarborough Partner Richard W. Riley, noted as a statesman committed to education, received an honorary doctor of laws Sunday, May 13, during the University of North Carolina at Chapel Hill's spring commencement.

Mr. Riley, former governor of South Carolina and former U.S. Secretary of Education, was joined in receiving honorary degrees by Madeleine Korbel Albright, the nation’s first female secretary of state; H. Jack Geiger, a human rights activist whose efforts have twice won the Nobel Peace Prize; William Ivey Long, a Tony Award-winning Broadway costume designer; and Dean Edwards Smith, one of college basketball’s most winning coaches.

Mr. Riley was U.S. secretary of education from 1993 to 2001 and the 111th governor of South Carolina from 1979 to 1987. During his tenure with the Department of Education, he helped launch historic initiatives to raise academic standards, improve instruction for the poor and disadvantaged, increase parental involvement in education, and expand opportunities to help more Americans attend college and prepare for the world of work.

As governor of South Carolina, he initiated the Education Improvement Act, once called “the most comprehensive educational reform measure in the United States.”

The Christian Science Monitor called Mr. Riley “one of the great statesmen of education in this (20th) century.” The Washington Monthly once said him to be “the best governor in America — and you’ve never heard of him.” Two decades later, Mr. Riley is widely known as one whose steady efforts on behalf of public education have made a major, positive difference in the classroom and in the workplace.

Mr. Riley is Distinguished University Professor of Education at the University of South Carolina and Advisory Chair of the Richard W. Riley Institute of Government, Politics and Public Leadership at Furman University. The College of Education at Winthrop University bears his name.

Richard A. Manley, Jr. Joins Edwards Angell Palmer & Dodge as Partner in Firm's Public Finance Department
Edwards Angell Palmer & Dodge LLP is pleased to announce that Attorney Richard A. Manley, Jr. has joined the firm’s Boston office as a partner in the Public Finance Department.

Manley serves as bond counsel to cities, towns, school districts and various special purpose districts in Massachusetts and throughout New England. His practice has involved the issuance of taxable and tax-exempt bonds and notes to finance a wide range of projects for local governments, including projects in the water, wastewater, airport and sports sectors. His work has also involved significant projects for distressed municipal credits. In addition, Manley’s practice also includes the representation of leading national and regional investment banks in connection with the underwriting of municipal bonds and notes.

Prior to joining Edwards Angell Palmer & Dodge, Manley was as a Public Finance partner with Ropes & Gray LLP, in Boston. Also joining him from Ropes & Gray LLP are Associate, Kara Adams and Senior Paralegal, Cecelia Abraham.

Manley is a resident of Weston, Massachusetts. He received his law degree, cum laude, from Suffolk University Law School, and his undergraduate degree from Colby College. He is admitted to practice in Massachusetts.

President Bush Nominates Dykema Attorney Boldrey For Re-appointment To The Morris K. Udall Foundation Board Of Trustees
Dykema, a premier Midwest-based law firm, today announced that R. Lance Boldrey, member of the firm’s Government Policy Department, has been nominated by the White House for re-appointment to the Board of Trustees of the Morris K. Udall Foundation. The position is subject to confirmation by the U.S. Senate.

The Morris K. Udall Foundation was established by Congress in 1992, and honors Congressman Morris King Udall’s thirty-year legacy of public service in the House of Representatives. The Foundation is dedicated to educating young Americans to preserve and protect their national heritage through studies in the environment and Native American health and tribal public policy. The Udall Foundation is also committed to promoting the principles and practices of environmental conflict resolution.

"Lance is an experienced attorney and government policy professional as well as a dedicated public servant," said Rex Schlaybaugh, Dykema’s chairman and chief executive officer. "We congratulate him on this honor which recognizes his commitment to environment and tribal public policy issues.

Boldrey has served on the Morris K. Udall Foundation Board since 2003, and has been involved in several programs offered at the Foundation including their initial charge to administer a scholarship program known as Udall Scholars for college students studying in the areas of environmental science or tribal health policy, as well as a Congressional and federal administrative internship program for Native American students. Additionally, the Foundation now oversees the U.S. Institute for Environmental Conflict Resolution, which mediates significant public environmental disputes in which federal agencies are involved. Together with the University of Arizona, the Foundation also provides support for the Native Nations Institute, which provides economic leadership training and research to tribal leaders.

Boldrey’s practice focuses on Indian law with an emphasis on gaming, economic development, and state-tribal relations. He has also been involved in drafting legislation, lobbying federal and state decision-makers in the legislature and executive branch, and litigating public policy and constitutional issues.

Prior to joining Dykema, Boldrey served as Deputy Legal Counsel to former Michigan Governor John Engler and was responsible for all aspects of the state of Michigan’s relations with twelve federally recognized Indian tribes. He played a lead role in negotiations leading to comprehensive state-tribal tax agreements, a state-tribal accord, settlements of disputes over tribal gaming, and a consent decree governing state and tribal fishing activities in much of the Great Lakes.

Boldrey earned a B.A with honors from James Madison College and the Honors College at Michigan State University and a J.D. from Duke University. He is a past president of the James Madison College Alumni Association and several bar associations.
