Husch & Eppenberger's Harvey M. Tettlebaum Named Fellow of The American Health Lawyers Association
Husch & Eppenberger, LLC proudly announces that our colleague, Harvey M. Tettlebaum, was named a Fellow of the American Health Lawyers Association (AHLA).

The American Health Lawyers Association is the nation's largest, nonpartisan, 501(c)(3) educational organization devoted to legal issues in the healthcare field. Mr. Tettlebaum has served as a member of the Board of Directors for the AHLA, is immediate past Chair of the Long Term Care and the Law Program, and is past Chair of its Long Term Care Practice Group. He has served as Chair of its Audit Committee.

Mr. Tettlebaum is a member and Chair of Husch's Health Care Practice Group and member of the Appellate and Complex Litigation Support Group and heads the Firm's Jefferson City, Missouri office. Mr. Tettlebaum is a recognized authority in the areas of Health Care Law (including White Collar Criminal Defense), Regulatory and Administrative Law. Mr. Tettlebaum has briefed and/or argued over 100 appeals in various appellate courts including the United States Supreme Court, Eighth Circuit Court of Appeals and the Missouri Supreme Court and Courts of Appeals.

Prior to going into private practice in I977, Mr. Tettlebaum was Assistant Dean at Washington University School of Law (1969-1970), and he served as Assistant Attorney General under John Danforth for eight years, operating as Chief Counsel of the Consumer Protection and Anti-Trust Divisions of that office. His duties also included representing state occupation and professional licensing boards and commissions, acting as liaison counsel with the Public Service Commission and the Division of Insurance, and administering Division offices in Jefferson City, Kansas City and St. Louis. Mr. Tettlebaum was Treasurer of the Missouri Republican Party from 1977 - 2004. He serves as outside general counsel to the Missouri Republican Party. Mr. Tettlebaum has been active in grass roots politics since 1968 and has served as Chair of the Moniteau County, Missouri, Republican Central Committee, as a member of the Missouri Republican State Committee, since 1972 has been Chair of the Republican candidate for President committee in his county and Chair of Missouri Lawyers for Bush-Quayle (1992), Missouri Lawyers for Dole-Kemp (1996), Co-Chair Missouri Lawyers for Bush-Cheney (2000) and Regional Chair of Lawyers for Bush-Cheney (2004). Mr. Tettlebaum has been a member of the Board of Directors of the Republican National Lawyers Association since 1992, and is its immediate past president. He is an active member of the Republican Jewish Coalition. He is active in the Missouri Bar Association, having served as Chair of the Administrative Law Committee, Vice-Chair of the Health and Hospital Law Committee, and Chair of the Commercial Law Committee. Mr. Tettlebaum is currently serving as Vice-Chair of the Delivery of Legal Services Committee. He is vice-chair of the Missouri Statewide Legal Services Corporation. Mr. Tettlebaum is also a member of the American Bar Association and is a Fellow of the American Bar Foundation.

Mr. Tettlebaum earned an A.B. from Dartmouth College in 1964, a J.D. from Washington University School of Law in 1968, and an A.M. Degree in History from Washington University in 1968. He is the author of numerous publications and articles on health law, administrative law and consumer law, and has presented programs on long-term care, fraud and abuse, and other health care law topics at national and regional seminars, including the American Health Lawyers Association (AHLA), American Health Care Association, National Association of District Attorneys, Missouri Bar Association, Missouri Health Care Association, Missouri Dental Association, and Missouri State Medical Association. Mr. Tettlebaum is a member and past Chair of the Legal Subcommittee of the American Health Care Association. He was a member of the United States Magistrate Selection Commission (1988) and the Federal Judicial Merit Selection Commission (1991). He is a member of the Dartmouth Lawyers Association. He is listed in Best Lawyers In America, Who's Who In America, and Who's Who In The Law. Mr. Tettlebaum is the recipient of The Missouri Bar President's Award, 2000 and 2003. He was named the "Republican of the Year" by the Missouri Association of Republicans on February 7, 2004.

Capital Markets Lawyer Joins Heller Ehrman in New York
Jeffrey S. Marcus has joined Heller Ehrman’s New York office as a shareholder in the firm’s Corporate/Venture Law Group. Marcus focuses on capital markets transactions and has significant experience representing underwriters and issuers in securities offerings by life sciences and other technology companies. He joins us from Morrison & Foerster, where he was a partner in that firm’s corporate securities practice and served as head of its New York corporate group from 2002 to 2004.

Since the beginning of 2006, Heller Ehrman has added nine shareholders to its New York office, including corporate shareholders Blaine E. Templeman, and Wesley Fredericks, chair of the American Bar Association International Business Law Committee. Heller Ehrman’s New York office has grown from 19 to 122 lawyers since 1999.

“Jeff is an established lawyer with years of experience representing underwriters, and his expertise provides an ideal complement to our existing capabilities in New York,” said Joseph T. McLaughlin, chairman of Heller Ehrman’s New York office. “The addition of Jeff underscores Heller Ehrman’s steady growth in the region, and we are delighted to welcome him to the firm.”

Marcus has handled public and private securities offerings, and mergers and acquisitions, in domestic and international markets. He works with underwriters in public, registered direct and PIPE offerings by biotechnology, medical device, software and other technology companies. His capital markets experience includes representing investment banks and companies in public equity offerings, 144A private placement offerings and private placements of equity securities.

“Jeff’s work with underwriters in offerings that involve life sciences and technology companies fits perfectly given our existing capabilities on the East Coast,” said Stephen M. Davis, firmwide co-chair of Heller Ehrman’s Corporate/Venture Law Group practice group. “We’re pleased to have him on our team and we are confident our clients will enjoy working with him.”

Marcus earned a B.S. in 1979 from the Wharton School of the University of Pennsylvania, after which he practiced as a CPA with Peat Marwick (now KPMG) in New York through 1982. He earned a J.D. in 1985 from Fordham University, where he was articles editor of the Fordham Law Review.

“Heller is well known for having a leading life sciences and technology practice, and that was a major draw for me,” said Marcus. “Another factor was the opportunity to help grow the firm’s capital markets practice in New York.”

Heller Ehrman serves as counsel to both emerging and established U.S. and international companies, with a particular emphasis on technology industry companies. The firm also regularly represents investment banks as underwriters and placement agents in securities offering transactions.

Firm Adds Experienced Government Regulation and Land Use Attorney to Real Estate Practice
Blank Rome announced today that Marvin B. Mitzner has joined the Firm as a partner in the real estate group. Mr. Mitzner brings over 20 years of experience to Blank Rome, specifically dealing in New York City land use and government regulation.

“The scope of Marvin’s experience in government regulation and land use will be a tremendous complement to Blank Rome’s nationally recognized real estate practice,” said Carl M. Buchholz, managing partner and chief executive officer. “We are pleased to welcome Marvin to Blank Rome and look forward to integrating his unique expertise into the Firm.”

Prior to joining Blank Rome, Mr. Mitzner served as a senior member (partner) in the New York office of Cozen O’Connor. Before joining Cozen O’Connor, he served as partner at the law firm of Fischbein Badillo Wagner Harding in New York and previously at Davidoff & Malito LLP. Mr. Mitzner has extensive experience representing developers, corporations, banks, and institutions in all aspects of land use and development law. He counsels clients in all facets of site development, including acquisition, zoning analysis, air rights purchases, landmarks law, environmental review, economic development and tax incentives, and discretionary land use approvals. Mr. Mitzner was liaison to the Board of Estimate on zoning matters and served as assistant corporation counsel of the City of New York in the division that handled and litigated most agency regulation and licensing matters.

In addition, Mr. Mitzner has prosecuted a wide range of applications before various New York City agencies involved in development, licensing, and government contracts, and has appeared at public hearings and before local community boards as part of the public review process. He has also represented clients before New York State and multi-jurisdictional agencies, such as the Metropolitan Transportation Authority (MTA), Division Housing and Community Renewal (DHCR), Empire State Development Corporation (ESDC), Department of Environmental Conservation (DEC), and the Port Authority of New York and New Jersey.

Mr. Mitzner received his law degree from New York Law School and a bachelor of science degree from City College of New York.

Partners Earn Award from Hispanic Chamber for Pro Bono Work
Bryan Cave LLP St. Louis Partners Linda Martinez and Kathy Wisniewski will be honored with the Hispanic Civic Award from St. Louis’ Hispanic Chamber of Commerce. The group is honoring pro bono work Martinez and Wisniewski have undertaken on behalf of businesspeople and landlords in Valley Park, Mo., who are fighting city ordinances that would penalize them for hiring or renting to illegal immigrants.

Among other honorees will be Anheuser-Busch Companies, which earned the Corporate Hispanic Advocate award; La Tropicana, Hispanic Company; George Brill, Hispanic Business Person; Carl Trautmann, Hispanic Chamber Member; Garcia Mortgage, Hispanic New Businesses; Eddie Davis, Presidential Recognition Award; and Dr. William Chignoli, Hispanic Excellence Achievement Award. All of the honorees were noted May 9 in the St. Louis Post-Dispatch.

The awards will be presented May 18 at the Hispanic Chamber of Commerce’s Silver Anniversary Awards Dinner at the Ballpark Hilton in downtown.

For their part, Martinez and Wisniewski are heading a coalition of about 20 attorneys who sued Valley Park over its ordinance. The law, they argue, promotes racial profiling and would harm businesses and lead to housing discrimination. In March, a St. Louis County Circuit Court judge struck down the ordinance.

The city’s mayor quickly drafted a new ordinance denying occupancy permits to landlords renting to illegal immigrants. Fearing another lawsuit, the city’s Board of Aldermen voted to repeal it, but the mayor vetoed that decision. The city now faces two more lawsuits over the new ordinance. Opinion on the mayor’s continued fight remains heated and mixed, both within Valley Park and in the surrounding communities.

NOTED CUBA EXPERT JOINS SQUIRE SANDERS
Antonio R. Zamora, a veteran of the Bay of Pigs invasion and an expert in Cuban law and policy, has joined Squire, Sanders & Dempsey L.L.P. to help the global firm prepare for the anticipated opening of the Cuban market.

“Change is on the horizon for the relationship between the United States and Cuba, and very few people know Cuba as well as Tony Zamora,” said Alvin B. Davis, managing partner of the firm’s Miami office. “Tony is especially well qualified to help Squire Sanders evaluate how we can help clients whose business interests might in the future include Cuba.”

Zamora, who is of counsel with Squire Sanders, is president of the Cuba Legal Forum, Inc. and frequently lectures on international legal matters. He has published articles on the Cuban legal system, and foreign investment and real estate investment in Cuba. Zamora joined Squire Sanders from Hughes Hubbard & Reed LLP.

“In the past 10 years, Tony has researched Cuban law and developed strong contacts within Cuba’s legal and academic communities,” Davis said. “These relationships and his research give Tony unusual insight into the opportunities that will develop when Cuba becomes an option for US business.”

Zamora said growing support for change in US policy toward Cuba is reflected in recently proposed legislation under consideration by Congress that would affect trade and travel restrictions. In addition, industries such as agriculture and energy have an eye on Cuba as a target for investment and trade.

“There are three key possible opportunities – tourism, energy resources and expanded agricultural trade – that could develop very quickly if US policy changes,” Zamora said. He added other economic change affecting Cuba will take time, and Squire Sanders’ approach will mirror that measured pace.

Zamora said Squire Sanders’ strong presence in South Florida and Tampa and its strength in Latin America form an ideal platform to explore Cuba’s potential new role in the world economy.

“Florida, already a linchpin for business in Latin America, will be the center of business with Cuba. Squire Sanders is among the very few global firms whose reach extends throughout Florida and into Latin America,” Zamora said.

Simpson Thacher Represents PRIMEDIA Inc. in Proposed Sale of Its Enthusiast Media Division
Simpson Thacher is representing PRIMEDIA Inc. in connection with the proposed sale of its Enthusiast Media division to Source Interlink Companies, Inc. for approximately $1.18 billion in cash. As part of the proposed transaction, Source will assume the obligation to make certain earn-out payments relating to Enthusiast Media’s Automotive.com division. The proposed transaction is subject to customary closing conditions and is expected to close in the third quarter of 2007. Certain shareholders of PRIMEDIA Inc. affiliated with Kohlberg Kravis Roberts & Co., which hold a majority of the outstanding common stock of PRIMEDIA, have unanimously consented to the proposed transaction.

PRIMEDIA’s Enthusiast Media business is the #1 special interest magazine publisher in the U.S. with a portfolio of well-known niche magazine titles and content brands including Motor Trend magazine, Automobile magazine, Hot Rod magazine, Lowrider magazine, Soap Opera Digest and Soap Opera Weekly magazines, Power & Motoryacht magazine and, Surfer and Snowboarder magazines. Source Interlink Companies is a leading marketing, merchandising and fulfillment company of entertainment products, including DVDs, music CDs, magazines, books and related items.
