Frost Brown Todd Attorney Joins TACR Board
Frost Brown Todd LLC, one of the region’s largest full-service law firms, is pleased to announce that Gerald L. Baldwin, Chairman of the Firm’s Banking and Commercial Litigation Practice, has been appointed to the board of the TriState Association for Corporate Renewal (TACR), effective May 1, 2007. TACR is an association of professionals dedicated to helping create or preserve value in underproductive businesses for the benefit of owners, creditors and employees. Mr. Baldwin is a member of the Firm’s litigation department and earned his B.A. degree from Thomas More College and his J.D. degree from the University of Cincinnati College of Law.

Colorado Federal Court Jury Awards $16 Million in Breach of Contract Case
A twelve-person jury unanimously concluded that Financial Consulting and Trading International, Inc. (“FCTI”) was entitled to $16 million in damages resulting from the breach of a contract it had entered into with Concord Computing Corporation (“Concord”), a subsidiary of Greenwood Village-based First Data Corporation (NYSE: FDC). Shortly after the jury’s verdict was announced in the United States District Court for the District of Colorado, judgment was entered in favor of FCTI and against Concord.

In April of 2005, FCTI entered into an ATM Management Agreement with Concord. Under that agreement, FCTI was to maintain and service over 700 automatic teller machines (“ATMs”) Concord had placed in various travel center locations around the country. In exchange, Concord was to make certain monthly payments to FCTI through at least October of 2011.

On June 1, 2005, Concord sent FCTI a letter purporting to rescind the contract. On the same day, Concord sued FCTI in Denver District Court, seeking a declaration that the ATM Management Agreement was not enforceable. FCTI, which is based in southern California, removed the case to federal court in Denver, where it was assigned to Senior District Judge Richard P. Matsch.

The trial in Judge Matsch’s courtroom began on Monday, May 7. After hearing three days of testimony and argument, the jurors began their deliberations. In a little over two hours’ time, they returned with their verdict. The jury concluded that Concord was not legally entitled to rescind the ATM Management Agreement, and that FCTI had sustained a loss of $16 million as a direct result of Concord’s breach.

Matt Rita and Michael Hofmann, both of whom are partners in the Denver office of Holme Roberts & Owen LLP (“HRO”), tried the case on behalf of FCTI. Mr. Rita expressed satisfaction with the jury’s verdict, stating that “although our client had held out hope for a business solution to the dispute, it was gratifying to see FCTI’s position vindicated in a court of law.” He noted that whether or not Concord appeals the $16 million judgment against it, legal proceedings between the parties will continue. He and Mr. Hofmann are also representing FCTI in an Oregon lawsuit Concord filed in October of 2006.

Carter Joins Certilman Balin's Corporate/Securities Law Practice Group
Certilman Balin Adler & Hyman, LLP has announced that Tobi J. Carter has joined the Corporate/Securities Group as an associate.

Prior to joining the firm, Ms. Carter was an attorney for two years in the Securities Litigation Group at Greenberg Traurig. At this Manhattan law firm, she represented investment banks, broker-dealers and individual brokers in securities arbitrations. Prior to that position, she was associate counsel for two years at Oppenheimer & Co., where, among other things, she advised on issues under the Securities Act of 1934, the Investment Advisors Act of 1940 and the Canadian securities laws.

During law school, Ms. Carter clerked in the Real Estate Investments and General Corporate Groups of the Law Department of Metropolitan Life Insurance Company. In addition, she served as a judicial intern for the Honorable Napoleon A. Jones, Jr., of the United States District Court in the Southern District of California.

Ms. Carter earned her Juris Doctor from New York University School of Law in 2001, where she served as Senior Staff Editor of the Environmental Law Journal and was Co-chairperson of the Symposium Committee for the Project on Negotiation and Dispute Resolution. In 1998, she graduated from the University of California at Berkeley with a Bachelor of Arts, cum laude, in Legal Studies and with a minor in Public Policy. During her undergraduate years, she was a member of the National Dean’s List and the Honor Students’ Society. Additionally, she was Chairman of the Peer Review Board and Editor of the California Legal Studies Journal.

Dechert LLP Expands New York Litigation Practice with Addition of Dennis H. Hranitzky
Dechert LLP announced today that Dennis H. Hranitzky has joined the firm's litigation practice. He is based in the firm's New York office and was previously at Debevoise & Plimpton LLP.

Hranitzky has represented clients in a wide variety of lawsuits, complex settlements and other proceedings in the United States and abroad, and is a recognized authority in litigation and enforcement matters against foreign sovereign states and instrumentalities. He joins a team led by Robert A. Cohen, head of Dechert's New York litigation group, in the firm's premier sovereign disputes practice.

"Dennis brings a long track record of success representing plantiffs in complex, multi-national disputes against foreign governments," said Cohen. "He brings exceptional knowledge, creativity and energy to this exciting area. We welcome him to the firm."

While at Debevoise, Hranitzky co-authored the chapter on litigation against foreign sovereigns in a forthcoming treatise on international litigation. In addition to his sovereign dispute work, Hranitzky recently litigated a $30 million international environmental lawsuit, settled a landmark civil rights lawsuit against the City of New York, and has defended major health care companies and pharmaceutical manufacturers and numerous other companies in complex products liability general commercial, patent and securities litigation.

Hranitzky is a graduate of The University of Texas (B.A., with highest honors, 1991, Phi Beta Kappa), and Harvard Law School (J.D., cum laude, 1994). He served as law clerk for the Honorable Daniel T.K. Hurley, U.S. District Court for the Southern District of Florida. Hranitzky is admitted to the New York bar, and is also admitted to appear before the U.S. District Courts for the Southern and Eastern Districts of New York, the U.S. Tax Court and the U.S. Courts of Appeals for the Second and Federal Circuits.

CRAVATH REPRESENTS MYLAN LABS IN PURCHASE OF MERCK GENERIC-DRUG BUSINESS
Cravath represented Mylan Laboratories Inc., in its agreement to pay 4.9 billion euros, or US$6.7 billion, in an all-cash transaction for the generic-drug operations of Merck KGaA of Germany. The lawyers involved in this matter are partners Mark I. Greene, Thomas E. Dunn, Timothy G. Massad and Paul Michalski and associates Christopher S. Harrison, Alexander Nolte, Kimberly A. Jim Carr Receives WFYI's Highest Volunteer Award
Jim Carr, a partner at Baker & Daniels LLP and longtime member of the board of directors for Metropolitan Indianapolis Public Broadcasting Corporation (WFYI), was presented this year's Ardath Y. Burkhart Award by the Central Indiana public broadcast station.

The award is named in honor of the woman who organized a door-to-door campaign in the late 1960s to raise the funds needed to launch WFYI, which operates Central Indiana's public broadcast television and radio stations. The Ardath Y. Burkhart Award is the highest honor that WFYI presents on an annual basis to a volunteer.

Carr, the leader of Baker & Daniels' commercial, financial and bankruptcy services practice group, is past chair of the Metropolitan Indianapolis Public Broadcasting's board of directors. He was honored for his demonstrated leadership, dedication, service and outstanding commitment to WFYI.

Baker & Daniels was one of three local firms honored with a B.E.S.T. Award in recognition of helping WFYI accomplish major projects or tasks.

WFYI honored volunteers, station staff and local organizations during its annual volunteer recognition luncheon in conjunction with National Volunteer Week. As a trusted catalyst for lifelong learning for more than three decades, WFYI public broadcasting engages and enriches the community through distinctive programs and services. The station recently acquired a new home in the 1600 block of North Meridian Street.
