Adam Miller Joins Carlton Fields as South Florida Marketing Manager
The law firm of Carlton Fields is pleased to announce that Adam Miller has joined the firm in the Miami office as the South Florida Marketing Manager.

Miller will be responsible for developing and implementing marketing strategies for the firm’s Miami and West Palm Beach offices. Miller joins Carlton Fields from Greenberg Traurig in Miami where he was the Marketing Specialist and handled Public Relations. Previously, he was a Senior Media Specialist for Boardroom Communications, Assistant Director of Marketing for Ferrell Shultz Carter & Fertel, P.A., and an editor and reporter for several South Florida newspapers. Miller received his B.A. in English with an emphasis in Journalism and a minor in Spanish from Florida State University.

White & Case Adds to Securities Practice in New York
Securities lawyer Mariel Creo, who has a wide range of experience in a variety of complex corporate and finance transactions in Latin America and Europe, has joined White & Case LLP, furthering the recent growth of the Firm's New York Securities Practice.

Mariel Creo, who joins White & Case from another top law firm, has an extensive breadth of knowledge within the Latin American market, having represented multinationals in the region, including CEMEX, S.A.B. de C.V., as well as global financial institutions. She also has extensive experience in leveraged finance, private placements, high-yield bond offerings and debt restructurings, as well as private equity investment funds with Latin American investments. Fluent in English and Spanish, and with working knowledge of Portuguese, Mariel previously worked as corporate counsel at CEMEX in Monterrey, Mexico.

"Mariel is an excellent fit with our Latin America Practice. She has well established contacts in Latin America, and her previous experience allows her to apply her securities capabilities to the Latin American market," said Alexis Rovzar, head of White & Case LLP's Latin America Practice in New York. "She will help us solidify the multi-office, cross-border capabilities we offer to our clients, with our teams on the ground in New York, Miami, Mexico City, Monterrey and São Paulo."

Thelen Real Estate Finance Team Closes Two Award-Winning Affordable Housing Projects in New York
For the third year in the last four, Thelen Reid Brown Raysman & Steiner LLP has handled a real estate finance transaction that has been awarded "Project of the Year" by the New York State Association for Affordable Housing (NYSAFA).

At its annual conference, held May 10 in New York, NYSAFA honored the Seaview Towers project as "2007 Project of the Year." Part of the Mitchell-Lama preservation development program, this 400-plus unit was financed with New York City Housing Development Corporation tax exempt bonds, Fannie Mae credit enhancement, Low Income Housing Tax Credits, a Section 8 Housing Assistance Payment Contract, a Section 236 Interest Reduction Payment Agreement, and three layers of subsidy loans. A Thelen real estate team led by New York partner Andrew Kramer and Hartford, CT associate Candace Cunningham closed this complex financing last December on behalf of firm client Citigroup.

The NYSFA also gave its "2007 Innovator of the Year Award" to the developer of 1212 Martin Luther King Blvd., the first truly "green" multifamily affordable apartment building in New York City. Thelen represented The Community Preservation Corporation in the construction financing for this project, which was funded by Low Income Housing Tax Credits and further layers of subsidy loans. Thelen attorneys Neal McMahon and Leigh Hughes are currently working on permanent financing for this green development.

The NYSAFA, formed in 1998, is a trade association for New York State developers, general contractors, attorneys, lenders, equity investors, and other housing professionals that are involved in affordable housing. NYSAFA's mission is to increase housing programs and subsidies, to be a voice for professionals in the field, and to inform members of new opportunities and developments.

Thelen has one of the premiere Real Estate Finance practices in the world. In the first quarter of 2007 alone, the firm has closed more than $7 billion in financing worldwide. Thelen was also recently named the "2007 Global Construction Law Firm of the Year" by Who's Who Legal.

Managing Partner of Shughart Thomson & Kilroy (Phoenix) Elected Vice Chair of Mackrell International
The Shughart Thomson & Kilroy Board of Directors is proud to announce today that Marty Harper, managing partner of the firm’s Phoenix office, has been elected vice chair of Mackrell International, one of the world’s major networks of independent law firms.

“This is a tremendous honor,” said Harper. “Mackrell is a distinguished organization made up of elite law firms from around the world. Being elected to leadership in this organization is a privilege.”

Founded in 1987, Mackrell International is a network of medium-sized law firms in major jurisdictions that are dedicated to client satisfaction. Currently, there are more than 55 firms in 80 locations on five continents.

Harper, a Phoenix resident, will serve a one-year term as vice chair before he is appointed to serve as chair of the international organization in May 2008. As vice chair, he will work closely with the organization’s chair to coordinate regional meetings and develop relationships and referral networks for members.

“The clients of Shughart Thomson & Kilroy have benefited greatly from our association with the extensive legal talent available worldwide through Mackrell. I believe my role as vice chair will strengthen our relationship with the entire organization,” said Harper.

As managing partner of Shughart Thomson & Kilroy’s Phoenix office, Harper focuses his practice on business litigation, employment law and construction law. He has more than 30 years experience as a civil litigator and serves as vice chair of the firm’s business litigation group. Harper is also a member of the firm’s board of directors.

Harper’s vice chair announcement came May 10 at the Mackrell International Annual General Meeting, where he was selected by representatives of Mackrell International regions throughout the Americas. This conference, which is being hosted by SES Schlutius Eulitz Schrader, is taking place May 9 -13 in Berlin, Germany.

RDB Victory Changes Rules That Govern How Broker-Dealers Must Deal with Investors
The Securities and Exchange Commission announced that it will not seek further review of the decision of the United States Court of Appeals for the District of Columbia Circuit ruling in favor of the Financial Planning Association in Financial Planning Association v. Securities and Exchange Commission. RDB partner Merril Hirsh represented the FPA in this case.

The SEC filed a motion to stay to extend the deadline to implement the changes required by the ruling until October 1, 2007. Several companies filed affidavits supporting the SEC motion, including A.G. Edwards, Charles Schwab, Smith Barney, Merrill Lynch, Morgan Stanley, Northwestern Mutual, Dain Rauscher, and UBS Financial Services.

A. Michael Pratt to Receive the J. Austin Norris Award from Philadelphia Barristers' Assocation
The Philadelphia Barristers’ Association has announced that it will award A. Michael Pratt, a partner with Pepper Hamilton LLP, the J. Austin Norris Award at its Annual Awards and Scholarship Gala. The Gala will be held on May 19, 2007, at the Park Hyatt Philadelphia.

The Barristers’ Association created the award in 1976 as a memorial to J. Austin Norris, an African-American lawyer, newspaper editor and politician who stamped an indelible mark upon the legal and political life of the Philadelphia community. The Award is presented to a member of the Barristers’ Association who has given distinguished service to both the legal profession and the community.

Mr. Pratt concentrates his practice in commercial, product liability and mass tort litigation. He represents clients in a range of complex commercial and product liability matters involving contracts, civil rights policies and toxic torts.

Dedicated to professional and community activities, Mr. Pratt has held many leadership positions in the Philadelphia Bar Association and is currently serving as the association’s chancellor-elect. He served as vice chancellor in 2006, and will lead the bar association as chancellor in 2008. In the past, he has served on the bar association’s board of governors and as chairman of the Young Lawyers Division.

Mr. Pratt also has served as president of the Barristers Association of Philadelphia Inc., and he has served in various leadership positions in the National Bar Association, which represents more than 15,000 African-American lawyers and judges across the country. Among many other civic activities, he has served as a big brother in Philadelphia’s local Big Brother Big Sister Association and as a mentor in the Philadelphia Futures Program.

Established in 1950, the Barristers’ Association of Philadelphia (www.phillybarristers.org) addresses the professional needs and development of African-American lawyers in Philadelphia and its surrounding counties through programs such as seminars, cultural events and publications. The Association also sponsors or participates in activities that promote youth awareness and career opportunities in the legal profession.

Nixon Peabody LLP Expands Transactional Capabilities of Health Services Practice Group
Both Mr. Cohen and Mr. Cuomo are expanding their practices to include a focus on supporting the firm’s national health services practice group and to meet a growing need from health care clients for counsel in the areas of mergers and acquisitions, corporate finance, joint ventures, and other corporate transactional work. In addition to this new initiative, Mr. Cohen and Mr. Cuomo will remain members of the firm’s business department and continue to maintain traditional corporate transactional practices.

Allan H.
