Davis Polk Advises Limited Brands on Its Sale of a Majority Interest in Its Express Brand to Golden Gate Capital
Davis Polk & Wardwell is advising Limited Brands, Inc. on its sale of a majority interest in its Express brand to affiliates of Golden Gate Capital. Limited Brands, through Victoria’s Secret, Bath & Body Works, C.O. Bigelow, Express, Limited Stores, La Senza, White Barn Candle Co., Henri Bendel and Diva London, presently operates 3,768 specialty stores. Golden Gate Capital is a private equity firm with over $3.4 billion of capital under management dedicated to investing in change-intensive opportunities.

According to the terms of the agreement, Limited Brands will sell a 67% ownership interest in its Express brand for cash proceeds of $548 million. The transaction is expected to close no later than July 6, 2007, and is subject to customary closing conditions. Limited Brands will retain a 33% ownership stake in Express.

The Davis Polk corporate team includes partners David L. Caplan and Carole Schiffman and associates Ajay Lele and Florian Feder (not yet admitted). Partner Kathleen L. Ferrell and associate Suzan H. Sandikcioglu are providing tax advice. Counsel John T. Wright is providing employment advice. Partner Lawrence E. Wieman is providing credit advice. Associates Frank J. Azzopardi and Matthew J. Bacal are providing intellectual property advice. Janine Samuel is the legal assistant for the transaction. All members of the Davis Polk team work in the New York office.

Paul, Weiss Represents Seller in Major Real Estate Transaction
As reported in the media, our client SL Green Realty Corp. (together with its joint venture partners Aby Rosen and Ian Schrager) has entered into a contract to sell the historic clock tower building at One Madison Avenue to an international developer. Negotiations for the sale of the landmarked building with its distinctive gold cupola at the southeast corner of 24th Street and Madison Avenue occurred on an accelerated basis. The Paul, Weiss team included real estate partner Steve Simkin, counsel Barry Langman and associate Nick Kujawa.

McGuireWoods Lawyer Named One of “Maryland’s Top 100 Women”
Jennifer J. Stearman, a partner in the Baltimore office of McGuireWoods LLP, has been named to the Maryland Daily Record’s 2007 list of “Maryland’s Top 100 Women.”

Each year, The Daily Record recognizes successful female professionals who make an impact through their leadership, mentoring, and community service. Stearman, along with others named to “Maryland’s Top 100 Women” list, was honored at an awards ceremony at Meyerhoff Symphony Hall on May 7.

“We are proud that Jennifer has been recognized by The Daily Record as an extraordinary woman in Maryland,” says Alan Cason, managing partner of McGuireWoods’ Baltimore office. “Her colleagues and her clients are already familiar with her quality professional work as a lawyer, her remarkable leadership abilities and her untiring dedication to community service.”

A member of McGuireWoods’ Capital Markets Department, Stearman practices in the area of corporate and public finance. She serves as counsel to lenders, underwriters, liquidity providers, corporate trustees, and borrowers in tax-exempt and taxable debt financings, asset backed securitizations, equipment lease financings, secured and unsecured credit facilities and other financing transactions.

Stearman has written and published articles in the Maryland Bar Journal, Legal Times, the University of Baltimore Intellectual Property Law Journal and the University of Baltimore Law Forum. She was an Adjunct Professor of Legal Writing at the University of Baltimore School of Law in 2002-2003.

Stearman is Regional Co-chair of McGuireWoods’ Women’s Leadership Forum and a member of the firm’s Recruiting Committee. She also is a member of the Board of Directors of the Maryland Lawyers for the Arts and the Board of Visitors of the University of Maryland Hospital for Children.

McGuireWoods provides legal advice on a broad variety of credit and equity products for lenders and borrowers. The firm has extensive experience representing issuers, underwriters, placement agents, initial purchasers and other credit parties in complex public and private placements of high-yield, mezzanine, investment-grade, tax-exempt and other debt securities, as well as bridge financings, and restructuring and refinancing transactions for high-yield securities, including exchange and tender offers and consent solicitations.

Fulbright Receives NPR Pioneer Award
"Fulbright & Jaworski received the KUHF Houston Public Radio Pioneer Award in recognition of the firm's outstanding and ongoing support of National Public Radio efforts. The award was presented at the Houston Public Radio Underwriters Appreciation luncheon, which was emceed by NPR’s Morning Edition host Renee Montagne.

Fulbright's latest partnership with NPR was its local sponsorship of StoryCorps, the biggest oral history project ever undertaken. The StoryCorps program documents distinctive stories from virtually every corner of the United States, ranging from inspiring stories of adversity to stories of unique individuals that capture the character of American life.

The StoryCorps crew spent almost three weeks in a mobile studio outside of the Museum of Natural Science in Houston. The Library of Congress plans to collect permanently all of the interviews."

Fulbright Partner Named Director of HBA’s Corporate Counsel Section
"Fulbright partner Laura McMahon was recently elected Director of the Houston Bar Association's Corporate Counsel Section.

McMahon joined Fulbright's Houston location in 1991. She co-chairs Fulbright's Latin America Practice Group and is a corporate and international partner. McMahon regularly advises clients on business transactions and corporate and securities matters, both domestic and international, with emphasis on Latin America cross-border transactions."

Kraig L. Marini Baker Named Chair Of Davis Wright Tremaine’s Technology Practice Group
The law firm of Davis Wright Tremaine LLP (DWT) has named Kraig L. Marini Baker to chair the firm’s technology practice group.

Baker has over 12 years of experience advising a wide range of clients—from start-ups to Fortune 500 companies—on digital media, Internet, software and technology-related licenses, transactions and other intellectual property issues. Baker also provides privacy and security advice and drafts privacy and security policies for all types of clients. Baker’s diverse expertise also includes performing licensing and transactional work on matters related to advertising, media and entertainment law, including online marketing, Internet and mobile video and music, merchandising and sponsorships, and music, film and publishing issues. Since 2002, Baker has served as an adjunct instructor on digital media law and policy in the Masters of Communication in Digital Media program at the University of Washington.

Baker joined DWT in 1995 and became a partner in 2002. He received his law degree from the University of Washington in 1995, and received his B.L.S. in journalism, film and theater from Bowling Green State University in 1990. Baker is licensed to practice law in Washington state.
