King & Spalding Wins Decision from Fifth Circuit Affirming $81.5 Million Arbitration Award for Chevron Corporation
King & Spalding, a leading international law firm, announced today that its international arbitration and appellate teams obtained a decision from the U.S. Court of Appeals for the Fifth Circuit affirming a $81.5 million arbitration award, including damages and interest, for client Chevron Corporation (No. 05-20413, Apache Bohai Corp. LDC v. Texaco China BV). The decision is expected to help settle the debate about whether arbitrators have authority to determine the validity of contract provisions that disclaim liability or limit damages.

The $81.5 million arbitration award was based on Apache Bohai Corporation’s abandonment of a "farm-in" agreement with a Chevron Corporation subsidiary, which required Apache to drill three wells in Bohai Bay in China. The contract provision at issue in the appeal provided that neither party should be liable to the other party for any consequential damage.

In its appeal of the arbitration award, Apache argued that the contract provision prohibited the arbitrator from determining that the provision was unenforceable under the law chosen by the parties. But the Fifth Circuit held that, given the requirement that limitations on an arbitrator's authority must be plain and unambiguous, the appeals court would not read this provision as precluding arbitral jurisdiction to consider the validity of the clause.

R. Doak Bishop, head of King & Spalding’s international arbitration practice, was lead trial lawyer representing Chevron, and litigation counsel Hinds V. Thomas, Jr., assisted with the appeal.
