Fried Frank and mergermarket Release Market Makers Survey of M&A, Corporate and Private Equity Executives
mergermarket, the M&A intelligence and research service, is pleased to announce the findings of its annual Market Makers survey. The study, published in conjunction with Fried, Frank, Harris, Shriver & Jacobson LLP, is the result of 150 interviews with prominent private equity professionals, M&A bankers, and corporate CEOs in both the US and Europe, designed to gauge expectations and opinions on the leading issues facing the M&A and private equity industries.

The survey yielded several surprising findings. While the availability of cheap debt is regularly cited as a contributing factor in the ongoing private equity boom, only 3% of respondents consider such availability a “principal driver” of mega-buyouts. Other trends, such as the popularity of consortium bids and the opportunity for superior returns compared to smaller companies, were considered more influential drivers. Respondents thus are likely to expect continued mega-buyout activity regardless of any turn in the credit cycle.

Furthermore, respondents clearly favor secondary buyouts as the exit strategy of choice for today’s LBOs, contrasting with the popular notion that a strategic sale or IPO exit signals a “successful” buyout.

Additional findings from the survey include the following:

* 56% of respondents expect large cap strategic M&A activity to continue to increase in 2007

* Nearly 50% of respondents see shareholder activism as a catalyst for M&A activity

* Respondents believe hedge funds are increasing the competition for M&A targets

* 70% of respondents claim the debt market is expected to sustain leveraged buyouts in 2007, and 73% of respondents do not anticipate major defaults by private equity portfolio companies in 2007

* Respondents expect Energy and Financial Services industries to be the leading sectors for large transformational M&A in 2007; Healthcare, Business Services, and Energy are expected to be the most attractive sectors for LBOs

* Respondents believe the increased use of consortium/club deals is the leading concern for private equity fund Limited Partners

Gianluca Morello Joins Fowler White as Shareholder
Gianluca Morello has joined the law firm of Fowler White Boggs Banker as a shareholder.

Mr. Morello practices in the firm’s Securities, Financial Services and White Collar Practice Group where he concentrates his practice on securities litigation and regulatory counseling, antitrust litigation and counseling, and other litigation affecting financial services and other firms. Mr. Morello has experience representing financial services and other corporations and institutions from fraud, antitrust, unfair practices, and other claims brought in state and federal courts throughout the United States.

Prior to joining Fowler White Boggs Banker, Mr. Morello practiced in the New York offices of Weil, Gotshal & Manges LLP and Clifford Chance LLP and served as law clerk for the Honorable Steven D. Merryday of the United States District Court for the Middle District of Florida. Mr. Morello is admitted to practice in the state courts of Florida and New York, the U.S. District Courts for the Southern and Eastern Districts of New York and the Middle District of Florida, and the U.S. Court of Appeals for the Ninth Circuit. Mr. Morello received his bachelor’s degree from Hamilton College and his law degree from Fordham University School of Law.

Ford & Harrison Expanding Minneapolis Office - Four Labor & Employment Lawyers from Rider Bennett Join the Firm
Ford & Harrison LLP, a national labor and employment law firm, is pleased to announce that Tina Petrocchi, Charles A. Roach and Andrew E. Tanick will be joining the firm’s Minneapolis office as partners and Jody A. Ward will be joining as an associate. The group comes to Ford & Harrison from Rider Bennett, LLP, a Minneapolis general practice firm that announced its closure on April 10, 2007.

Charlie Feuss, managing partner of Ford & Harrison’s Minneapolis office, expressed his enthusiasm about bringing on the new members. “We are thrilled to bring in this group of such talented and well-established local attorneys. They will strengthen our capabilities here in the Twin Cities and fortify our firm’s legal practice in the Midwest and nationally.”

Tina Petrocchi practices in the area of employment counseling and litigation. She has experience investigating complaints of discrimination and harassment, evaluating and drafting employment policies and procedures, and drafting employment contracts and agreements, including non-competition and non-disclosure agreements. She served on the Board of Directors of StarBase Minnesota, a non-profit agency, and Something of Value, a non-profit program that mentors college women. Petrocchi has frequently been named a "Super Lawyer" and "Rising Star" by Minnesota Law & Politics magazine. She received her J.D. from Hamline University Law School and is admitted to the bar in Minnesota and North Dakota.

“We were attracted to Ford & Harrison because of the firm’s emphasis on quality client service and their singular focus on labor and employment law,” said Petrocchi. “The firm’s specialized expertise will serve our clients well and the national scope of the practice will benefit our local clients with other operations outside Minnesota.”

Charlie Roach was the Chair of Rider Bennett’s Labor and Employment Practice Group. His practice encompasses many areas of labor and employment law, with a concentration in substance abuse programs and business immigration law. Prior to attending law school, Roach lived in Southeast Asia for two years and worked for an international law firm in Jakarta, Indonesia. He received his law degree, cum laude, from the University of Minnesota Law School.

Andy Tanick practices in the area of employment law and has successfully litigated numerous cases in areas such as discrimination, “whistle-blowing,” and sexual harassment. In addition, he advises clients on issues such as non-compete agreements, severance negotiations, and employment policies and practices. He has been named a “Super Lawyer” by Minnesota Law & Politics magazine every year since 2001, and was the Chair of the Labor and Employment Practice Group at Rider Bennett from 2001 through 2004. He received his J.D., cum laude, from the University of Minnesota.

Jody Ward focuses her practice in the area of labor and employment litigation. She received her J.D., magna cum laude from the University of Minnesota Law School where she was actively involved with the Asylum Law Project and the Civil Rights Moot Court, and was honored with the ABA Award for Leadership and Scholarship.

Curtis Announces the Opening of an Istanbul Office.

Brown Rudnick Attorney Designated a Special Assistant District Attorney for Staten Island
Brown Rudnick, a premier international law firm, today announced that David E. Miller, a litigator in the firm’s New York office, has been designated a Special Assistant District Attorney for Staten Island, New York. As part of a pilot program initiated by the DA’s office, Mr. Miller is serving in a pro bono capacity for purposes of drafting an appellate brief and representing the DA in an appeal. The case concerns a constitutional challenge to a decision of the trial court denying a mistrial after four of twelve jurors saw the defendant get off a department of corrections bus in handcuffs on the last day of jury deliberations. The pro bono representation is coordinated through the Brown Rudnick Center for the Public Interest, the umbrella entity encompassing the Firm's pro bono legal work, charitable giving, community involvement and public interest efforts.

According to Daniel M. Donovan, Jr. Richmond County District Attorney, “Budget limitations impacting many DA’s offices, including the Staten Island, District Attorney’s office, have presented a challenge in staying current in response to criminal appeals. We decided to join other New York jurisdictions in looking to a local law firm to supplement the work of our dedicated staff. We are partnering our first project with Brown Rudnick, because the firm has a top-rated litigation group and a strong commitment to pro bono work.”
