Exposition Park, a 160-acre public recreation area located just south of downtown Los Angeles, is home to the California Science Center, the California African-American Museum, the historic Los Angeles Memorial Coliseum, the Exposition Park Intergenerational Center, the Los Angeles Memorial Sports Arena, and the 15-acre Rose Garden. This closing is significant as it will provide for the modernization of the Los Angeles County Museum of Natural History and the revitalization of the museum’s public exhibitions.

Nixon Peabody advised the Los Angeles County Museum of Natural History Foundation to issue $84.4 million in tax-exempt bonds for the museum’s Exposition Park campus renovation through an innovative public/private partnership financing. This included advising on complex tax, fundraising, nonprofit operations, and financing issues involving Los Angeles County–owned buildings on land owned by the State of California and the City of Los Angeles, and a unique operating agreement between the Foundation and Los Angeles County. Led by partners Thaddeus J. Stauber and Richard M. Jones, the team consisted of attorneys from the following areas:

* Public Finance: Daniel M. Deaton and Charles C. Wolf
* Tax: Travis C. Gibbs
* Interest Rate Swap: Barry M. Rothchild
* Nonprofit Organizations: Michael J. Cooney
* Real Estate: Paul E. Schrier

OmniCap Group LLC, a provider of investment advisory/management, arbitrage rebate, and consulting services, served as bidding agent for the bond proceeds. Nixon Peabody has one of the most active public finance practices in the country. Nixon Peabody was ranked #1 underwriters’ counsel and #5 bond counsel in the country for the first quarter of 2007. Another recent public finance transaction the firm completed on behalf of a client in California included the issuance by the State of California of $4 billion in refunding bonds.

Mayer, Brown, Rowe & Maw advises Barclays and the European Investment Bank on the $60 million Munali nickel mining project in Zambia
Mayer, Brown, Rowe & Maw LLP's London mining finance group has advised the senior lenders, Barclays and the European Investment Bank ("EIB"), on the US$60 million senior debt facility for the development, construction costs and working capital for the Munali nickel mine in Zambia.

Barclays has provided US$20 million of which US$10 million will be provided as a cost over-run facility with US$40 million being provided by EIB. This funding completes the funding package of US$135 million which contains US$20 million of subordinated debt and US$5 million of equity from an arrangement with Jinchan Limited. This establishes a relationship with the largest nickel group in China and the rapidly expanding Chinese market.

The financing of this project ensures that the company has retained sufficient funds to continue exploration and business development activities in order to produce 8,500 tonnes of nickel per annum.

The Munali project is located some 60 km south of Lusaka, Zambia. The project area comprises the Enterprise deposit and a number of other nickel prospects in the Munali intrusion, the most advanced of which is the Voyager prospect.

Michael Pabst, finance partner, Mayer, Brown, Rowe & Maw, commented: "We are delighted to be advising the Senior Lenders on this complex financing. This transaction followed a tight timetable and adds to our capabilities across Africa and enhances our reputation as specialists in innovative mine financings around the world.

"The Mayer, Brown, Rowe & Maw LLP team was led by finance partner Michael Pabst assisted by Sabine Bertin.

Watson Farley Williams advised Albidon.

Monolithic Power Systems Wins Patent Infringement Trial Against O2 Micro Intl., All O2 Patent Claims Asserted Against MPS Found Invalid
Monolithic Power Systems (MPS) (Nasdaq: MPWR - News), a leading fabless manufacturer of high- performance analog and mixed-signal semiconductors, announced today that the jury from the U.S. District Court for the Northern District of California returned a verdict that all of the patent claims asserted by O2 Micro International (Nasdaq: OIIM - News) against MPS are invalid. The jury further found that none of the accused MPS CCFL inverter controllers -- including the MP1010, 1011 and 1015 product families -- literally infringes O2 Micro's patent (U.S. patent number 6,396,722). While two patent claims (claims 12 and 14) were found to infringe under the so-called doctrine of equivalents, the jury also found all asserted claims (including claim 12 and 14) to be invalid.

A judgment has not been entered in this case. We expect that the parties will file post trial motions and that O2 Micro may appeal the case to the U.S. Court of Appeals for the Federal Circuit.

The jury also found that MPS's customer ASUSTeK Computer's products incorporating MPS inverter controllers do not literally infringe the invalid patent. The judge presiding over the trial dismissed O2's patent infringement case against MPS's foundry manufacturer Advanced Semiconductor Manufacturer Corporation Limited for lack of evidence after O2 Micro rested its case.

MPS is represented in this case by Cooley Godward & Kronish LLP and Latham & Watkins LLP. MPS's trial counsel includes Mark Flagel, Tom Friel, Jim Brogan, Dean Dunlavey and Matt Brigham.

Katten Names Leslie D. Minier as Firm’s First Chief Diversity Partner
Katten Muchin Rosenman LLP is pleased to announce that it has named Leslie D. Minier, a partner in the Firm’s Corporate Practice, as its first Chief Diversity Partner. She will serve in this role in addition to maintaining her active corporate legal practice. Ms. Minier has been instrumental in developing and implementing many of the Firm’s diversity initiatives. She serves as co-chair of Katten’s Diversity Committee and assisted the Firm in crafting its initial diversity commitment statement and Strategic Diversity Plan.

“In addition to being an excellent lawyer, Leslie has demonstrated an extraordinary commitment to fostering diversity both in the Firm and in the legal and business communities during her 12 years at Katten,” said Vincent A.F. Sergi, Katten’s National Managing Partner. “As we strive to enhance our position as an industry leader in the area of diversity, it is only natural that Leslie assume the newly created role of Chief Diversity Partner.”

Ms. Minier became chair of Katten's Diversity Committee in 2003 and since then has led a number of national initiatives aimed at the promotion, development and retention of minority attorneys in the legal profession. These include the establishment of a firm-wide Minority Attorney Retreat and firm-wide Minority Newsletter, “Connecting Katten.” Acknowledging the national issue of women of color leaving law firms at a high rate, Ms. Minier recently created Katten's Leadership Forum for Women of Color in order to provide Katten’s minority female attorneys with the tools they need to succeed in their careers at the Firm. The Forum is the first of its kind in the nation.

In addition to her diversity efforts within Katten, Ms. Minier devotes a significant portion of her time to endeavors aimed at promoting diversity in the Chicago legal and business communities, as well as nationally. She serves as co-vice chair of the Chicago Bar Association’s Alliance for Women, an organization dedicated to advancing the interests of women in the legal profession and the larger community, and is also a member of the Alliance’s Executive Committee. Ms. Minier is also a member of the Board of Directors of the Chicago Committee on Minorities in Large Law Firms, an organization comprised of the 44 largest law firms in Chicago, which has become the preeminent voice for fostering racial and ethnic diversity in the Chicago legal community. She also serves on the Board of Directors of the Joffrey Ballet, where she sits on the Diversity Council and the Corporate Subcommittee. Ms. Minier is also an active board member with the Make-a-Wish Foundation.

“I am honored to have been selected to serve as Katten’s first-ever national Chief Diversity Partner,” said Ms. Minier. “While progress has been made in recent years, the legal profession still struggles to retain minority and women attorneys. Katten has already made great strides in this area and has become one of the thought leaders for diversity among law firms. As Chief Diversity Partner, I hope to continue to shape the racial landscape of the legal community in Chicago and across the country.”

As a member of Katten’s Corporate Practice, Ms. Minier concentrates her legal practice in the areas of mergers and acquisitions, private equity and general corporate matters, representing clients in a wide variety of industries. She represents both public and private companies in structuring, negotiating and documenting both mergers with, and acquisitions and dispositions of, public and private corporations. She also represents private equity funds making investments in, engaging in leveraged buyouts of, and selling portfolio companies.

The full list of honorees will be published in a special supplement to the May 10 issues of both publications.

The Daily Journals selected California’s Top Women Litigators based on a number of criteria, including each nominee’s major litigation victories in last year, demonstrated leadership within their firm, involvement in the legal community, endorsements from their peers, and overall career accomplishments.

Her practice includes all aspects of the entertainment industry, from motion picture and television development, finance, and production, to distribution in all media worldwide. Ms. Title has also handled many entertainment industry accounting disputes, primarily in defense of producers in actions brought by profit participants. She won judgments in favor of such producers in Anthony Yerkovich v. Universal; James Garner v. Universal; and DeGuere v. Universal.

Additionally, Ms. Title prevailed in the case of Enright, et al. v. Universal, et al., in which she successfully defended a multi-billion dollar suit challenging the studio's distribution practices worldwide.

Ms. Title is also recognized as a leader in the Los Angeles legal community. She serves on the executive committee of the Public Counsel Law Center, the largest pro bono organization in the world. She also acts as co-chair of the organization’s William O. Douglas dinner, which raises the bulk of the money to support the Law Center.
