KEITH MEYER JOINS HOWREY’S LOS ANGELES INSURANCE RECOVERY PRACTICE
Howrey LLP announced today that Keith Meyer has joined its insurance recovery practice group, a group recognized as being perhaps the premier policyholder practice group state-wide, nation-wide, and internationally. The addition will further complement the firm’s national and international strategic insurance recovery capabilities. Mr. Meyer joins Howrey from Quinn Emanuel in Los Angeles.

“As we increase our West Coast practice we continue to add lawyers to each group who excel in their field. Keith Meyer is just such a lawyer and we are pleased that he decided to bring his vast experience to Howrey’s insurance recovery practice,” said Bob Ruyak, firm wide Chairman and CEO Howrey.

Mr. Meyer has specialized in the representation of policyholders in complex insurance coverage disputes and bad faith actions for more than twenty years. He has significant experience representing policyholders seeking insurance coverage for the cleanup of hazardous waste sites, toxic tort and product liability claims, directors’ and officers’ liability, and related coverages. He has litigated claims against American, British and other foreign insurers, as well as insurance brokers and agents. He worked for more than six years on environmental coverage matters involving the Stringfellow and Iron Mountain Superfund sites in California, which led to the California Supreme Court’s landmark decision in Montrose Chemical Corp. v. Admiral Ins. Co. Mr. Meyer brings with him several well-known national clients who are presently involved in insurance coverage disputes around the country.

HOWREY LEADS WASHINGTON FIRMS ON THE DIVERSITY SCORECARD FOR THE 3rd CONSECUTIVE YEAR
Howrey LLP has once again ranked at the top for Washington based firms on the Minority Law Journal’s 2007 “Diversity Scorecard,” an annual survey which ranked the diversity efforts of more than 200 of the countries largest and highest-grossing law firms. For the third consecutive year, the firm ranked first among Washington area firms, and this year ranked 17th nationwide for diversity.

Howrey joins a small list of law firms that tout one of the highest percentages of minority lawyers. Overall, minority lawyers at Howrey make up 18.3% of its legal work force. Further, Howrey holds one of the highest percentages of minority partners at 10.3%.

“We take our commitment to diversity seriously at Howrey,” said Robert Ruyak, Managing Partner and CEO. “We are in the process of organizing our bi-annual Diversity Summit which is scheduled to take place in October in Washington D.C. We’ve designed the summit to address the issue of diversity in law firms, and to challenge the legal community to act on it.”

“We realize that we must be diverse to compete in all aspects of our business and we plan to increase our commitment to diversity even further. The Diversity Summit is a serious step in that direction. We want to add value for our clients, and our clients expect no less,” said Trish Butler, chair of Howrey’s firm wide Diversity Committee.

Members of Howrey’s Diversity Committee include several lawyers who lead organizations that also have a vested interest in diversity gains. Howrey partner Christina Sarchio is President of the Hispanic Bar Association of the District of Columbia. In addition, Howrey partner, Karen Lockwood, serves as the Immediate Past President of the Women’s Bar of the District of Columbia.

Dykema’s Goetz Addresses Legal And Regulatory Framework Issues For Conducting Business Between The U.S. And India
Dykema member and head of its International Practice Area, Richard G. Goetz outlined special aspects to consider when buying a financially troubled company as well as errors to be avoided when investing in the United States at the "Legal Conference on Business in and Between India and the United States: Legal and Regulatory Framework" organized by the Indo-American Chamber of Commerce, The Center for American and International Law and The American Law Institute/American Bar Association. The three-day conference, held May 4-6 in New Delhi, provided a forum for an exchange of views on the legal and regulatory aspects of doing business between India and the United States.

"The burgeoning relationship between India and the United States has sparked growing interest for both our domestic and international clients as well as other investors in both countries," said Goetz. "Effective strategies for dealing with the laws and regulations in place are needed for U.S. and Indian investor communities to minimize the risks and secure the rewards available from doing business together."

According to the U.S. State Department, the United States is India's largest investment partner, with a 13 percent share. India's total inflow of U.S. direct investment was estimated at more than $5 billion through 2005-06. Since 1996, the United States has attracted the highest Indian direct investments.

Goetz cautioned that among the errors individuals and companies make when investing in the United States and India is failing to adequately consider deal structures and tax planning at the early stages. Other errors include:

1. Not appreciating the value of a thorough due diligence review
2. Not understanding earnout and other continuing obligations
3. Accepting indemnification commitments from financially weak sellers

In addition to dealing with challenges concerning investing in the United States and India, Goetz also addressed opportunities and issues in acquiring a bankrupt company. His discussion included the use of section 363 sales under the U.S. Bankruptcy Code to acquire debtor assets free and clear of liens, claims and encumbrances.

In January, Goetz traveled to India with Dykema attorney Hal Stratton to update Indian exporters on U.S. product liability law, current Consumer Product Safety Commission (CPSC) textile product regulation developments, recent textile recalls of consumer products manufactured in India, and the Consumer Product Safety Act (CPSA) Section 15 reporting requirements. Their presentations also explored the importance of testing to ensure compliance and the Memorandum of Understanding (MOU) with the India Department of Consumer Affairs. During the trip, sponsored by Intertek Testing Services, they visited New Delhi, Mumbai and Bangalore.

Goetz is the former Associate General Counsel-International at Ford Motor Company. His career with Ford Motor Company spanned more than three decades. In his most recent role as Associate General Counsel-International, Goetz had primary responsibility for legal matters affecting Ford in Asia, Africa, Latin America, the Middle East, Russia, and Canada. He was a key participant in Ford’s entry into China, India, Korea and other Asian countries, as well as into Eastern Europe. He also served as the company’s director of legal affairs in Venezuela for 10 years. During his career with Ford, he represented the company on five continents, on a broad range of international legal matters, including joint ventures, acquisitions, dispositions, public offerings, litigation, corporate governance, distribution, licensing, international trade, government negotiations, regulatory matters and compliance programs as well as providing strategic advice and counsel to senior company.

Davis Polk Advises Investors in ESP
Davis Polk & Wardwell advised affiliates of Credit Suisse, Bear Stearns and Susquehanna International Group on their investments in ESP Holdings Corporation, the parent company of ESP Technologies LLC and Electronic Specialist LLC (ESP).

ESP is an institutional brokerage and technology firm providing centralized broker and exchange connectivity, aggregated trade allocation and settlement services, and a suite of high-powered trading applications to the buy-side community over a global transaction network. The financial terms of the transaction were not disclosed.

The Davis Polk corporate team included partner Nancy L. Sanborn, associates Jennifer Zhou Cheng, Terrence R. O'Donnell (not yet admitted), Ashleigh S. Kyle and Joanna A. McGinley (not yet admitted) and legal assistant Samuel Lines. The regulatory team included counsel Lanny A. Schwartz, associates Barri Lynn Bogner and Stacie E. Martin (not yet admitted) and legal assistant Joel Emans. Partner Edmond T. FitzGerald and associate Ron M. Aizen provided employment advice. Partner Harry Ballan and associate Raymond J. Holst provided tax advice. The intellectual property team includes associates Frank J. Azzopardi and Stefan Quick (not yet admitted). All members of the Davis Polk team work in the New York office.

Caitlin Halligan to Join Weil, Gotshal & Manges LLP as Head of Appellate Practice Group
Weil, Gotshal & Manges LLP announced today that Caitlin Halligan will join Weil Gotshal as head of the firm’s Appellate practice group. Ms. Halligan is a highly regarded appellate lawyer who was the Solicitor General of New York State for more than five years under Eliot Spitzer when he was the New York Attorney General.

In her capacity as Solicitor General, Ms. Halligan was charged with personally managing 45 appellate attorneys and coordinating the legal positions of the entire Attorney General’s Office. She oversaw the preparation of approximately 120 submissions each month in the federal and state appellate courts. Ms. Halligan has served as counsel of record for a party or amicus in more than 40 matters in the U.S. Supreme Court and argued three of those cases before the Supreme Court.

Weil Gotshal Chairman Stephen J. Dannhauser commented, “Caitlin is one of the top appellate attorneys in the country. She is a wonderful addition to the firm and we are looking forward to having her head the firm’s Appellate practice.
