Simpson Thacher Represents JPMorgan in $2 Billion Debt Offering by Oracle Corporation
Simpson Thacher represented JPMorgan, as sole bookrunner, in connection with a registered offering by Oracle Corporation of $1 billion aggregate principal amount of Floating Rate Notes due May 14, 2009 and $1 billion aggregate principal amount of Floating Rate Notes due May 14, 2010. The offering closed on May 15, 2007.

Oracle Corporation is the world’s largest enterprise software company.

Proskauer Rose Partner Lloyd Chinn Testifies Before Congress On Sarbanes-Oxley Whistleblower Protections
Lloyd Chinn, a partner in the Labor and Employment Department of Proskauer Rose LLP, an international law firm with over 700 lawyers worldwide, testified before the House of Representatives Subcommittee on Workforce Protections in a May 15 hearing on private sector whistleblowers and whether current law (specifically the Sarbanes-Oxley Act) contains sufficient legal protections to protect them from employer retaliation. His testimony came as some members of Congress have begun considering amending the anti-retaliation provisions of Sarbanes-Oxley or potentially enacting a National Whistleblower Protection Act.

Speaking before the subcommittee of the House Committee on Education and Labor, Mr. Chinn explained that Sarbanes-Oxley was enacted against the backdrop of the Enron debacle and intended to protect investors in public companies. Mr. Chinn pointed out the statute is not intended, in the first instance, to govern employee/employer relations in any broad sense (unlike Title VII or the Fair Labor Standards Act). However, he noted its anti-retaliation provision is "unquestionably very favorable to employees" and is consistent with the federal government's oft-used approach of enacting targeted anti-retaliation protections that fit within the specific aims of legislation addressed to broader substantive issues. He testified that, based on Proskauer Rose’s experience, the Occupational Safety and Health Administration (OSHA) has conducted relatively thorough investigations and that American corporations are taking actions internally to protect whistleblowers from retaliation; as such, there is no need for Congress to alter the anti-retaliation provisions or enforcement mechanisms of Sarbanes-Oxley. He reminded the subcommittee of the need for a balanced approach in light of the tremendous costs to businesses incurred as a result of meritless employment litigation.

Responding to calls made during the hearing for a single federal whistleblower law, Mr. Chinn called such legislation "a radical proposal" that would be a "recipe for disaster." He noted that no case had been made for the need for enacting such a sweeping change.

Washington, D.C. Adds Employee Benefits Partner
The Washington, D.C. office of McDermott Will & Emery is pleased to announce the arrival of Eugene M. Holmes as a partner in the Firm's Employee Benefits and European Labor Group.

Mr. Holmes' practice focuses on day-to-day client counseling related to plan operation and governmental regulatory compliance for defined contribution and defined benefit retirement plans, executive and equity compensation programs, and health and welfare plans. He also counsels clients on compensation and benefits plan ramifications and the impact on the employer workforce that results from corporate transactions, including mergers and acquisitions and reduction-in-force initiatives.

Mr. Holmes received his LL.M. from Georgetown University Law Center in 2001, his J.D. from Boston University School of Law in 1995, and his B.S. from Michigan State University in 1987. He is admitted to practice in the District of Columbia, Massachusetts, Georgia and Michigan. He is a member of the American Bar Association's Tax, Labor and Health Law sections.

Kaye Scholer Provides Counsel to Northstar Healthcare Inc. in its Initial Public Offering
Kaye Scholer LLP served as U.S. legal representation in Northstar Healthcare Inc.'s initial public offering of common shares, which raised gross proceeds of C$148,074,300. Northstar is a corporation formed to indirectly acquire and/or manage ambulatory surgery centers in the United States, focusing initially on Houston and other metropolitan areas in Texas. The Kaye Scholer team included partners Gary Gartner, Alfred Bianco, Albert Fenster, Nancy Fuchs, Kenneth Mason, Jeffrey Scheine and Arthur Woodard.

Sheila Boston Receives "Lawyer of the Year" Award From the Metropolitan Black Bar Association
Sheila S. Boston, partner in the Litigation Department, was presented with the "Lawyer of the Year" award by the Metropolitan Black Bar Association ("MBBA") on May 16, 2007, at the Roosevelt Hotel in New York City. The award was presented to Ms. Boston for her contributions to the New York City legal community and for her many civic contributions to the African American community at large. Ms. Boston is a lifetime member of the MBBA and has been an active participant -- serving as a mentor, interviewing judicial candidates, serving as a speaker on panels, and writing and editing articles and amici curiae briefs for the organization. Many notable judges and attorneys, including Chief Justice Judith Kaye, as well as several state and city officials were present for the MBBA's twenty-third anniversary awards dinner. The other awardees at the event included Lieutenant Governor David A. Patterson, who received the "Trailblazer of the Year" award, and Cornett L. Lewers, Esquire, Senior Counsel and Director of Corporate Compliance Programs at ITT Corporation, Inc., who received the "Member of the Year" award.

George Howard Joins Jones Day's San Diego Office
The international law firm Jones Day today announced that George S. Howard, Jr. has joined the firm as a partner in its labor and employment practice.

Howard comes to Jones Day from Pillsbury Winthrop Shaw Pittman, where for eight years he was a partner in the San Diego office. Prior to joining Pillsbury Winthrop, he was a partner and chair of the labor and employment practice group at the San Diego law firm of Luce, Forward, Hamilton & Scripps.

Howard is a highly regarded attorney in the San Diego legal community, with significant litigation and union management relations experience in the health care, life sciences, technology, retail, and travel and leisure industries. He is the immediate past chair of The Employers Group Legal Committee, a group of sixteen California employment lawyers who represent the interests of employers in the appeals of important employment cases in California, and is consistently listed as one of the leading labor lawyers in California by all major industry publications.

President of Human Rights Campaign Meets With Jenner & Block Attorneys
Joe Solmonese, President of the Human Rights Campaign (HRC), visited Jenner & Block on May 11 to brief its current policy and legislative issues of interest to the LGBT community.

Jenner & Block Partner Howard S. Suskin organized the breakfast meeting with Mr. Solmonese and the Firm’s LGBT Forum affinity group.

Mr. Solmonese particularly updated the group on the status of the “Hate Crime Bill,” which recently was passed by the U.S. House of Representatives. According to Mr. Solmonese, the Bill is the first Human Rights bill that has been passed with a specific LGBT focus by expanding federal hate crime categories to include violent attacks against LGBT individuals. Among other things, it provides a trigger for federal resources to be made available to help fund local investigations involving bias-motivated attacks. Mr. Solmonese said this legislation is also set to move through the Senate in the coming weeks.

Mr. Solmonese, along with HRC Director of Major Gifts and Foundation Giving Tim Bahr, also thanked the Firm for its strong support in promoting LGBT awareness and in fostering its own progressive policies that have helped it earn a 100% rating for the past two years with the HRC’s Corporate Equality Index. The Firm was among the first law firms to be rated at 100% in the HRC annual survey.
