Proskauer Rose Represent 24/7 Real Media in Acquisition by WPP Group
Proskauer Rose LLP, an international law firm with over 700 lawyers worldwide, has represented long-time client 24/7 Real Media, the leading global digital marketing company, in its agreement to be acquired by WPP Group, one of the world's largest communications services groups, for $649 million. The transaction will create a powerful combination of technology and services that provide significant added value for clients of both companies.

Proskauer has represented 24/7 Real Media since its inception in 1995, serving as legal advisor in numerous significant transactions and milestones including its initial public offering in 1998 and the acquisition of Real Media.

DLA Piper win Business Continuity Strategy of the Year Award
DLA Piper received the 'Business Continuity Strategy of the Year' award at the Business Continuity Awards 2007 organised by the leading risk management journal, Continuity Insurance & Risk. The awards, which illustrate and reward examples of best practice in business continuity, took place on 10 May 2007 at the Grosvenor House Hotel in London.

The accolade was presented to DLA Piper in recognition of its impressive and comprehensive business continuity strategy, which incorporates innovative ideas such as: embedding business continuity in to the core of all operations and board level support. The award winning business continuity strategy was also noted for its flexible approach, which accommodates the unique qualities associated with the professional services. The strategy has been successfully implemented across DLA Piper's 63 offices in 24 countries.

The judges, who included: Angela Hobley, senior business continuity manager for the Bank of England; and John Sharp, policy and development director at the Continuity Forum, selected DLA Piper because it demonstrated the successful implementation of its processes, incorporated business impact and risk analysis, embedded business continuity into the business culture of the organisation and provided investment to support the management of the strategy.

Julia Graham, DLA Piper's Chief Risk Officer across Europe, Asia and the Middle East commented: "The strategy designed by DLA Piper reflects good practice for professional services organisations, as well as the very latest in business continuity standards and benchmarks. Our approach is embedded in the way that we do business, is reflective of the scale and nature of our business and client requirements for assurance, and receives support from the top of the firm, where business continuity is a Board level issue.

"We invest extensively in associated communication, training and the testing of plans, to ensure that plans are fit for purpose and up to date, rather than documents which remain on the shelf in a binder, gathering dust."

DLA Piper was selected ahead of others, such as PricewaterhouseCoopers and HBOS to win 'Business Continuity Strategy of the Year' 2007 - a significant industry award.

London Office Advises Fairfax I.S. PLC
The international law firm McDermott Will & Emery UK LLP has advised Fairfax I.S. plc as financial adviser and placing agent in connection with the admission of the whole of the issued share capital of Aseana Properties Limited to a secondary listing on to the official List of the Financial Services Authority and to trading on the London Stock Exchange’s market for listed securities.

The offer consisted of a placing of 162 million ordinary shares of US $0.05 each at US $1 per share and the issue of up to 88,000 ordinary shares of US $0.05 each at US $1 per share pursuant to completion of the acquisition of the initial portfolio. William Charnley advised in connection with this transaction which was the first instruction received from Fairfax I.S. plc.

London Office Advises Panmure Gordon
The London office of McDermott Will & Emery has advised Panmure Gordon as sponsor, financial adviser and sole book runner in connection with the admission of the whole of the issued share capital of Hilton Food Group plc to the Official List of the Financial Services Authority and to trading on the London Stock Exchange’s market for listed securities and in connection with the offer of shares by selling shareholders in Hilton Food Group plc.

The offer consisted of 34.8 million shares at a price of 150 pence per share, implying an offer size of approximately £52.2 million. Hilton Food Group plc is a leading specialised meat-packing business supplying major international food retailers.

The team was led by head of London corporate, William Charnley assisted by corporate associate Charlotte Azurdia.

London Office Advises PFI Infrastructure Company PLC
The London office of McDermott Will & Emery has advised The PFI Infrastructure Company plc and its financial adviser, Hawkpoint Partners Limited, in connection with the recommended mandatory cash offer of 308 pence per share for the entire issued share capital of PFICo by I2 Bidco Limited.

The offer was declared unconditional in all respects on 12 May 2007.

PFICo was the first publicly quoted investment vehicle in the UK dedicated solely to investment in public private partnerships, particularly projects launched under the Private Finance Initiative. PFICo initially raised £47 million through a share placing on AIM in July 2004 at 140 pence per share and a further £30 million through a placing in April 2006 at 175 pence per share.

The team was led by head of London corporate, William Charnley, assisted by corporate associate Richard Holden.

Loeb & Loeb Teams with Children's Rights in Historic Victory for Mississippi Children
The federal court in Jackson has approved an historic settlement in which Mississippi Governor Haley Barbour and Attorney General Jim Hood agreed on behalf of the State of Mississippi to not dispute that the substantive constitutional due process rights of foster children in the State’s custody have been violated, allowing the parties to the pending child welfare class action to focus on the negotiation of necessary systemic reforms prior to the October 3, 2007 date set for trial as to remedy. Loeb & Loeb LLP worked closely with Children’s Rights and two local law offices in a legal battle that began three years ago when Loeb & Loeb attorneys initiated the class action against senior Mississippi executives responsible for the State’s foster care agency.

“This victory will have a material effect for years to come in sparing at-risk foster children further neglect, abuse, and worse,” said John Lang, the Loeb & Loeb Partner who led the team. “The court decisions we helped obtain have set important national precedents that child advocacy groups will cite in briefs for years to come.”

The suit alleged that the substantive constitutional due process rights of over 3,500 Mississippi foster children in state custody had been violated through the State's repeated failures to provide essential medical care, protection against neglect and abuse, and minimally acceptable placement and adoption services. Rather than face trial, Mississippi agreed to a court-supervised process of reforming its child welfare system such to meet and exceed constitutional, federal, and national child protective standards.

“This case is a perfect example of how vital law firm pro bono work can be for our cause,” said Marcia Robinson Lowry, Founder and Executive Director of Children’s Rights. “There was a clear violation of the rights of some of our youngest citizens, those who are not able to defend themselves, and we were able to document how children were harmed and the systemic problems that led to the harm, so the system can be reformed.”

Olivia Y. v. Barbour was originally filed in March of 2004 on behalf of six plaintiffs; children who had fallen victim to physical and psychological harm while in the custody of the Mississippi Division of Family and Children’s Services (DFCS) or had simply been neglected by DFCS altogether. These six plaintiffs were representative of the over 3,500 foster children dependent upon the care of DFCS, as well as thousands more who are improperly diverted from the system. In May of 2004, seven more children joined in the lawsuit through an amended complaint.

“No child should be deprived of basic needs or their fundamental right to care and to be free from physical and psychological abuse. The deprivation of those rights is especially problematic, however, when the child is entrusted to the care of the government,” said John Piskora, an attorney at Loeb & Loeb who worked closely with the clients for the duration of the case. “We appreciate that Mississippi has abandoned the defense of a foster care system riddled with long-standing and serious flaws, including dangerously overburdened case workers, and have agreed to begin necessary reforms to provide a brighter future for the thousands of foster care children we represent.”

In addition to Lang and Piskora, a long list of Loeb & Loeb attorneys and paralegals contributed to this victory including Christian Carbone, Daniel Murphy, Ben King, Allan Edmiston, Katherine Todd, Seth Gelblum, Greg Schwed, Paula Colbath, Bryan Reyhani, Melissa Kosack, Shelly Elimelekh, Geri Papa and Maureen Cloonan.

“We would like to extend congratulations to all of our attorneys and staff,” said Loeb & Loeb Co-Chair Michael Beck. “By working closely with the fine attorneys at Children’s Rights we were able to land an important victory for children’s rights not only in Mississippi, but nationally.”

Olivia Y. v. Barbour is one in a long list of cases Children’s Rights has undertaken in an effort to not only protect children under government care, but also to prompt reform within these systems. The organization is currently involved in Dwayne B. v. Granholm, a case in Michigan which alleges that the state of Michigan violates the constitutional, federal statutory and federal common law rights of children in foster care by failing to provide them with permanent homes on a timely basis, failing to furnish adequate medical, dental and mental health services, failing to provide safe and stable temporary foster homes, and failing to prepare children who will age out of the foster care system at the age of majority to live independently as adults.

Kaye Scholer Victory: Costco Does Not Infringe RealSource's Patent
A federal judge in the U.S. District Court for the Western District of Texas, Austin Division, found that Kaye Scholer client Costco Wholesale Corporation did not infringe plaintiff RealSource, Inc.'s patent and has entered judgment in favor of Costco in the matter. In his opinion granting Costco's motion for summary judgment, Judge Lee Yeakel found that Costco's Cash Card System did not infringe literally or under the doctrine of equivalents RealSource's patent relating to gift card technology. Costco Wholesale Corporation is the nation's second largest specialty retailer and ranked no. 32 on the Fortune 500. The successful Kaye Scholer team included Washington, DC partners Alan M. Fisch and Kelly A. Clement, associates Jason Hoffman and Bill Sigler, and legal assistant Geneva Eaddy.
