Jan Baran Discusses the Ongoing Clash between the Nation’s Executive and Legislative Branches
Jan Baran, chair of Wiley Rein’s Election Law & Government Ethics group, was quoted in a recent Baltimore Sun article discussing the intense power struggle currently underway between Congress and the White House, with at least six investigations launched since the Democrats took over this year, according the article.

“Congress is certainly feeling its oats,” said Mr. Baran, who served as general counsel to the Republican National Committee during the previous Bush administration. “Some very experienced chairmen like [California Democrat Henry A.] Waxman and [Michigan’s John D.] Dingell have not been up in batting practice with subpoenas for several years. They kind of like the feel of the swing, and so they are at it again.”

Mr. Baran told the Sun he does not foresee an easy resolution. “They are not going to unilaterally forfeit constitutional powers that they believe are vested in the president of the United States, any more than Congress unilaterally forfeits its constitutional prerogatives.

WFW advises first Swiss Company to List on AIM
Farley & Williams LLP (“WFW”) has advised ICB Financial Group Holdings AG (“ICB”) on the admission of its ordinary shares to AIM with effect from 17 May 2007.

ICB is the holding company for an international commercial banking business operating in Albania, Africa and Indonesia. The Company’s group now has operating banks in 10 countries with this number expected to continue to increase.

ICB raised US$10 million in a pre-admission fundraising, giving it a market capitalisation of US$180 million at the pre-admission placing price.

Jan Mellmann, head of the International Corporate Group at WFW, led the transaction for WFW, assisted by Anna Halliday.

Jan Mellmann stated: “ICB is the first Swiss company, and only the third bank, to list on AIM and we worked closely with ICB, its nomad RFC Corporate Finance, Swiss counsel, the AIM Team and CREST to ensure the Company’s smooth admission.”

Froriep Renggli advised ICB on Swiss law.

Anthony Fantauzzi Elected to Young Lawyers Division Board
Anthony J. Fantauzzi, an associate with the law firm of Fowler White Boggs Banker, was recently elected to the board of directors of the Young Lawyers Division of the Hillsborough County Bar Association (HCBA YLD). HCBA YLD consists of all active members of the Hillsborough County Bar Association under 36 years of age or who have been admitted to practice fewer than three years.

Mr. Fantauzzi practices in the firm’s Products Liability Practice Group where he concentrates his practice in multiple areas including products liability, premises liability, professional liability, vehicular torts, medical malpractice, nursing home and assisted living facility litigation.

Merrill Mason and Mike Saber Judge Final Round Competition for the Duke University "Start-Up Challenge"
For the second consecutive year, Smith Anderson partners Merrill Mason and Mike Saber were selected as judges for the Duke "Start-Up Challenge" which culminated in final round competition this Spring.

The Duke Start-Up Challenge provides an opportunity for Duke University students to learn how to formulate a viable business concept. In this three-phase, six-month competition, teams develop plans that encompass all aspects of a business including concept, technology, marketing, management, market research, financials and execution. The top finalists advance to the third and final phase. Judges selected for their business knowledge provide constructive feedback to the competitors throughout the entire competition and determine the teams that advance and eventually win. Over $100,000 is awarded in prize money.

After careful evaluation by the judging panel, Oncoscope, Inc. took the top honors. Oncoscope will "develop, build and market accurate, high coverage and cost effective patented optical biopsy systems for detecting pre-cancerous cells in epithelial tissue."

"The judges were impressed with Oncoscope's business plan and highly professional presentation" said Mr. Saber. "While all of the finalists did a terrific job, Oncoscope was a deserving winner" added Mr. Mason.

Mr. Mason and Mr. Saber both practice corporate and securities law. Mr. Mason represents emerging and entrepreneurial companies and focuses his practice on venture capital; securities; mergers and acquisitions; intellectual property; and general corporate matters. Mr. Saber focuses his practice on the formation, financing and general representation of public and private growth and technology companies and closely held businesses. Combined, they have over 35 years experience practicing corporate law.

Phillip C. Bauknight joins the firm as a second-year summer associate. He received his B.A. in Psychology from Rutgers University in 2005 and currently attends Rutgers University School of Law - Newark.

Amy Cattafi joins the firm as a second-year summer associate. She received her B.A. in Psychology from Rutgers University in 2001 and currently attends Seton Hall University School of Law where she is a member of the Seton Hall Legislative Journal.

Kelly D. Curtin joins the firm as a first-year summer associate. She received her B.A. in History, English and Political Science from Rutgers University in 2006. Kelly attends The George Washington University Law School where she is involved in the Student Bar Association.

Elizabeth H. Kim joins the firm as a first-year summer associate. She received her B.A. in English and Spanish from Wellesley College in 2000 and her M.S.W. in Clinical Practice from Columbia University School of Social Work in 2002. Currently she attends Rutgers University School of Law - Newark.

MINTZ LEVIN EXPANDS PRIVATE EQUITY PRACTICE WITH ADDITION OF LEN J. NANNARONE
Prominent private equity attorney Len J. Nannarone, who has represented many of the country's leading investment firms, has joined the Boston office of Mintz, Levin, Cohn, Ferris, Glovsky and Popeo, PC as a Member in the firm's Corporate Section.

Formerly a partner at Greenberg Traurig and in-house counsel to Intel Capital, Mr. Nannarone brings an extensive background representing major private equity firms, including The Blackstone Group, in acquiring target companies as well as serving as general counsel to their portfolio companies.

Mr. Nannarone is joined by Matthew C. McMurdo. Mr. McMurdo, formerly with Greenberg Traurig, joins as Of Counsel and will be based in the firm's New York office. His practice focuses on general corporate and securities law. In addition to representing underwriters and issuers in public and private offerings, Mr. McMurdo has extensive experience in PIPE transactions and in representing underwriters in SPAC (special purpose acquisition corporations) public offerings.

"Private equity firms have become a dominant force behind today's investment activity, particularly as they pursue investments in companies of a broader range and larger size than they have historically," said Steve P. Mr. Nannarone, who was with Kirkland and Ellis in its Chicago and New York offices, also served as in-house counsel to Intel Capital, the strategic investment program of Intel Corporation, which is among the largest worldwide corporate venture programs to invest in the technology sector. Recent deals in which he has been involved include: the acquisition of Home Products International by Triyar Storage Investment Company, LLC and Equity Group Investors; the acquisition of Lee Cooper, a U.K.-based manufacturer and distributor of denim jeans by JStar LC, LLC and Sun Capital Partners; and the acquisition of several healthcare and aerospace companies.

In 2006, Mintz Levin's Corporate Practice closed more than 200 transactions with a value of more than $13.5 billion. These included more than 80 merger and acquisition transactions totaling more than $12 billion; more than 70 venture capital transactions totaling more than $635 million; and 13 public offerings, totaling more than $1.2 billion.

The firm has also recently expanded its Corporate Practice in Palo Alto with the addition of Members Jason Altieri and Matt Kirmayer, both formerly of Sonnenschein Nath & Rosenthal's Silicon Valley office. The firm also added former Calpine Corporation in-house counsel Richard A. Kanoff to its Energy and Clean Technology Practice in Boston.
