Experienced Corporate Health Care Attorneys Join Nelson Mullins in Washington
Two attorneys with extensive corporate experience, particularly in the health care industry, have joined Nelson Mullins Riley & Scarborough in its Washington office, boosting the Firm's ability to serve its corporate and health care clients from the nation's capital.

Attorney Alexis GilroyHelen Elisabeth Quick joins the Firm as a partner focusing her practice in corporate, health care and securities, while Alexis Slagle Gilroy joins as an associate and advises clients on a wide range of corporate, tax, and regulatory issues.

Ms. Quick has an extensive history advising clients on a wide range of corporate, tax, employment, and regulatory issues both within and outside the health care field. Her experience includes structuring, negotiating, and documenting purchase and sale transactions, mergers, joint ventures, private financings such as asset-based, cash-flow and real estate loan transactions, and private equity and venture capital equity transactions.

In addition, Ms. Quick provides legal guidance regarding general contracting, licensing, and strategic planning matter, and she regularly assists clients with implementing the building blocks of an effective corporate governance and compliance program.

Ms. Quick is the co-author with Lynn Shapiro Snyder, founder of the Woman Business Leaders of the Healthcare Industry Foundation and a senior partner at Epstein, Becker & Green, P.C., of “Answering the Call: Understanding the Duties Risks and Rewards of Corporate Governance.”

Ms. Quick is admitted to practice in the District of Columbia and Maryland. She is a member of the American Health Lawyers Association and the Women Business Leaders of the Health Care Industry Foundation.

Prior to joining the Firm, Ms. Quick worked for the last five years as a partner at the leading health care law firm in Washington, D.C. Her experience also includes spending nearly five years as in house counsel for two technology companies, most recently as Vice President and General Counsel for a Washington, D.C. based broadband communications company. Ms. Quick began her career as a corporate transactional attorney for a total of six years at two leading law firms in Washington, D.C., and New York.

In 1991, Ms. Quick earned a Juris Doctor from the University of Virginia School of Law and a Bachelor of Arts degree in Economics and Philosophy from the University of Virginia in 1988.

Also experienced in the representation of clients in the health care industry, Ms. Gilroy provides strategic advice, negotiates, and documents transactions involving private debt and equity, joint ventures, mergers, acquisitions, governance issues, licensing requirements, corporate reorganizations and general and complex contractual arrangements.

Ms. Gilroy is admitted to practice in the District of Columbia and the State of Georgia. She is a member of the American Health Lawyers Association, the District of Columbia Bar, the State of Georgia Bar, and the National Association of Women Lawyers.

In 2002, Ms. Gilroy earned a Juris Doctor from American University, Washington College of Law. She earned a Bachelor of Arts degree, with honors and distinction, as a Morehead Scholar and Dean's Fellow from the University of North Carolina at Chapel Hill in 1998.

New IP Partner Joins Rome Office to Lead Italian IP Practice
McDermott Will & Emery Studio Legale Associato is pleased to announce the appointment of Francesco Mattina, who joins the Firm on 1 October 2007, as a partner in the Intellectual Property, Media & Technology Department. Francesco will lead the Firm's intellectual property practice in Italy, advising both Italian and international companies in the defence and protection of intellectual property rights.

"Francesco is an incredible addition to our Rome office and is a first-rate IP lawyer," commented Terrence P. McMahon, head of the Firm's global Intellectual Property, Media & Technology Department. "Francesco will enhance McDermott's already substantial practice in Rome and will help develop the Firm's important presence in the Italian market. With this addition and including our strategic alliance with MWE China Law Offices established earlier this year, our global practice truly reaches around the globe."

Francesco represents many multinational clients in various industries, on a wide range of legal issues relating to intellectual property rights, before the Specialised Sections on Intellectual Property Rights. One of Francesco’s most recent exploits was to assist a famous designer in the protection of his industrial design creations, obtaining a cross-border interim measure from the Specialised Section on IP rights of the Florence Tribunal.

New Corporate Partner Joins Washington, D.C. Office
The Washington, D.C. office of McDermott Will & Emery is pleased to welcome Jason R. Eig as a member of the Firm’s Corporate Department. Mr. Eig’s practice includes advising clients in connection with commercial finance and real estate transactions.

Mr. Eig represents commercial banks and other lending institutions in a variety of commercial lending transactions ranging form unsecured and secured credit facilities to leveraged leases and similar financings. Additionally, he represents borrowers in connection with acquisition financing transactions and unsecured and secured general working capital financings.

Mr. Eig has extensive experience in matters involving the acquisition, development, management, leasing and disposition of improved and unimproved real property. He also concentrates on mergers and acquisitions, including a variety of asset purchase, stock purchase and merger transactions, as well as general corporate counseling.

"Jason has a variety of corporate transaction experience that makes him a key addition to our practice in Washington, D.C. He adds depth to our commercial finance, real estate and mergers and acquisitions practice groups,” commented Karen Dewis, head of the Firm’s Washington, D.C. corporate practice.

Mr. Eig earned his J.D. from Georgetown University Law Center and his B.A. from Georgetown University. He is admitted to practice in the District of Columbia and Maryland.

Since its opening in 1978 with two lawyers, the Washington, D.C. office has become a full-service location with more than 250 lawyers practicing in a host of practice areas. Originally known for representing clients before government agencies, congressional committees, the executive branch, the legislative branch, and before federal and state courts, McDermott’s Washington, D.C. lawyers now advise clients on matters ranging from corporate mergers and acquisitions to intellectual property litigation and protection.

Grayson Appointed as Chair of ISBA’s Task Force on Diversity
Jenner & Block Partner E. Lynn Grayson was recently appointed as Chair of the Task Force on Diversity for the Illinois State Bar Association. Ms. Grayson was appointed by ISBA President and Jenner & Block Partner Joseph G. Bisceglia.

The Task Force consists of over twenty ISBA members, legal industry professionals, and educators. The Task Force will take action to address recommendations made by the ISBA’s Diversity Pipeline Project last year as well as undertake new work to improve diversity within the ISBA and the Illinois legal profession overall.

Ms. Grayson is currently the Vice-Chair of the ISBA’s Standing Committee on Women in the Law which works to assess, design and implement programs designed to satisfy women's unmet legal needs. Ms. Grayson was a member of the ISBA’s Diversity Pipeline Project and has served on a number of committees in the past. Ms. Grayson is also the Past Chairperson for the ISBA’s Environmental Section Council.

Ms. Grayson is a member of the Firm’s Environmental, Energy and Natural Resources Law, Climate and Clean Technology Law, and Defense & Aerospace Practices. She is Chair of the Firm's Women's Forum, an organization dedicated to fostering professional, social and personal growth opportunities for all women attorneys and is a member of the Firm’s Diversity Committee. Ms. Grayson has also been a leader in the Chicago Bar Association’s Alliance for Women serving as Co-Chair of the group from 2004-2005 and promoting the “Call to Action” program which challenges Chicago law firms to increase the number of female partners and to appoint more women to all leadership positions by the end of each year. She continues to serve on the Alliance for Women’s Executive Committee as Co-Chair of the Women’s Leadership Institute.

J. Montieth Estes To Serve As Speaker For Institute Of Electrical And Electronics Engineers

Raymond P. Reichert To Serve As Panelist At Upstate New York Affordable Housing Conference

Mr. Reichert is a partner in the Firm's Tax practice group. From 1990 to 1992, he held the position of Adjunct Assistant Professor of Law at the State University of New York at Buffalo School, where he taught the basic federal income tax course, and currently teaches the partnership tax course. He has lectured on numerous occasions on a variety of tax related subjects. In addition to general transactional tax planning, his practice includes structuring real estate joint ventures, low income housing and historic tax credit partnerships, and economic development planning.

Hogan & Hartson Advises Hi-Media Group on the Acquisition of Fotolog Inc.
International law firm Hogan & Hartson has been appointed by Hi-Media group to advise on its acquisition of Fotolog Inc.

Founded in 1996, Web publishing, online advertising, and commerce firm Hi-Media is the leader in interactive marketing in France, and fifth largest in Europe.

On August 17, Hi-Media signed an agreement to buy Fotolog Inc. The company has more than 15 million visitors a month to its photo sharing site Fotolog.com. This transaction will bring together one of the largest global audiences with a specialist in online revenue generation.

The deal is subject to the approval of Hi-Media’s shareholders, who will assemble for an extraordinary general meeting. If they agree, the deal should happen by the end of November.

“We are delighted to be able to advise Hi-Media Group on this important transaction, which is the first one for Hi-Media Group in the United States. Its successful completion necessitated the involvement of teams from the Paris, London, Washington, D.C., Northern Virginia, and New York offices of Hogan & Hartson,” comments Jean-Marc Franceschi, lead partner on the deal at Hogan & Hartson’s Paris office.

For this transaction, Hi-Media Group is also being advised by Oddo Corporate Finance, while Gunderson Dettmer and UBS are advising Fotolog Inc.
