Two Morrison & Foerster Partners Named Top Washington Lawyers by Washington Business Journal
Morrison & Foerster LLP partners Thomas J. Knox and Lawrence T. Yanowitch were recognized as the top lawyers in Washington in Corporate Finance and Mergers & Acquisitions, respectively, at the Washington Business Journal’s fourth annual Top Washington Lawyers’ awards ceremony, held yesterday in Washington, D.C. The Washington Business Journal received over 500 nominations for the 15 categories of awards given.

Mr. Knox, Co-Chair of the firm’s East Coast Corporate Group, was named “Top Washington Corporate Finance Lawyer.” Mr. Yanowitch, Co-Chair of the firm’s Global Mergers and Acquisitions Group, was named “Top Washington Mergers & Acquisitions Lawyer.” Mr. Yanowitch also received the same award in 2006.

Mr. Knox recently advised Sourcefire, Inc. on its $100 million initial public offering of stock, which was underwritten by Morgan Stanley, Lehman Brothers, UBS, and Jefferies. He has represented NexTone Communications, Inc. in recent debt and equity financings, and he advised the Institute for Quality Management, Inc. (IQM) on its recent sale to CACI International. He serves as counsel to many other prominent companies in the region, including New Enterprise Associates, Cigital, INPUT, Teaching Strategies, and Upper Quadrant.

“Larry and I accept these awards on behalf of the exceptional team of lawyers at Morrison & Foerster, as well as our clients, who entrust us with their most important projects,” said Mr. Knox. “I also want to thank the Washington Business Journal for recognizing the role of lawyers in the business community and for honoring our firm with these awards.”

Mr. Yanowitch has completed hundreds of M&A transactions in his career. “This past year has been one of the busiest ever for our talented M&A team,” said Mr. Yanowitch. He led the legal team in the $550 million webMethods/Software AG merger this past summer. It was one of the largest acquisitions in the Washington region in 2007 and one of the largest software deals in the history of the European IT industry. In another significant local transaction, he served as lead M&A counsel representing Comsat International in its acquisition by British Telecom. Comsat is based in McLean, Virginia and is a leading data and networking services provider to private enterprises and public sector organizations in Latin America. In December 2006, Mr. Yanowitch represented Savvis Inc. in its $135 million sale of its Content Delivery Network business line to Level 3 Communications. CDNs facilitate the delivery of video and other content over the Internet.

Akin Gump Expands New York Real Estate Practice
Akin Gump Strauss Hauer & Feld LLP announced today that Jordan J. Metzger has joined the firm as a partner in the real estate and finance practice group in New York. Mr. Metzger brings extensive experience in real estate transactions, with an emphasis on acquisitions, development, joint ventures and financing.

“Jordan’s combined experience - in private practice and as general counsel of a real estate investment fund - will be of tremendous benefit to our clients,” said Peter Miller, head of Akin Gump’s real estate and finance practice group in New York. “His experience in representing owners and developers of investment properties complements our existing practice.”

Mr. Metzger’s addition comes on the heels of other recent New York hires, including Geoffrey Secol to lead an interdisciplinary corporate services group for the tax, investment funds and real estate practices, former Assistant U.S. Attorney Michael Asaro in the litigation practice and J.P. Bruynes and William L. Sturman in the investment funds practice.

“Akin Gump provides the perfect platform for me to serve my clients,” said Mr. Metzger. “I am looking forward to working with my new partners - in New York and nationally.”

Mr. Metzger received his B.A. from the State University of New York at Albany in 1980 and his J.D. in 1983 from the Benjamin N. Cardozo School of Law, where he was associate editor of the Cardozo Law Review. He joins Akin Gump from New York law firm Herrick, Feinstein LLP.

Immigration Attorney Joins Houston Office of Haynes And Boone
Haynes and Boone, LLP announced Thursday that Leigh Ganchan will join the firm’s Houston office to lead its immigration practice group.

Ms. Ganchan will advise clients across a vast array of industries on employment visa strategies and citizenship matters, including employment eligibility compliance and preparing individuals for U.S. Consulate interviews. She also helps clients perform immigration due diligence in preparation for mergers, acquisitions or restructurings. Ganchan is certified in Immigration and Nationality law by the Texas Board of Legal Specialization.

“Ms. Ganchan is uniquely qualified to shepherd our clients through the complex immigration environment,” said Tim Powers, head of Haynes and Boone’s International Practice Group and a member of the firm’s board of directors. “Leigh has experienced immigration issues from a variety of angles. She’s held positions in government, in the government affairs office of a major airline, with the United Nations High Commissioner for Refugees and in private practice.”

From 1996 to 1999, Ganchan gained insight into the enforcement side of immigration law during her tenure as an Assistant District Counsel for the U.S. Immigration and Naturalization Service. She currently serves as chair for American Immigration Lawyers Association Liaison Committee to the Texas Service Center and sits on the AILA National Liaison Committee to the U.S. Citizenship and Immigration Services headquarters. She’s also editor-in-chief for the 2006 edition of “Handbook on Immigration for Entertainers, Artists, Athletes” and was selected for the International Who’s Who in Immigration Law for 2007.

Ganchan, a 1991 graduate of the University of Alabama, earned her law degree at American University’s Washington College of Law and holds a diploma from the Universite Paris X in European and International Legal Studies. She also earned a post-graduate degree from the University of Vienna.

Free Seminar on Creating Partnership Agreements That Work- Avoiding Partnership Divorce October 9 at Flaster/Greenberg
A free seminar for entrepreneurs and business owners titled “Creating Partnership Agreements That Work - Avoiding Partnership Divorce” will be presented on Tuesday, October 9, 2007 from 11:30 a.m. to 2 p.m. in Flaster/Greenberg’s Conference Center, located at 1810 Chapel Avenue West in Cherry Hill, NJ. This is the second of the 2007-2008 incubator series of free monthly luncheon seminars for entrepreneurs and start-up businesses.

Peter R. Spirgel, managing shareholder at Flaster/Greenberg, will present the program. With over 20 years of experience counseling owners of privately held businesses, Spirgel will review the essential issues which should be addressed in every entity’s shareholder agreement. These issues include: the death, disability or retirement of a shareholder and controlling who the next partner will be; dispute resolution between equal shareholders and dealing with deadlocked corporations; identifying decisions that require a super majority vote for approval and protecting the interests of investors or minority shareholders; and dealing with the elephant in the room and the compensation and duties of each shareholder.

Stephen W. Robinson Takes Top Honors as Washington Top Lawyer
The Washington Business Journal recognized McGuireWoods' Partner Stephen Robinson as the “Top Washington Lawyer” in employment litigation in its fourth annual event recognizing the top lawyers in the metropolitan Washington area. Finalists in 15 legal categories were selected from a pool of almost 500 nominations.

Based in McLean, Va. (Tysons Corner), Robinson practices labor and employment law with an emphasis on litigation. He serves as a resource to McGuireWoods' labor and employment clients and his firm colleagues, advising on all aspects of employment and labor relations matters. He has litigated cases involving discrimination, wrongful discharge, claims for pension and profit sharing benefits, AIDS, defamation, negligent hiring and supervision, First Amendment issues, and covenants not to compete. He also represents approximately 40 professional athletes.

In addition to his latest honor, he was named a 2007 "Washington, D.C. and Virginia Super Lawyer" by Law & Politics magazine; one of "Virginia's Legal Elite" by Virginia Business magazine; one of "America's Leading Lawyers for Business Law" by Chambers USA; and he has been designated as among the “Best Lawyers in America" by Woodward/White, Inc. every year since 2003.

Cozen O’Connor Member Josh M. Greenbaum Discusses Dram Shop Liability for TIPS Annual Alcohol Responsibility Conference
Cozen O’Connor member Josh M. Greenbaum recently spoke at the 2007 First Annual Alcohol Responsibility Conference. At the event, held in Baltimore, Md., Greenbaum spoke on “Documentation and How to Assess Risk at Your Establishment.” A member of the commercial litigation practice group in Cozen O’Connor’s Philadelphia office, Greenbaum focuses on matters involving liquor liability, product liability, construction litigation, casualty defense and complex torts. He has successfully tried numerous cases to verdict, including major jury trials in state and federal courts in Pennsylvania and New Jersey. He also has tried numerous bench trials, administrative law hearings, and private and compulsory arbitration cases, and has mediated alternate dispute resolution forums.

Greenbaum has argued appeals in New Jersey Appellate Courts, Pennsylvania Supreme Court, Pennsylvania Superior Court and the United States Court of Appeals for the Third Circuit. He is admitted to practice in Pennsylvania and New Jersey.

Greenbaum is a past president of the Philadelphia Association of the Defense Counsel. He is also a committee member of the Defense Research Institute and a past committee member of the Pennsylvania Defense Institute. He is a frequent lecturer for the PLRB, the Philadelphia Association of Defense Counsel and the Insurance Society of Philadelphia. Greenbaum has been named a Pennsylvania "Super Lawyer" by Law & Politics.

Greenbaum earned his undergraduate degree from West Chester State College (B.A., 1981) and his law degree from Widener University School of Law (J.D., 1988).
