The University of Minnesota’s Academic and Corporate Relations Center Partners With Dorsey & Whitney to Offer Business Center and Legal Advice Clinics
The University of Minnesota’s Academic and Corporate Relations Center (ACRC) and Dorsey & Whitney LLP are working together to provide resources to Minnesota’s business community.

The Dorsey-ACRC Business Center in the University Enterprise Laboratories (UEL) building in Saint Paul offers ACRC’s out of town clients with convenient meeting spaces, offices, and office equipment while attending events or meetings at the University of Minnesota or in the Twin Cities. Contact ACRC for more information.

Dorsey and ACRC are also partnering on a series of free legal advice clinics beginning on September 19 (other dates?). The clinics, operating on a first-come, first-serve basis, will be staffed by an attorney who can provide preliminary advice and services relating to a myriad of corporate finance, intellectual property, and other legal and business issues. Cozen O’Connor Attorney Peter J. Mintzer Speaks on Contested Insurance Coverage
Cozen O’Connor member Peter J. Mintzer recently participated as a panelist in an interactive teleconference on “Contested Insurance Coverage: Defense Under Reservation of Rights” for Insurance Law & Litigation Week and the Legal Publishing Group of Strafford Publications. Mintzer analyzed the competing interests of the insurer and policyholder where the duty to defend is under dispute, how different states treat the issue, and how both the insurer and the policyholder can work toward a resolution.

A member in the Seattle office, Mintzer focuses his practice on complex insurance claims, particularly environmental and construction defect claims, as well as the defense of environmental, construction and bad faith claims. Prior to joining the firm, Mintzer practiced with a Seattle law firm, where he focused on insurance coverage and bad faith litigation as well as defense of professional liability claims.

Admitted to practice in Washington and Oregon, Mintzer is a member of the American Bar Association Tort and Insurance Practice Section, as well as the Natural Resources and Environmental Law Section. He is also an active member of the Northwest Environmental Claims Association and authored the article, “Corporate Officer and Director Liability,” which was published in the Autumn 1997 issue of The Journal of Corporate Environmental Strategy.

Mintzer is a graduate of The College at the University of Chicago (B.A., 1985) and the University of Oregon (J.D., 1990). In 1989-90, he served as an intern at the Western Natural Resources Law Clinic affiliated with the University.

Buchanan's Assistant Director of Federal Government Relations Honored by Women and Girls Foundation
Buchanan Ingersoll & Rooney Assistant Director of Federal Government Relations Katherine M. Pippy was selected as one of 25 women who will be honored by the Women and Girls Foundation (WGF) at its October 13, 2007, event, "Women in Sports: Leveling the Playing Field."

In 2005, the WGF pledged to honor a diverse group of women each year who were engaged in dynamic work in exciting and challenging career fields in Southwestern Pennsylvania. The purpose of these annual events is to honor accomplished women and to inspire girls to see the range of activities and career options available to them. This year's event focuses on women and teenage girls who are making an impact on athletics throughout Southwestern Pennsylvania.

Pippy was selected as an honoree based on her work with girls' hockey. In 2003, she helped to found Team Pittsburgh, a national level girls' hockey program. The program started out with one team, and has since grown to include six teams. The program also hosts the second-largest girls' hockey tournament in the United States, now in its second year.

"Women in Sports: Leveling the Playing Field" will include a VIP reception, a keynote address by Mary Lou Retton, an awards ceremony, dinner and interactive sports-themed games.

Buchanan Ingersoll & Rooney PC is sponsoring the Center on Race and Social Problems Fall 2007 Speaker Series. The center is part of the University of Pittsburgh's School of Social Work.

Baker & McKenzie LLP Announces New Leadership Team to Support Strategic Growth in Bay Area
Baker & McKenzie LLP, the pre-eminent global law firm of over 3,600 lawyers which has been serving clients in the San Francisco Bay Area since 1970, has elected a new management team to implement the next phase of the Firm’s client focused growth strategy in its Palo Alto and San Francisco offices.

Shane Byrne will be the new Managing Partner and Edward D. Burmeister assumes the new position of Chief Operating Partner of the combined offices. The team will focus on ensuring that the Bay Area offices continue to meet growing client demands for comprehensive top quality legal advice as they play to win in an increasingly fast paced and complex global marketplace.

These changes take place as former Managing Partner Peter J. Engstrom changes roles to serve a three-year term on the Firm’s Executive Committee. Peter led the Bay Area offices through a period in which they built up a significant M&A and market leading post-acquisition integration and reorganization practice and extended their lead over competitors in other practice areas such as global equity securities, international tax and employment. Although the Firm is now asking Peter to bring his management skills to a broader canvas of 3,600 lawyers in 70 locations, he will still be focused on clients in the Bay Area as many of them are amongst the most important to the Firm. Engstrom remarked: “Not only will my heart still be in San Francisco, my desk is there too.”

Shane Byrne joined the San Francisco/Palo Alto office as a Partner in February 2003, when he came from Brobeck, Phleger & Harrison, LLP to chair Baker & McKenzie’s Corporate Practice in the Bay Area. Ed Burmeister has been a Partner at Baker & McKenzie LLP for nearly 20 years and most recently served as Chair of the office’s Global Equity Services Practice.

Squire Sanders Provides Cross-Border Advice on US$143 Million Sale of Leading Russian Poultry Company
Global law firm Squire, Sanders & Dempsey L.L.P. has advised on the sale of leading Russian poultry company Chicken Kingdom. Cherkizovo, one of Russia’s leading integrated and diversified meat producers, acquired 100 percent of the share capital along with the trademarks used by Chicken Kingdom for a purchase price of US$143 million. Chicken Kingdom, which had been operated by a US investment fund, Golden Rooster, is managed by Agribusiness Management Company (AMC) which is the management company for Agribusiness Partners International (API).

Chicken Kingdom was an attractive target with sales revenue of US$109 million in 2006. The company is a well known brand in Russia, rated number one for quality in its markets. Chicken Kingdom is known for its state-of-the-art poultry production facilities in Lipetsk and Bryansk. API is a US$100 million private equity investment fund which was organised to invest in food and agribusiness companies in the former Soviet Union.

Cherkizovo is one of the largest poultry producers in Russia, producing and packaging more than 1.2 million birds per week. The company is also one of the largest employers in the three regions of Russia in which it operates, with over 2,800 employees.

Squire Sanders’ transactional experts from the United States, the United Kingdom and Russia provided cross-border advice on the deal, with a team that included corporate lawyers in Russia and the United States. Partners David M. Wack (Moscow) and Sarah C. Carey (Washington DC) led the deal, with assistance from senior associate Patrick J. Brooks (Moscow), associate Denis A. Polyakov (Moscow), associate Anna E. Manyatkina (Moscow) and associate Elena E. Yurkina (Moscow).

Carey commented: "This deal is a good example of a US investment fund coming in early and building a modern plant with top quality managers, then selling it to a strong local competitor. It also reflects the dramatic growth in the Russian consumer sector, particularly food processing, and the trend toward local production instead of massive imports. Squire Sanders lawyers are working on many projects involving production in the consumer sector."

Squire Sanders has advised AMC/API in regard to previous transactions in the Commonwealth of Independent States including dairy facilities in Ukraine.
