Brinks Hofer Gilson & Lione Volunteers to Help Feed the Homeless
The Associates Committee at Brinks Hofer Gilson & Lione, one of the largest intellectual property law firms in the U.S., has established a volunteer program to help feed the homeless. Organized by attorney, Robert D. Summers, Jr., volunteers will offer their assistance at The Franciscan Outreach Association’s Marquard Center, located at 1645 W. LeMoyne Street in Chicago, which is open 365 days of the year. On the second Friday of every month, three Brinks employees will have the opportunity to greet and interact with homeless guests at the shelter, serve dinners, bus tables and provide clean-up services afterwards.

The Franciscan Outreach Association works to provide for basic human needs, such as food, shelter, encouragement and assistance in creating a better life for those who are homeless, marginalized and often underserved.

Arnold & Porter Named To Human Rights Campaign's Most GLBT-Friendly Places To Work In Corporate America For The Second Consecutive Year
Arnold & Porter LLP has been recognized by the Human Rights Campaign (HRC) through its inclusion on the 2007 list of gay, lesbian, bisexual, and transgender (GLBT) friendly workplaces in corporate America for the second year in a row. In this year’s report, the sixth annual Corporate Equality Index, released by HRC today, an unprecedented 195 major U.S. companies earned a top rating of 100 percent in providing GLBT benefits and protections for their employees. Arnold & Porter was one of 30 law firms in the country to receive a 100 percent rating.

"More businesses than ever before have recognized the value of a diverse and dedicated workforce," said Human Rights Campaign President Joe Solmonese. "More importantly, these employers understand that discrimination against GLBT workers will ultimately hurt their ability to compete in the global marketplace."

Arnold & Porter consistently ranks among the top firms in the country for women, racial minority, and gay and lesbian attorneys. Widely recognized for its commitment to GLBT issues, Arnold & Porter has garnered the Ally of Justice Award from the Human Rights Campaign as well as from the Gay and Lesbian Attorneys Association of Washington, and is ranked among the top 20 U.S. firms for “Best in Diversity with Respect to GLBT” by Vault Guide 2008. Within the firm, at least one gay or lesbian attorney serves on the hiring committee. And for the past decade, an affinity group of GLBT lawyers at the firm has met regularly to provide mentoring, discuss pro bono opportunities, and organize recruiting events. Arnold & Porter's family-friendly policies that positively impact the GLBT community include payments to help defray the costs associated with adopting a child, as well as twelve weeks paid leave for the primary caregiver after the birth of a child or an adoption.

The magazine went through a highly selective process in identifying attorneys for inclusion. Approximately 55,000 ballots were sent to attorneys across the state, who were asked to nominate the best attorneys whom they have personally observed in action. Attorneys could nominate others from their firm, but only if they nominated an equal or greater number from other firms. Each vote carried a point total, with votes coming from outside a candidate's firm weighing more than those from inside the firm.

Nominees were grouped into more than 60 practice areas. Attorneys receiving the highest point totals in each practice area were invited to serve on the blue ribbon panel, where they reviewed and scored nominees from their practice area. At the same time, the magazine conducted research to identify attorneys not named in the statewide survey. All nominees were verified for being active and in good standing with the State Bar of Texas.

Finally, candidates were divided according to firm size and geographic location, and top candidates from each group were named "Super Lawyers."

Simpson Thacher Wins WIPO Arbitration for Travelers in Domain Name Cybersquatting Dispute
The domain name www.thetravelers.com was transferred from the account of a Cayman Islands-based "cybersquatter" to The Travelers Companies, Inc. and its affiliates. The registrar awarded Travelers the domain name, after Simpson Thacher prevailed in a World Intellectual Property Organization (“WIPO”) arbitration to recover the domain name on August 13, 2007. The WIPO respondent was an active, well-known cybersquatter who has registered multiple domain names that infringe the marks of prominent U.S. corporations, and operates websites under such trademarks to profit from the diverted website traffic. The respondent had registered thetravelers.com and used this domain to operate a commercial website that prominently displayed the trademarks TRAVELERS and ST. PAUL TRAVELERS and directed Internet users to third-party websites on a variety of topics, presumably to profit on a "pay per click" basis from user queries.

In its papers, Travelers asked the WIPO arbitrator to find that (i) Travelers had rights in the domain name www.thetravelers.com, based upon its longstanding ownership and use of the famous TRAVELERS brand, (ii) the respondent had no rights to this domain name, and (iii) the respondent had used and registered such domain name in bad faith. The WIPO arbitrator agreed with all of Travelers’ allegations and ordered the prompt transfer of the domain name to Travelers. The arbitrator found that Travelers had established strong rights to the TRAVELERS trademark based on “prominent and extensive” use of such mark for more than 100 years. He further found that the disputed domain name was registered and used in bad faith by the respondent, a “serial cybersquatter” who had “adopted the domain name deliberately to misleadingly attract users to its website for commercial gain.

Simpson Thacher Represents ITT in Merger with EDO Corporation
The Firm is representing ITT Corporation in connection with its announced acquisition of EDO Corporation, a global aerospace and defense company, for $56 per share, or approximately $1.7 billion, including the assumption of approximately $120 million in debt and the conversion of convertible debt. The transaction is subject to customary conditions and regulatory approvals and is expected to close in early 2008.

Shearman & Sterling Represents GE Energy Financial Services in Greenhouse Gas Reduction Joint Venture
Shearman & Sterling represented GE Energy Financial Services, a unit of the General Electric Company, in the formation of GE AES Greenhouse Gas Services, a joint venture with the AES Corporation.

The joint venture intends to produce scientifically verified greenhouse gas credits in the United States and market them to companies that want to reduce the environmental impact of their operations or provide environmentally friendly products and services.

Attorneys included partner Howard Steinberg (NY-FG) and counsel Robert Freedman (NY-FG).

Laura Maechtlen and Jonathan Martin Published in The Recorder “Second District Muffs Wage Ruling”
Laura Maechtlen and Jonathan Martin’s article, “Second District Muffs Wage Ruling,” was published in the September 14, 2007 issue of The Recorder. Their article criticizes the August decision by the Second District Court of Appeals in Harris v. Superior Court, and they urge the California Supreme Court to overturn this decision.

The issue at stake in Harris is the “administrative exemption” to overtime for California employees who meet certain criteria. Laura and Jonathan note that the court looked to only one of the criteria for the administrative exemption and mistakenly viewed the “administrative/production worker dichotomy” analytical tool as a black-and-white test, thereby concluding “that every job must be either a nonexempt ‘production’ job or an exempt ‘administrative’ job.” Laura and Jonathan remark that, “This logic is similar to a person reasoning that because he is not green, and squirrels are not green, he must be a squirrel.”

Laura and Jonathan conclude that, “In its understandable desire to protect those who genuinely should be entitled to overtime, the court stretched the concept of ‘production’ work far beyond its logical limits, and in doing so essentially destroyed the administrative exemption.… We can only hope that the Supreme Court will seize the opportunity to reject the court of appeal’s reasoning and restore the long-understood meaning of the administrative exemption.”
