Cadwalader Acts for Wachovia on Two AIG Facilities
Cadwalader, Wickersham & Taft LLP acted for Wachovia Securities International Limited as lead arranger for two AIG floating-rate facilities with a combined value of more than €1.4 billion.

The transactions, which closed on July 25, 2007 and August 9, 2007, respectively, were for €850 million secured floating-rate facilities issued by AIG MezzVest Investments II Limited and €575 million secured floating-rate facilities issued by AIG MezzVest Investments Limited.

Both deals were rated-to-model transactions not commonly seen in the Euromarkets. The facilities are available in euros, British pounds sterling, and U.S. dollars, and have been rated by both Standard & Poor’s and Moody’s. The proceeds of the issued facilities will be invested in a portfolio of predominantly European second-lien and mezzanineleveraged loans, which will be managed by MezzVest.

The portfolio management for both transactions is based on a rating agency approved trading model that incorporates Standard & Poor’s and Moody’s cash flow stress and criteria. One of the most notable features of the transactions is that the portfolio manager needs to run the trading model throughout the period of the transactions rather than merely at closing. Both transactions are based on a manage-to-model approach providing more flexibility to the collateral manager, as opposed to the more typical managed-to-constraint approach for CLOs.

Partner Angus Duncan led Cadwalader’s Capital Markets Department team representing Wachovia, assisted by associate Peter ten Broeke.

Brown Rudnick, a premier international law firm, today announced that it is representing the Connecticut Resources Recovery Authority (CRRA) on its closure of the Hartford Landfill. This project, which was announced in February 2007, involves the City of Hartford and the Connecticut Department of Environmental Protection (DEP). The landfill is scheduled to close by the end of 2008 in a manner that protects natural resources and the public health, benefits city residents and allows CRRA to meet its responsibilities for efficient processing of solid waste.

The DEP has granted approval for a modification of CRRA’s permit for the landfill that includes provisions calling for an end to waste disposal at that facility by December 31, 2008; installation of the latest technology synthetic cap as the final cover; and development of plans for post-closure use of the site.

Brown Rudnick also represented CRRA in the DEP administrative hearings concerning the approval of a new regional recycling facility. In January 2007, CRRA received a permit from the DEP to consolidate its paper and cardboard recycling operations with container processing. The new facility allows 70 Mid-Connecticut towns to recycle boxboard, oversized glass and metal containers, aerosol cans and junk mail.
