THREE SGR ATTORNEYS ELECTED TO PARTNERSHIP
Smith, Gambrell & Russell, LLP announces that three of its attorneys have been elected to partnership as of January 1. Den Webb, James Connelly and Scott Woldow have become recent additions to the 87 partners currently practicing.

Webb is a member of the Zoning, Planning and Land Use Practice at Smith, Gambrell & Russell, LLP. He has extensive experience in real estate and construction law, having represented private owners, developers, general contractors, subcontractors and surety companies in litigation over all types of major projects. He has also represented property owners in zoning, variance and other administrative hearings and in the related litigation. Mr. Webb received his B.A. from Vanderbilt University and his J.D. degree from Mercer University.

Connelly is a member of the Litigation Practice at Smith, Gambrell & Russell, LLP. His practice is devoted to the defense of domestic and foreign corporations and individuals in securities class actions and other shareholder-related litigation, as well as in other complex business disputes. He has experience in defending accounting firms in securities matters as well as in accounting malpractice actions. His practice includes representation of individuals in enforcement proceedings conducted by the United States Securities and Exchange Commission as well as in federal law enforcement and grand jury investigations and criminal prosecutions. Mr. Connelly received both his B.A. and J.D. degrees from the University of Virginia.

Woldow is a member of the Intellectual Property Practice of Smith, Gambrell & Russell, LLP, working from the firm’s Washington, D.C. office. He specializes in counseling U.S.-based and International clients with regard to intellectual property matters, prosecuting applications to register trademarks and service marks worldwide, maintenance of existing trademark and service mark registrations worldwide, trademark clearance opinions, advice concerning infringement, opposition and cancellation issues, representation of clients before the Trademark Trial and Appeal Board, consent agreements, settlement agreements and intellectual property litigation. Mr. Woldow earned his B.A. from Hofstra University and an M.B.A. and J.D. degree from American University.

Simpson Thacher Represents Citigroup, JPMorgan and Wachovia as Initial Purchasers in Connection with Oracle's $5.75 Billion Investment-Grade Note Offerings
Oracle Corporation recently designated the Firm to act as counsel to Citigroup Global Markets Inc., JPMorgan and Wachovia, the initial purchasers of $5.75 billion aggregate principal amount of Oracle's investment-grade notes offered pursuant to Rule 144A and Regulation S. The notes were issued in three tranches: three year LIBOR + 23 bps floating rate tranche, five-year 5% fixed rate tranche and a ten-year 5.25% fixed rate tranche. The deal represented Oracle's return to the bond markets after a nine-year hiatus and one of the largest bond offerings ever by a technology company. The proceeds will be primarily used to fund Oracle’s acquisition of Siebel Systems, expected to close later this month.

In connection with its engagement, the Firm also represented Wachovia Capital Markets, LLC and J.P. Morgan Securities Inc. as joint-lead arrangers of a $5.0 billion bridge term loan facility and a Commercial Paper backstop facility.

Simpson Thacher Represented MBJ Airports, Ltd. in Project Financing of Phase 2 of Montego Bay Airport Concession in Jamaica
ST&B represented MBJ Airports, Ltd., a consortium of YVR Airport Services Ltd., Dragados Concesiones de Infraestructuras S.A., Agencias Universales S.A. and Ashtrom Group Ltd., in the project financing of Phase 2 of the 30-year concession to operate and make improvements to Sangster International Airport in Montego Bay, Jamaica. The International Financing Corporation has provided $85 million in construction financing out of a total cost of $173 million for Phase I and Phase 2.

Nexsen Pruet Expands Employment Group With Addition of Roshella James
COLUMBIA, SC - Roshella James has joined Nexsen Pruet, LLC as an associate in the firm's Employment and Labor Law Practice Group. She will practice in the firm's Columbia, SC office.

James' experience includes representing corporate clients in employment litigation matters, mediations, and administrative proceedings, as well as commercial and business litigation. She has also worked in the corporate setting as a consumer and commercial banking loan officer with First Citizens Bank in Columbia.

"Roshella has experience in multiple business-specific areas," said Leighton Lord, chairman of the board of Nexsen Pruet. "She will bring immediate value and skill to our employment group on a wide range of matters."

James earned her undergraduate degree from the University of South Carolina and her law degree from the USC School of Law. She also has an LL.M. in labor and employment law from the Georgetown University Law Center in Washington, D.C.

James was previously an associate with Gallivan, White & Boyd in Greenville.

DC Office Welcomes Former Counsel of House Armed Services Committee as Of Counsel
WASHINGTON, DC - (January 13, 2005) - McKenna Long & Aldridge LLP announces the addition of Mary Ellen Fraser to the firm’s Government Contracts practice. Ms. Fraser, former Staff Lead and Counsel (Readiness Subcommittee) of the U.S. House of Representative’s Armed Services Committee will serve as Of Counsel based in the firm’s Washington, DC office.

For more than five years, Ms. Fraser acted as counsel to the House Committee on Armed Services, U.S. House of Representatives. As counsel, Ms. Fraser had oversight on matters related to procurement policy and management, environmental policy, and civilian policy within the Department of Defense. She was the senior staff person for the readiness subcommittee where she had oversight over $130 billion of operations and maintenance funds for DoD, along with all policy matters related to training and equipping military troops.

“We are pleased to welcome Mary Ellen to our Government Contracts team,” said Tom Abbott, partner and head of the firm’s Government Contracts practice. “She brings the level of experience and knowledge that our clients have come to expect and increases the depth of our government affairs and international practices.”

Prior to working on Capitol Hill, Ms. Fraser worked as an attorney within the Office of General Counsel for the Department of Navy. From 1991 to 1996 she worked as a procurement attorney for the Office of Naval Research where she worked on qui tam lawsuits. From 1996 to 1999 she worked for the Secretary of Navy in Office of Legislative Affairs. While working for the Navy, Ms. Fraser received the Meritorious Civilian Service Award and the Superior Civilian Service Award.

Ms. Fraser graduated from the Columbus School of Law at Catholic University in 1991, where she was a member of the National Journal of Contemporary Health Law and Policy. She received a B.S. in Biology from Boston College in 1987.
