Robert Psaropoulos Named Partner
CLEVELAND, OHIO - January 16, 2006 – Benesch, Friedlander, Coplan & Aronoff LLP is pleased to announce that Robert C. Psaropoulos has been named partner in the firm.
Mr. Psaropoulos is a member of the firm's Trial Practice Group. He focuses his practice on construction law, commercial disputes, and product liability matters, including medical device defense. He has mediated, arbitrated, and tried to verdict numerous matters in state and federal courts throughout the country. Mr. Psaropoulos is the former Chairperson of the Federal Bar Association's Younger Lawyers Division and a former member of the Executive Committee of the National Federal Bar Association.
Mr. Psaropoulos received his B.S.B.A. from The Ohio State University in 1993 and his J.D. from Cleveland State University in 1996, where he was an associate of the Cleveland-Marshall Journal of Law and Health. He also earned his M.B.A. from John Carroll University in 1999.

Lewis A. Remele, Jr., Appointed To Chair, Minnesota Supreme Court Task Force
BASSFORD REMELE is pleased to announce that Shareholder Lewis A. Remele, Jr. has been appointed by the Minnesota Supreme Court to chair the Court's Task Force on Legal Certification Review. The Task Force will evaluate the continuing value to the public of specialty certification, the continuing professional demand for certification, the appropriateness of board initiated expansion of areas of certification and the effectiveness of the Minnesota model of certification. Based upon those findings, the Task Force will make policy recommendations to the Supreme Court.
Mr. Remele maintains a civil trial practice in both tort and commercial matters. He represents insurance companies in personal injury and coverage cases, and corporate clients in diverse commercial suits including employment, contracts, securities, and professional and fiduciary claims, including directors' and officers' liability, class actions, shareholder disputes, debtor/creditor, antitrust, products liability, and trusts and estate litigation. Mr. Remele also performs mediations and arbitrations and he is regularly selected by litigants and the courts to serve in all types of civil litigation. He is consistently named a "Super Lawyer" and was selected Best Lawyer in Minnesota by Minnesota Law & Politics in 2001, 2002, 2003, 2004 and 2005. Chadbourne Represents Jamaica Energy Partners in 49.5 MW Expansion
January 16, 2006 -- Chadbourne & Parke LLP represented Jamaica Energy Partners ("JEP") in the financial closing for a 49.5 MW power barge that will provide power to Jamaica Public Service Company.

During the week of January 9, the new power barge was positioned adjacent to JEP's existing 74 MW power barge in Old Harbour, Jamaica and the two barges will soon be operated as an integrated 123.5 MW facility.

Chadbourne represented JEP in negotiation of the construction contract for the new barge, the power purchaser agreement for the integrated facility, a bridge financing provided by Clico Investment Bank Limited of Trinidad and Tobago, and the $78 million take-out financing provided by International Finance Corporation. The loan from IFC re-financed the remaining long-term debt for the original power barge and the bridge financing for the new power barge.

Jamaica Energy Partners is an indirect subsidiary of the Latin Power Funds (managed by Conduit Capital Partners) and Caribbean Basin Power Fund (managed by Energy Investors Funds).

Working on the deal for Chadbourne were partner Todd Alexander of the Houston office and associate Jim Scarrow of the Washington, D.C. office.

White & Case Hires Michael Quigley to Head Tax Controversy Practice
Washington, D.C., January 13, 2006 ... White & Case today announced that noted tax litigator Michael Quigley has joined the Firm as partner and head of its US tax controversy practice. Based in the Firm's Washington, DC office, Quigley will oversee the tax controversy practice in both New York and DC, which will operate as a unified group providing seamless representation to clients throughout the nation.

Quigley's practice focuses on tax controversies and litigation, with a strong emphasis on transfer pricing, international taxation and other tax issues of multinational corporations. He has litigated many civil tax cases before the US Tax Court, the US Court of Federal Claims and the federal district courts. He has negotiated numerous advance pricing agreements with relevant tax authorities, and frequently appears before the US Competent Authority. He has also represented clients in tax disputes in Canada, France, India, Japan, Korea, Mexico, Portugal, the UK and other countries.

"White & Case is already a leader in handling tax controversy matters in New York thanks to tax litigators such as partners Michael Saltzman, who literally 'wrote the book' on tax procedure, and Kathleen Pakenham," said J. William Dantzler, head of White & Case's Global Tax Group. He was recognized as a leading practitioner in transfer pricing in Euromoney/Legal Media Group's The Best of the Best. He is also included Euromoney's Guide to the World's Leading Tax Advisers.

A graduate of the University of California at Berkeley, he holds a JD cum laude from Pepperdine Law School. Before entering private practice, Quigley served as a trial attorney with the Tax Division of the US Department of Justice.

Brian S. Gleicher, who will be joining White & Case as counsel, focuses on tax controversies with an emphasis on representing corporate and individual taxpayers in tax examinations before the IRS at the examination and appeals levels. Gleicher also has substantial international tax experience, including transfer pricing and tax treaty issues. He holds a JD cum laude from Georgetown University Law Center, and is co-author of IRS Procedures: Examinations and Appeals.

Weil Gotshal Crafts Award-Winning Deal Structure for Hertz Rental Car Securitization

Weil Gotshal's groundbreaking $4.3 billion rental car fleet securitization for the Hertz Corporation was named US ABS Deal of the Year for 2005 by Sourcemedia’s Asset Securitization Report. The transaction, which represented the asset-backed securities portion of the $15 billion leveraged buyout of Hertz, included two separate $2.15 billion deals, and was one of the largest asset-backed securities offerings ever completed. According to the Asset Securitization Report, the deal was selected not only for its impressive size, but also for its complexity and its creative and cost-effective use of asset-backed securities as a means to finance an M&A transaction.

The firm also provided legal counsel to Lehman Brothers, Deutsche Bank Securities and Merrill Lynch & Co., who served as structuring advisors and joint book-running managers; to Goldman Sachs & Co. and JP Morgan, who served as joint book-running managers; and to BNP Paribas, RBS Greenwich Capital and Calyon Securities (USA), who served as co-managers, all in connection with the securities offering.

The award was announced in the article “Hertz Captures US ABS Deal of the Year,” which appeared in the Asset Securitization Report on January 9, 2006.
