THE LAW FIRM OF EDWARDS ANGELL PALMER & DODGE MAKES INTERNATIONAL BANKRUPTCY HISTORY
New York, NY — January 19, 2006 –The national law firm of Edwards Angell Palmer & Dodge has made international bankruptcy law history by obtaining the first Order granting a Petition under the new Chapter 15 of the United States Bankruptcy Code in the aid of a non-US proceeding involving a foreign business debtor. The Order was entered by United States Bankruptcy Judge Burton R. Lifland in a case known as: In re La Mutuelle du Mans IARD United Kingdom Branch MMA Account (Chapter 15 Case No. 05-60100) filed in the United States Bankruptcy Court for the Southern District of New York November 11, 2005.

Chapter 15, which became effective October 17, 2005, incorporates into United States Bankruptcy law the “Model Law on Cross-Border Insolvency” adopted by the United Nations in 1997 following more than three years of deliberation by the UN Commission on International Trade Law (“UNCITRAL”). Among other things, Chapter 15 broadens the mechanism through which representatives of non-US proceedings might obtain relief, including injunctive relief, in the United States, expands the powers of US Bankruptcy Courts, and enhances the rights of both US and non-US creditors.

The EAPD team of attorneys was led by Insurance and Reinsurance Department Chair Alan J. Levin and Insolvency & Creditors’ Rights partner Selinda A. Melnik. Melnik, who worked with the United Nations to develop the Model Law, fashioned the first comprehensive pleadings translating Chapter 15 law, rules and theory into practice.

“We had to grapple with a series of ‘firsts’ in this case,” said Melnik, noting its significance for more than being the first major case to test the limits of US Chapter 15. Melnik, who is resident in the Firm’s New York City and Wilmington, Delaware offices, has practiced international insolvency law for more than 20 years. Who’s Who Legal and other peer nominated publications list Melnik as one of the leading practitioners in the bankruptcy field internationally. She is past Chair of the International Bar Association’s Committee on Insolvency and Creditors’ Rights and she founded IWIRC, the International Women’s Insolvency and Restructuring Confederation, for which she received Corporate Legal Times’ “Distinguished Legal Services” Award. Melnik was Counsel to the first worldwide creditors’ committee in a multinational insolvency case.

According to Melnik, the case also represents the first time a US Court has interpreted where the “center of main interests” of a foreign debtor lies -- a hotly debated concept in the European Union designed to determine which country will have pivotal primary jurisdiction over a debtor and its assets where the debtor has contacts in multiple countries. In addition, the case is of considerable interest to the international insurance community, as the Order confirms that a US Bankruptcy Court may grant relief to aid the effective implementation of a solvent scheme of arrangement for the payment of claims against a foreign re/insurer in runoff.

Dickinson Wright Continues Expansion of Intellectual Property Team with Addition of Four Seasoned Attorneys
DETROIT, Mich. (January 19, 2006) – Three additional attorneys from the intellectual property team at Howard & Howard have joined the law firm of Dickinson Wright PLLC. Additionally, one attorney from the firm of Reising, Ethington, Barnes, Kissel will join the firm. Joining Dickinson Wright are Jon E. Shackelford, John P. Seurynck, Raymond C. Meiers, and John D. Wright. Jon E. Shackelford, a degreed mechanical engineer, has both in-house and law firm experience. He has extensive U.S. and international experience in preparing and prosecuting patent applications within a wide variety of materials, electronic, electrical, electro-mechanical and mechanical arts. He managed the patent portfolio of Federal Mogul from 1997 – 2004, focusing on global business transactions involving intellectual property, including joint development and joint venture agreements, business acquisitions and preparation and development of licensing agreements. Mr. Shackelford's practice has included complete client counseling and patent portfolio development and management responsibility for multi-billion dollar business units in several industries. Mr. Shackelford graduated from Lawrence Technological University with a B.S. in Mechanical Engineering in 1986 and received his J.D. from Wayne State University in 1990. He will practice from the Firm's Ann Arbor office.

John P. Seurynck specializes in trademark, intellectual property law and commercial litigation and is registered to practice before the U.S. Patent and Trademark Office. He is engaged in all phases of patent, trademark and copyright practice, with a focus on preparing and prosecuting trademark applications, trademark infringement and validity studies and opinions and licensing. His experience includes in-house work with U.S. Cellular Corporation and work for various municipalities. His clients range from small start-up companies exhibiting great potential to well-established multi-billion dollar corporations. Mr. Seurynck attended Wayne State University, earning a B.A. in 1992 and received a J.D. from the Detroit Mercy School of Law in 1996. He is a member of the State Bars of Michigan and Illinois.

Raymond C. Meiers, a degreed mechanical engineer, concentrates his practice in patent prosecution, litigation and general intellectual property asset management. He has prepared and prosecuted patent and trademark applications, freedom to operate and infringement opinions worldwide covering a wide variety of technologies, including electromechanical arts. He was also an engineer for Tenneco Automotive, AlliedSignal, Inc. and A M General Coporation, gaining hands-on experience on the importance of patents to corporate clients. Mr. Meiers received his J.D. from the University of Cincinnati College of Law in 2000 and his B.S. in Mechanical Engineering from the University of Toledo in 1992. He is a member of the Michigan Bar Association.

John D. Wright, a degreed mechanical engineer, concentrates his practice on intellectual property. He has in-house experience, having served as an engineer at the Torrington Company, the Thomson Saginaw Ball Screw Company, and the NTN Bearing Company. Mr. Wright received a B.S. in Mechanical Engineering from the University of Michigan, and a B.S.A. in Business Administration from Saginaw Valley State University. He received a J.D. from Wayne State University Law School. Mr. Wright is a member of the Bar of Michigan, and registered to practice before the United States Patent Office, and the United States District Court for the Eastern District of Michigan.

Additionally, Dickinson Wright recently announced the creation and launch of the Dickinson Wright Intellectual Property Academy, which is designed to train technically-educated law students and associates on the intricacies of drafting quality patent applications. The academy is run by Hal Milton, a patent attorney with more than 40 years of experience in patent preparation, prosecution, and licensing.

ANDY NEEDHAM WILL SPEAK AT ANNUAL MEETING OF NYSBA TAX SECTION
On January 24, Cravath partner Andrew W. Needham will speak at the Annual Meeting of the Tax Section of the New York State Bar Association in New York City. Andy will serve as a panelist for a discussion entitled "Current Partnership Issues". Panelists will discuss current tax issues involving partnerships and partners, including compensatory partnership equity, new provisions eliminating loss duplication and requiring basis adjustments, disguised sales of partnership interests, section 752 rules relating to disregarded entities and the application of section 470 to partnership arrangements.

Covington Represented AstraZeneca in Collaboration Agreement with Targacept
WASHINGTON, D.C., January 19, 2006 - Covington & Burling represented AstraZeneca AB in its recent global licensing and research collaboration agreement with Targacept Inc. Under the terms of the agreement, which is subject to the expiration or termination of the HSR (Hart Scott Rodino) clearance period in the US, AstraZeneca will obtain the global rights for the development and commercialization of Targacept's proprietary compound TC-1734 to treat Alzheimer's disease, cognitive deficits in schizophrenia and other cognitive disorders. The agreement also allows for the development of other compounds that act on neuronal nicotinic receptors (NNRs) during the four-year research collaboration.
Taking into account an upfront payment upon effectiveness of the agreement, research funding, and further payments contingent on achievement of development, regulatory and first commercial sale milestones for TC-1734, Targacept is eligible to receive approximately $300 million in payments, together with stepped double digit royalties dependent on sales following regulatory approval.
The completion of the deal was announced on December 28, 2005.

Connell Foley Launches Health, Safety & Environment Law & Regulation Weblog
Connell Foley LLP today announced the debut of its Health, Safety & Environment (HSE) Law & Regulation Weblog. The site can be accessed at. http://www.connellfoley.com/hselaw/. With a focus on federal, New Jersey and New York laws and regulations, it will cover developments pertaining to health & safety, construction, environment, homeland & chemical security, land use, waste management, and product stewardship.
"The continuous flow of HSE-related information, through the Internet, television, newspaper and other media, particularly post-9/11, can overwhelm individuals and companies," commented Kevin J. Mr. Mairo specializes in environmental law, including compliance with the Industrial Site Recovery Act and Bureau of Underground Storage Tank (BUST) regulations, as administered by the New Jersey Department of Environmental Protection.
