J. Gregg Miller of Pepper Hamilton Named President of Board of Consumer Bankruptcy Assistance Project
Partner to Lead Pro Bono Organization

Philadelphia, Pa. – January 23, 2006 – J. Gregg Miller, a partner with Pepper Hamilton LLP, has been named president of the board of directors of the Consumer Bankruptcy Assistance Project (CBAP) for a two-year term beginning January 1, 2006. CBAP provides direct, pro bono legal representation to indigent people who seek to obtain the protection of the Bankruptcy Court.

Mr. Miller is a partner in Pepper’s Philadelphia office and heads the bankruptcy practice in that office. Since joining the firm in 1969, he has concentrated his practice primarily in the areas of bankruptcy and reorganization law.

The Consumer Bankruptcy Assistance Project is a Pennsylvania nonprofit that was created in 1992 by a group of consumer and business bankruptcy lawyers, members of the Eastern District of Pennsylvania Bankruptcy Conference, Community Legal Services, Inc., and the Philadelphia Bar Association’ Volunteers for the Indigent Program (VIP).

Orrick Strengthens Russian Practice with Addition of Russian Team in Tokyo
NEW YORK—Orrick, Herrington & Sutcliffe LLP continues to build a vibrant, experienced team of international lawyers with the addition this month of a new Russian practice team in Tokyo. Sergey Milanov, Dmitri Rezchikov and Alexey Losev join the firm as of counsel, associate and researcher, respectively, from White & Case.

Mr. Milanov, Mr. Rezchikov and Mr. Losev are qualified in Russia and are fluent in English and Japanese. Mr. Milanov and Mr. Rezckikov have advised Japanese clients on corporate and finance legal matters in the Japanese language, which makes them very unique to Tokyo and also to Japan’s legal market. Mr. Milanov is also the first and only Russian attorney in Japan to become qualified as a gaiben with the Tokyo Bar Association, a qualification which authorizes him to advise on Russian law in Japan.

Mr. Milanov’s practice focuses on trade finance transactions, secured bank and non-bank lending, structured finance and project finance. Mr. Milanov has considerable experience in foreclosing on security collateral and in collecting overdue indebtedness from delinquent Russian borrowers through Russian and foreign courts, as well as through international arbitration proceedings.

Mr. Milanov has also been involved in large PSA projects for the development of oil and gas deposits in the Russian Far East and Eastern Siberia, including export pipeline infrastructure, both on the lender and the sponsor side. Following the recovery of the Russian economy from the financial crisis in 1998, his practice has expanded into green-field or M&A projects for the establishment of Japanese distributor, dealer or manufacturing subsidiaries in the Russian Federation, including advice on land, construction, telecommunication, foreign currency, taxation and various administrative matters.

The addition of a Russian team in Tokyo reinforces Orrick’s global momentum in 2005. In August, the firm – with 800 lawyers world wide and nearly 30 percent of them based outside the U.S. – announced that it has launched a new 19-lawyer global Russian practice, anchored by a new office in Moscow, and with teams of Russian lawyers in London, Washington D.C., New York and now Tokyo, to advise clients involved in the increasingly active Russian oil and gas, M&A, private equity, litigation and capital markets. Also in the past few months, Orrick has opened a new office in Hong Kong, and applied to opened offices in Shanghai and Beijing, as well as doubled the size of its London office.

Senior VP of Legal Affairs at the RIAA Joins Kaye Scholer
Stanley Pierre-Louis, the former Senior Vice President of Legal Affairs for the Recording Industry Association of America (RIAA), joined Kaye Scholer's New York office as co-chair of the Entertainment and Media Law Practice.

At the RIAA, Mr. Pierre-Louis developed enforcement strategies and coordinated the recording industry's litigation in several landmark copyright cases, including Napster, MP3.com, Aimster and Grokster, a precedent-setting case in which the recording industry prevailed before the U.S. Supreme Court. The December 10, 2005 edition of Billboard Magazine named Mr. Pierre-Louis as one of its "Power Players" in the music industry. An American Lawyer publication has cited his work as "some of the most celebrated litigation in music history." He is a frequent speaker on copyright and music law and has served on several non-profit boards.

Prior to joining the RIAA, he clerked for Judge David A. Nelson of the United States Court of the Appeals for the Sixth Circuit, then joined a major Washington, DC law firm, where he focused on the areas of copyright and constitutional law. Mr. Pierre-Louis is a graduate of Clark University, where he was elected Phi Beta Kappa, and of the University of Chicago Law School, where he served as an editor of the Law Review.

Katten Muchin Rosenman Represents Earle M. Jorgensen Company in $934 MillionProposed Acquisition by Reliance Steel & Aluminum Co.
LOS ANGELES - The law firm of Katten Muchin Rosenman LLP is pleased to serve as legal counsel to Earle M. Jorgensen Company (EMJ), one of the largest distributors of metal products in North America, in connection with the proposed $934 million acquisition of the company by Reliance Steel & Aluminum Co., one of the nation’s largest processors of metal products.
If the merger is completed, Reliance will pay $13.00 per share of EMJ common stock, subject to a collar, in a combination of cash and shares of Reliance common stock, or approximately $934 million, and Reliance will have total assets of approximately $3 billion and annual revenues of more than $5 billion.
“We have represented EMJ since 1990 and are pleased to continue that representation by assisting one of Southern California’s most historic companies in this merger, which is important to it and a significant transaction in the metals industry,” said Mark A. Conley, counsel for EMJ and a partner in the Firm’s Corporate Practice in Los Angeles.
Mr. Conley is being assisted on the deal by partner Jack McBride in the Los Angeles office; partners Saul Rudo, William Mattingly, Adam Klein and Jim Smulkowski in Chicago; and partners William Duff, James Calder and Louise Tudor in New York. Associates James J. Thompson, Carolyn F. Loffredo and Heather Dennis are assisting in the Los Angeles office, along with associates David Calicchia and Daniel Lange in Chicago, and associate Joanna Bernard in New York. Reliance, which went public in 1994, has carved out a profitable business as a nationwide processor and distributor of metal products. It has completed more than 30 acquisitions of smaller metals-processing companies since its initial public offering. The transaction is Reliance’s largest acquisition to date and their first acquisition of a public company.
EMJ, for years one of the Southland's largest privately held companies, was founded by Earle M. Jorgensen, who came to Los Angeles after World War I and began his metal distributing business by combing shipyards for scrap metal. Mr. Jorgensen, who became a member of President Reagan's so-called kitchen cabinet, died in 1999 at age 101. EMJ completed its initial public offering in April 2005.
