Weil Gotshal Advises on the Sale of Sedrin Brewery Co., Ltd. to InBev NV

Shanghai, January 23, 2006 - Weil, Gotshal & Manges LLP, the international law firm, has advised Sedrin Group Co., Ltd. and other shareholders in relation to the sale of 100 percent shares of Sedrin Brewery Co., Ltd., one of China’s largest breweries, to InBev NV, for US$740 million cash. The definitive documents for the transaction were signed today.

The Weil Gotshal team was led by partner Steven Xiang assisted by associates Robert Xia and Frank Fan in Weil Gotshal’s Shanghai office.

Steven Xiang commented, “This has been the largest brewery transaction in China. We are delighted to have this opportunity to work on one of the largest cross border transactions relating to the sale of a Chinese company in recent years.”

Firm Names Elizabeth Wright Product Liability Practice Group Leader
Elizabeth Wright has been named the leader of the firm's Product Liability practice group.

Wright, located in our Cleveland office, has extensive experience in automotive and aviation product liability litigation. She is responsible for the national representation of a major automotive manufacturer in specialty litigation and the statewide representation of various automotive manufacturers. Wright also represents manufacturers of aircraft components, airframes, medical devices, phramaceuticals and other commercial and consumer products, including lawn equipment, chain saws, tire changing machines and specialty plastics and other chemical compounds.

With more than 30 lawyers, the Product Liability group focuses on a wide range of product liability and major tort matters involving aerospace, automotive, chemical, electrical, mechanical, medical device, pharmaceutical, and other matters. As leader of the group, Wright will be responsible for strategic planning and business management of the practice.

Wright graduated from Duke University School of Law and received her B.A. from the College of William and Mary. She has served as vice chair of Thompson Hine's Lawyer Personnel Committee. Her professional associations include American College of Trial Lawyers (Fellow), Anthony J. Celebrezze Inn of Court (Master Bencher) and Defense Research Institute. Her community activities include work with The Junior League of Cleveland, Inc. and serving on the board of trustees of the Alzheimer's Association from 1999-2003.

Thelen Reid & Priest LLP Continues to Expand Construction Practice with Addition of New Partner
NEW YORK (January 23, 2006) – Thelen Reid & Priest LLP announced today that Jeffrey R. Cruz has joined the firm as a partner in the Construction and Government Contracts Department in New York. Mr. Cruz brings more than 15 years of diverse construction law experience to the firm, particularly in the area of construction contract dispute resolution.

2005, according to The Real Deal.
Stroock Real Estate Partner, Jacob Bart, represented an affiliate of Edward J. Minskoff Equities in
the long-term lease of more than 55,000 square feet of retail space to the Whole Foods Group, a
national premium supermarket chain, as the first store in an as yet unbuilt mixed residential/retail
development to be located in the Tribeca neighborhood of Manhattan, on Warren Street, between
Greenwich and West Streets. Mr. Bart negotiated the lease on behalf of the landlord.

Three Prominent Lawyers Join Sonnenschein in New York
NEW YORK, January 23, 2006)—Sonnenschein Nath & Rosenthal LLP today announced the addition of three senior lawyers in its rapidly expanding New York office. They are: Mark Waddell, partner in the Intellectual Property & Technology Group; Candace Quinn, partner in the Employee Benefits & Executive Compensation Group; and Jeffrey Geron, of counsel in the Corporate & Securities Group.

“The addition of these three distinguished attorneys significantly enhances our capabilities to represent clients in New York and nationwide across a wide range of matters,” said Michael Barr, managing partner of Sonnenschein’s New York office. “We are delighted to welcome Mark, Candace and Jeff to the firm and look forward to the continued dynamic growth of our New York office.”

Waddell has practiced in the intellectual property area for more than 20 years. He litigates pharmaceutical and chemical patent disputes, with particular focus on Hatch-Waxman issues, as well as patent interference and ITC proceedings. Waddell also has substantial experience in providing strategic counseling to a wide variety of industries, including pharmaceuticals, specialty chemicals, polymerization catalysts, diagnostics and chemical processing. He is a registered patent attorney.

Waddell received a J.D. degree from Seton Hall University Law School and a B.S. degree from the New Jersey Institute of Technology. Most recently, he was a partner with Chadbourne & Parke LLP in New York.

Quinn has practiced in the Employee Retirement Income Security Act (ERISA) and tax areas, with technical emphasis on employee compensation, benefits and retirement plans, for more than 20 years. Her experience includes designing equity-based compensation plans, advising on ERISA and Internal Revenue Code compliance concerns for qualified retirement programs, and designing executive compensation strategies. She has represented clients before the Internal Revenue Service and Department of Labor with respect to compliance audits and has conducted numerous due diligence reviews on employee benefit plans.

Quinn received an LL.M. degree in taxation from Boston University School of Law, a J.D. degree from Suffolk University Law School, and a B.A. degree from Tulane University. She joins Sonnenschein from Fisher & Phillips LLP in Fort Lauderdale, Fla. Previously, she practiced with KPMG LLP, both in New York and Mountain View, Calif., designing equity-based compensation plans.

Geron represents public and privately held companies engaged in a broad range of transactions across a wide range of industries. His practice focuses on domestic and international transaction work, including mergers and acquisitions, joint ventures, venture capital and investment fund transactions, and public and private equity offerings. In the areas of bankruptcy and creditors’ rights, Geron advises clients on corporate issues attendant to investments in financially distressed and bankrupt companies, including purchases of assets in bankruptcy, purchases of participations of distressed debt and drafting provisions of Chapter 11 plans of reorganization.

Geron received a J.D. degree, magna cum laude, from the Benjamin N. Cardozo School of Law and a B.B.A. degree, magna cum laude, from George Washington University. Most recently, he was a partner with Hogan & Hartson LLP in New York.
