JOHN WHITE WILL SPEAK AT WEBCAST ABOUT NEW SECURITIES RULES
On February 2, Cravath partner John W. White will serve as a panelist in a national webcast on the topic of securities offering reform. The program, entitled "Underwriting Agreements and Legal Opinions After the '33 Act Reform", will address several issues, including how underwriting agreements are being changed to deal with free writing prospectuses, how the practice of seeking 10b-5 "comfort" is changing, how potential cross-liability issues between lead underwriters and syndicate members are being handled, and changes in legal opinions and comfort procedures. Cozen O’Connor Attorney Anne M. Madonia Appointed to Widener Alumni Association Board
PHILADELPHIA – January 26, 2006 – Cozen O’Connor member Anne M. Madonia was recently appointed to serve on the Widener University School of Law Alumni Association Board. As a board member, Madonia is responsible for directing alumni activities, providing counsel to the law school and working to improve the reputation of Widener University School of Law. She will serve a two-year term.

Practicing in Cozen O’Connor’s Philadelphia office, Madonia concentrates her practice in business and corporate law with an emphasis on corporate transactions, including international/domestic asset and stock acquisitions and divestitures, corporate mergers, debt and equity financings, and private placement offerings.
A resident of Philadelphia, Madonia is admitted to practice in Pennsylvania, New York and New Jersey. She is a member of the American Bar Association’s Business Law Section, the Pennsylvania Bar Association’s Corporate, Banking and Business Law Section and the Philadelphia Bar Association. Madonia is involved with the Junior League of Philadelphia and the Philadelphia Young Professionals Network.

Madonia earned her undergraduate degree from Manhattanville College (B.A., with honors, 1991) and her law degree from Widener University (J.D., 1994), where she served on the editorial board of The Delaware Journal of Corporate Law and authored an article titled, "Holmes v. SIPC: Standing to Sue Under Section 1964(c) of RICO for the Securities Fraud Plaintiff.”

Partner Anthony F. Vitiello and Senior Associate Brad D. Shalit Present at Asset Protection in New Jersey Seminar
partner Anthony F. Vitiello will be a featured speaker at the Asset Protection in New Jersey seminar. Senior Associate Brad D. Shalit will also participate in the session, which is intended to provide detailed information on various aspects of protection planning.

Chadbourne Acts as UK Counsel to Newell Rubbermaid Inc. in Sale of Pyrex Division
LONDON -- January 26, 2006 -- Chadbourne & Parke LLP and Chadbourne & Parke MNP represented Newell Rubbermaid Inc. on English law and competition matters in connection with the sale of its Newell Cookware Europe business to Arc International S.A.

The completion of the sale was announced January 3, 2006.

Working on the deal in Chadbourne's role as principal UK counsel and principal competition counsel were London office partner Denis Petkovic, Washington, D.C. office partner William D'Amico and London associates Robin Mizrahi and Sasha Assi.

The division contributed approximately $115 million of revenue in 2004.

The transaction is consistent with the company's intention to divest non-strategic businesses and concentrate on leveraging brand strength and product innovation in its core portfolio of businesses.

Cadwalader Names Seven Special Counsel

Buchanan Ingersoll Makes Donation to the American Red Cross
Miami, FL, January 26, 2006 — The law firm of Buchanan Ingersoll PC recently made a $12,000 donation to the Greater Miami and Keys Chapter of the American Red Cross. The donation was in lieu of purchasing holiday cards and gifts for its clients.

"Our South Florida employees and clients were deeply affected by the devastating hurricanes of 2005," said CEO Thomas VanKirk. "We wanted to recognize the work of the American Cross, which was instrumental in aiding the hurricane victims."

The 2005 hurricane season included a record-setting 26 named storms, with four major hurricanes making landfall in the United States, causing billions of dollars in damage.
