OMM Represents KKR Financial in Debut Synthetic CDO Transaction
O'Melveny recently represented portfolio manager KKR Financial Advisors II, LLC, a wholly owned subsidiary of KKR Financial LLC, in connection with the first two series issuances of credit-linked notes in Morgan Stanley's Managed ACES synthetic collateralized debt obligation program, in which the equivalent of over US$465 million of notes were issued in multiple currencies by a newly formed special purpose Cayman Islands vehicle.

The notes are seven-year bullet notes linked to various tranches of a portfolio of credit default swaps referencing mainly United States and European credits. KKR Financial will earn management fees for actively managing the reference portfolio within trading and rating agency guidelines.

A distinctive feature of the ACES program involved the creation of a Cayman "segregated portfolio company" to issue the notes -- an entity type that accommodates the establishment of multiple segregated portfolios within the same issuer, the assets and liabilities of each of which are "ringfenced" from the assets and liabilities of each of the issuer's other segregated portfolios. The structure permits rapid issuances of future series of notes without the delay or added expense of creating a separate company for each issuance.

KKR Financial was formed in July 2004 by Kohlberg Kravis Roberts & Co. L.P. (KKR) and certain founders, including a group of former Wells Fargo executives. KKR was formed in 1976 and is one of the world's oldest and most experienced public and private equity firms specializing in management buyouts, with offices in New York, London, and Menlo Park.

The O'Melveny team consisted of partner Bill Satchell , counsel Deborah Festa, and associates Lisa Savitzky and Svetlana Attestatova, with tax assistance from partners Pete Ritter and Luc Moritz.
