Boston Scientific Successful in $27bn Bid for Guidant
Shearman & Sterling LLP is representing Boston Scientific Corporation in its $27 billion acquisition of Guidant Corporation, in what The Wall Street Journal called "a triumph of merger gamesmanship." Guidant's board had previously signed a merger agreement with Johnson & Johnson before Boston Scientific made an unsolicited bid for the company in December 2005. The deal between Boston Scientific and Guidant was announced on January 25, 2006 by both companies, following Guidant's termination of its merger agreement with Johnson & Johnson.

Boston Scientific will acquire Guidant for $80 per share in cash and stock. According to The New York Times, the deal is the largest ever in the medical devices industry. The combined company will be a world leader in medical and cardiovascular devices, with expected 2006 revenue of nearly $9 billion.

Merrill Lynch & Co., Bear, Stearns & Co. Inc. and Banc of America Securities LLC are acting as financial advisors to Boston Scientific in this transaction.

Shearman & Sterling’s team included partners Peter Lyons (New York - M&A), Clare O'Brien (New York - M&A), Scott Petepiece (New York - M&A), Maura O'Sullivan (New York - Bank Finance), Danielle Carbone (New York - Capital Markets), Don Lonczak (New York - Tax) and Doreen Lilienfeld (New York - Executive Compensation & Employee Benefits).

Shearman & Sterling’s participation in the deal caps a particularly active period for the M&A Group. The firm recently advised Viacom Inc. on the $50 billion division of its businesses into separate publicly traded companies, CBS Corporation and "new" Viacom Inc., in the largest transaction of its type ever completed; Axel Springer's $3.058 billion acquisition of ProSiebenSat.1; Koch Industries' $21 billion acquisition of Georgia-Pacific; Hunan Valin's $338 million sale of 37% interest to Mittal Steel; France Telecom's $7.6 billion acquisition of 80% interest in Amena; mm02's $7.74 billion capital reorganization in the UK; and SunGard Data Systems' record-breaking $11.4 billion acquisition by a consortium of leading private equity firms.

The Boston Scientific deal is one of three hostile, multi-billion dollar transactions on which Shearman & Sterling is currently advising. The firm is also representing BASF Aktiengesellschaft in its proposal to acquire Engelhard Corporation for $4.9 billion, and has been involved in Arcelor’s $4.9 billion offer to acquire Canadian steelmaker Dofasco.

Florence Prioleau represents corporations, trade associations and municipal governments. She has counseled clients on a wide range of matters including appropriations, transportation and public works, housing, agricultural commodities and on general business transactions. Prioleau is a veteran of the Carter White House, where she served as the Assistant Director for the Domestic Policy staff and on the professional staff of the U.S. House Committee on Ways and Means. She earned a J.D. from Georgetown University Law Center and a B.A. from Goucher College. Prioleau joins the firm as a partner.

The Honorable Gregory H. Laughlin (R-Texas) served four terms in the U.S. House of Representatives, representing the 14th Congressional District of Texas. During his tenure on Capitol Hill, he was a member of the Committees on Ways and Means; Transportation and Infrastructure; Merchant Marine and Fisheries; and the Permanent Select Committee on Intelligence. His areas of focus include energy, telecommunications and biotechnology legislation. Prior to serving in Congress, Laughlin practiced law and served as an Assistant District Attorney in Harris County, Texas. He earned an L.L.B. from the University of Texas at Austin and a B.A. from Texas A&M University. Laughlin joins the firm as senior counsel.

Peter D. Robertson served as Chief of Staff and acting Deputy Administrator of the Environmental Protection Agency in the Clinton Administration. He is widely recognized for his representation of corporations, governmental entities and non-profit organizations before the Congress and the Executive Branch on a wide range of issues. Robertson’s environmental practice includes counseling on regulatory issues, litigation and settlement of environmental enforcement cases and other disputes, and general regulatory and other agreements with the EPA and the U.S. Department of Justice. He earned a J.D. cum laude from Georgetown University Law Center and a B.A. with distinction from the University of Oklahoma. Robertson joins the firm as a partner.

Joseph “Jody” Trapasso provides public policy advice to clients in a wide range of industries, representing them before the U.S. Congress and federal agencies. His practice includes strategic counseling and advocacy on matters related to homeland security, international relations, the environment, education policy, political law, competition and consumer protection. Trapasso served as Assistant Counsel to the President at the White House Office of Presidential Personnel, coordinated Congressional strategies on Latin American and Caribbean issues at the U.S. Department of State during the Clinton Administration, and was later appointed by President Clinton to serve on a NAFTA-related advisory board. Trapasso is a veteran of four presidential campaigns. He earned a J.D. from the University of Pennsylvania Law School and a B.A., summa cum laude, from Connecticut College. Trapasso joins the firm as senior counsel.

Thomas P. O’Donnell served as Special Assistant to the President and Chief of Staff of the White House National Economic Council (NEC) and earlier, as Chief of Staff and General Counsel of the President’s Council of Economic Advisers (CEA). His practice includes public policy counseling on a range of issues, including financial services, international trade and foreign relations. In 2000, O’Donnell served as Managing Director of the Democratic National Convention in Los Angeles and reprised that role in 2004 as a senior consultant to the Democratic National Convention in Boston. He earned a J.D. from the University of Texas at Austin and a B.A. from Yale University. O’Donnell joins the firm as a partner.

Elizabeth Vella Moeller provides public policy experience in high-stakes financial services, tax, energy and appropriations matters on Capitol Hill and the Executive Branch. Moeller, a Republican, complements her legal counseling with sophisticated legislative, regulatory and media strategies for corporate clients. She advises Fortune 500 companies, university research centers, non-profits and media organizations. Moeller is credited with playing a lead role in the successful campaign to implement the National Oilheat Research Alliance of 2000. NEIL CUMMINGS NAMED IN THE DAILY JOURNAL'S "TOP 20 UNDER 40"
Top Leveraged Finance Attorney has Helped Lead Growth of Proskauer's Los Angeles Corporate Practice

January 26, 2006 - (Los Angeles, CA) - Neil Cummings, a partner in the Corporate Department of Proskauer Rose LLP, an international law firm with more than 700 lawyers in the United States and Europe, has been named one of The Daily Journal's "Top 20 Under 40" attorneys. Mr. Cummings, who heads Proskauer's Los Angeles-based leveraged finance practice, was independently selected from nominations received by the editors of The Daily Journal, the largest circulation legal daily newspaper in the United States.

Mr. Cummings, 37, focuses his practice on representing banks and other financial institutions and equity sponsors in leveraged finance transactions. He also has extensive experience in senior and subordinated debt, second lien loan and bond, and bridge and mezzanine loan financings. In 2005, he represented clients including k1 Ventures Ltd. XL Capital Insurance Inc., Ares and Jefferies, among others, in transactions totaling over $3.3 billion.
