David H. Williams, who leads Schiff Hardin's Atlanta office noted, "We are very proud of our new and very distinctive location. Schiff Hardin opened its Atlanta location in 2003. The office currently comprises ten attorneys and is continuing to grow. Susman named ‘Outstanding Healthcare Antitrust Lawyer’
Jan. 27, 2006) – Thomas M. Susman, a health care partner at Ropes & Gray, has been named a 2005 “Outstanding Healthcare Antitrust Lawyer” by Nightingale’s Healthcare News in the publication’s December 2005 issue. Susman was recognized for his extensive experience in conducting a diverse legislative, regulatory, and antitrust counseling practice. For example, he has addressed antitrust concerns in three of the largest health care mergers in New England, and he has represented clients under investigation by the Federal Trade Commission’s Antitrust Division.

According to Honen, by joining forces with Phillips Lytle this office will be able to provide

Pardus Capital Management Wins Seats on Bally Total Fitness' Board
As reported by today's Daily Deal, Paul, Weiss client Pardus Capital Management LP succeeded in moving Bally Total Fitness Holding Corporation closer to a sale by winning a proxy contest to elect three candidates onto the company's nine-person board. At Bally's annual meeting Thursday, Pardus' three nominees received a 60 percent vote from the outstanding shares, which was approximately 85 percent of the votes cast and sufficient for election. In addition, Bally's proposed 2006 Omnibus Equity Compensation Plan, which was intended to give a select group of Bally employees greater stock or option grants, was defeated after opposition by our client, who is Bally's largest stockholder. Following months of demands to reform its corporate governance practices and restore investor confidence and the company to a position of strength and prosperity by Pardus and some of Bally's other investors, the ailing healthclub chain hired J.P. Morgan Securities Inc. in December to work with The Blackstone Group to explore a sale or other strategic transaction to maximize value for Bally's stockholders. The Paul, Weiss team included corporate partners Jeff Marell and Carl Reisner, associates David Harris and Serena Peck and paralegals William Keller and Elisa Perry; litigation partners Lew Clayton and Robyn Tarnofsky, associate Doris Bernhardt and paralegal Paul Robichaux; employee benefits partner Michael Segal and associate Brooke Monahan.

Talisman Energy Completes $500 Million Notes Offering
In a transaction that closed on January 27, Paul, Weiss represented a syndicate of underwriters led by Goldman, Sachs & Co. and RBC Capital Markets Corporation, as joint book-running managers, in an offering of $500 million of 5.85 percent notes due 2037 by Talisman Energy Inc., a Canadian oil and gas company. The offering was made off of a shelf registration statement for $2 billion of debt securities established on December 19, 2005. The Paul, Weiss team included corporate lawyers Andrew Foley, Christopher Arana and James McClary; tax lawyers David Sicular and Sonia Inamdar; litigation lawyer Liza Velazquez; and environmental lawyer William O’Brien.
