Trans-Northern Pipelines Inc. completes $135 million offering
On December 12, 2005, Trans-Northern Pipelines Inc., a leading Canadian energy infrastructure company, completed a private placement of $135 million principal amount of 4.742% senior unsecured debentures, due March 31, 2015. The proceeds will be used principally to repay indebtedness incurred in connection with the recent expansion and reversal of its pipeline. BMO Nesbitt Burns Inc. acted as the agent of the offering.

Trans-Northern Pipelines Inc. was represented by Fasken Martineau DuMoulin LLP with a team comprised of Aaron Atkinson and Sarah Gingrich (securities), Brian Wright and Thomas Meagher (banking), and Mitchell Thaw (tax).

BMO Nesbitt Burns Inc. was represented by Osler, Hoskin & Harcourt LLP with a team that included Rick Fullerton and Andrew Moshoian (securities), Heather McKean and Lisa Shostack (banking) and Lara Friedlander and Cassandra Priede (tax).

TEAL Exploration & Mining Incorporated completes $42.5 million initial public offering
TEAL Exploration & Mining Incorporated ("TEAL") completed the initial public offering and listing on the Toronto Stock Exchange of its common shares on November 15, 2005. The gross proceeds of the offering, including the proceeds raised in connection with the closing on December 14, 2005 of an over-allotment option, was approximately $42.5 million. The underwriters of TEAL's initial public offering were RBC Dominion Securities Inc. and Haywood Securities Inc.

The proceeds from the offering will be applied by TEAL to fund the development of four mineral projects located in Namibia, Zambia and the Democratic Republic of Congo. These projects were acquired from African Rainbow Minerals Limited ("ARM") contemporaneously with the closing of the initial public offering. ARM, a leading South African diversified black economic empowered mineral resources company, currently holds approximately 64.9% of TEAL's outstanding common shares.

TEAL was represented in Canada and South Africa by Fasken Martineau DuMoulin LLP with a team that was led by Albert Gourley and included Georges Dubé and Steve Saville in securities law matters and Alyson D'Oyley, Dimitri Cavvadas and Louise Vaillancourt-Châtillon in corporate and mining law matters.

The underwriters were represented by Stikeman Elliott LLP with a team that comprised Derek Linfield, Quentin Markin, Andrea Crum-Ewing and Craig Corbett.

2006 Farella Braun + Martel Diversity Scholarships
Farella Braun + Martel represents a diverse group of clients in one of the most diverse regions of this country. We are committed to diversity, both as an ethical ideal and as a business imperative. As part of our commitment, we are again awarding Diversity Scholarships to support outstanding Bay Area diverse law students. This year, Farella Braun + Martel will award a total of $25,000 in scholarship grants for the 2006 - 2007 school year, to be divided equally between three to five law student recipients.

Scholarship applicants must be current first-year, full- or part-time (attending first-year classes) law students who are students of color, members of the lesbian, gay, bisexual, transgender and queer (LGBTQ) community, disabled, or whose background or experience would otherwise contribute to the diversity of the legal profession. Recipients must currently attend one of the following local law schools: University of California, Berkeley (Boalt Hall); University of California, Davis (King Hall); University of California, Hastings College of the Law; Golden Gate University; Stanford University; Santa Clara University; or the University of San Francisco.

Our scholarship committee is composed of attorneys at the firm, and scholarship recipients will be chosen based upon a combination of merit and financial need. With respect to merit, the committee will consider each applicant’s academic accomplishments, background, activities, obligations and commitment to community service. Need, as interpreted by the committee, will be determined based upon the applicant’s and the applicant’s family’s income; the applicant’s sources of financial aid, including loans, grants, fellowships and scholarships, if any; assets, if any; expenses; and expected income during the summer of 2006. Preference will be given to applicants who demonstrate a commitment to working and living in the Bay Area.

All completed applications must be postmarked by March 17, 2006. Scholarship recipients will be notified by April 17, 2006, and will receive their scholarship checks shortly thereafter. Capua Joins Dykema
Dykema announces that Gina M. Capua has joined the firm’s Bankruptcy Practice Group as an Associate in its Bloomfield Hills office. Ms. Capua’s practice focuses on bankruptcy, corporate finance and commercial finance matters. While in law school, she was an intern for the Honorable Robert H. Cleland, Federal Judge for the Eastern District of Michigan. Ms. Capua was Assistant Editor (2002-2003) and Production Editor (2003-2004) of the Wayne Law Review. In 2004 she authored "Note Marital Status Discrimination: The Status/Conduct Debate" for the Law Review.

A resident of Royal Oak, Ms. Capua received her B.A. degree, with distinction, from the University of Michigan and her J.D. degree from Wayne State University. She is a member of the Federal Bar Association and the State Bar of Michigan.

Joseph Hirsch, a branch chief in the Securities and Exchange Commission's Northeast Regional Office, advised a legal audience Jan. 27 that investment adviser conflicts are inevitable and should be clearly identified to the commission in straightforward language.

DLA Piper advises DSG International in major outsourcing transaction
London - DSG International has confirmed the signature of a new major IT outsourcing agreement with HCL Technologies, whereby the bulk of DSG International's IT, applications development and support functions (covering household names such as Dixons, PC World, Currys and The Link) will transfer to HCL Technologies Limited, one of India's largest IT conglomerates.

The DLA Piper Rudnick Gray Cary ("DLA Piper") team of partner Kit Burden and solicitors Rezarta Bode and Clare Gregory worked closely with DSG International's in-house legal team to bring the negotiations to a successful conclusion at the turn of the year.

Kit commented: "It was a pleasure to work with DSG again. The contract looks set to provide DSG International with not only significant savings but also a greater degree of flexibility in the coming years, which is a key requirement for all such long term arrangements."

Morgan Stanley Announces Sale of Aircraft Leasing Business
Davis Polk & Wardwell is advising Morgan Stanley on the sale of AWAS, its aircraft leasing business, to Terra Firma Capital Partners for $2.5 billion in cash plus the assumption of liabilities. The sale is subject to customary regulatory approvals and closing conditions and is expected to close in the first half of 2006.

Headquartered in Seattle and with offices in New York, Miami, London, Singapore and Sydney, AWAS is one of the world's leading aircraft leasing companies. AWAS currently owns 155 modern Stage-3 type jet aircraft and has airline customers in 45 countries around the world.

The Davis Polk corporate team includes partners Thomas J. Reid of the London office and John D. Amorosi of the New York office and associates Jeffrey R. O'Brien and Zoe James Maddox of the London office and Stefan H. Quick of the New York office. Associate Kyoko Takahashi Lin of the New York office is providing employment benefits advice.
