Phoenix, Arizona - Gust Rosenfeld announced that Roger W. Frazier and Michael S. Woodlock have been elected to membership. Both practice in the firm's Tucson office.

Frazier focuses his practice on civil litigation, including appeals, personal injury law, commercial torts, employment litigation, insurance defense and municipal law. He earned his undergraduate degree from the University of California, Los Angeles and his law degree magna cum laude from the University of Arizona. He is admitted to practice in Arizona. Frazier serves on the Board of Directors of Mobile Meals of Tucson, Inc.




Woodlock concentrates his practice in general civil litigation, including construction, insurance law, and real estate. He received his bachelor's degree from the University of California, San Diego and his law degree cum laude from the University of San Diego School of Law. Woodlock practiced law in San Diego, California, for 14 years before relocating to Tucson. He is admitted to practice in California and Arizona.

GUNSTER YOAKLEY ATTORNEY NEISEN KASDIN NAMED CHAIR OF LAND USE PRACTICE GROUP
MIAMI, FL – Neisen Kasdin, shareholder in the Real Estate Department of Gunster Yoakley, was named a chair of the firm’s Land Use Practice Group.

Gunster Yoakley’s Land Use Practice Group provides comprehensive legal counsel to clients navigating through the broad range of issues that arise out of a complicated and always changing matrix of local, state and federal land use and environmental regulations. A distinctive aspect of the Gunster Yoakley Land Use Practice Group is that it embraces a wide continuum of legal services ranging from site plan approval, zoning and permitting all the way through to property rights and litigation of property rights claims. The group encompasses members of both the real estate department and the litigation department.

A practicing attorney for 25 years, Kasdin received his Bachelor of Arts from Northwestern University and his Juris Doctor from the Levin College of Law at the University of Florida. He was admitted to the Florida Bar in 1980 and is also a member of the Miami-Dade County Bar Association. He is admitted to the United States District Court, Southern District of Florida. He is currently chairman of the Beacon Council and immediate past chair of the ULI Southeast Florida/ Caribbean District Council. He was just appointed to the board of the South Florida Regional Transportation Authority.

Kasdin joined Gunster Yoakley in 2000. He focuses his practice on land use law, commercial real estate and local government law.

Lingerfeldt is a civil trial lawyer and concentrates her practice in medical malpractice defense litigation and health care law. She has represented hospitals, physicians, midwives, nurses and emergency medical technicians in medical malpractice cases. She has defended and been trial counsel in cases involving patients seeking multimillion dollar recoveries.

DLA Piper advises DSG International in major outsourcing transaction
London - DSG International has confirmed the signature of a new major IT outsourcing agreement with HCL Technologies, whereby the bulk of DSG International's IT, applications development and support functions (covering household names such as Dixons, PC World, Currys and The Link) will transfer to HCL Technologies Limited, one of India's largest IT conglomerates.

The DLA Piper Rudnick Gray Cary ("DLA Piper") team of partner Kit Burden and solicitors Rezarta Bode and Clare Gregory worked closely with DSG International's in-house legal team to bring the negotiations to a successful conclusion at the turn of the year.

Kit commented: "It was a pleasure to work with DSG again. The contract looks set to provide DSG International with not only significant savings but also a greater degree of flexibility in the coming years, which is a key requirement for all such long term arrangements."

Airbus and Oasis sign $900m aircraft loan refinancing deal
Airbus Financial Services has signed a $900m loan refinancing deal with Oasis International Leasing Company of the United Arab Emirates, Barclays Capital and other parties. Separate teams at Freshfields Bruckhaus Deringer advised Airbus and Oasis on the transaction, which involved 25 aircraft leased to a number of airlines worldwide.

Andrew Littlejohns, the finance partner who led the Freshfields team representing Airbus, commented: 'We are very pleased to have been involved in this significant transaction. Two particular features were, first, a complex swap which was used to provide liquidity and mismatch cover as well as interest rate hedging, and secondly, the support of the UAE Offsets Group which enabled a group of international defence contractors to participate in the refinancing.'

The transaction involved A318, A319, A320, A321, A330 and A340 aircraft.

The Freshfields team representing Airbus also included senior associates Graeme McLellan and Julian Barrow and associate Sebastian Smith. Bob Charlton, finance partner, led the Freshfields team acting for Oasis, which also included Derek Watson, senior associate, and Kate Minogue.

$145 million financing of the operating subsidiaries of PBB Global Logistics Income Fund
Pursuant to a credit agreement entered into as of August 31, 2005, the operating subsidiaries of PBB Global Logistics Income Fund, namely, PBB Global Logistics Inc., PBB Global Logistics, Inc. and PBB Global Logistics Limited Partnership refinanced their bank debt and obtained $145 million in credit facilities (consisting of a $40 million term facility, a $70 million revolving facility and a $35 million bridge facility) from a group of financial institutions comprised of National Bank of Canada, Caisse de dépôt et placement du Québec and Canadian Imperial Bank of Commerce, the latter of which acted as agent for the banking syndicate.

The credit facilities are fully secured, with the income fund, the borrowers and their respective subsidiaries granting security throughout Canada and the U.S. Of the $145 million in facilities, PBB Global Logistics Limited Partnership used $52.8 million (consisting of a purchase price of $35 million and a payment of $17.8 million for working capital) in order to complete the acquisition of M&C International Trade from subsidiaries of TransForce Income Fund on September 2, 2005.

Prior to its acquisition of M&C International Trade, PBB Global Logistics Income Fund's group of companies was already a leading North American provider of customs brokerage and third-party logistics services that ensured, on behalf of 5600 customers, the movement of goods across North America and around the world. Founded in 1946, the group had approximately 1300 employees in over 80 offices across Canada and the U.S. Established in 1913, the newly acquired M&C International Trade adds 20 offices to the group including approximately 200 employees across Canada, with a strong presence in Western Canada and services being provided to over 4000 customers.

David Lemieux, Felix Gutierrez and Patrick Daneau, of the Montréal office of Fasken Martineau DuMoulin LLP, and David Johnson of the Toronto office, represented the lending syndicate. Jeffrey S. Tallackson of Brauner Baron Rosenzweig & Klein, LLP assisted them in connection with the U.S. portion of the transaction.

Matthew Cockburn, Tom Zverina, John Guccione, Nadine Rockman, Peter Johnson and Theresa Gregoire, from the Toronto office of Torys, and Matthew Franks and Darren Baccus, from the New York office of Torys, together with various local counsel across Canada and the United States, represented PBB Global Logistics Income Fund and its subsidiaries.

Andrew Cohen and Antonella Penta, of Heenan Blaikie LLP, acted for TransForce Income Fund in the sale of M&C International Trade.
