Womble Carlyle Lawyers Named to Inaugural NC Super Lawyers List
Sixty-six firm-wide make elite state ranking.

WINSTON-SALEM, NC -- Womble Carlyle Sandridge & Rice, PLLC today announced that 66 Womble Carlyle attorneys have been named North Carolina Super Lawyers for 2006.

North Carolina Super Lawyers, an annual magazine published by Law & Politics, includes a listing of outstanding lawyers who have attained a high degree of peer recognition and professional achievement. The list includes no more than five percent of the licensed active attorneys in the state, and represents more than 60 practice areas.

Womble Carlyle's Super Lawyers went through a multi-step selection process that includes surveying state lawyers who have been in practice for at least five years; researching credentials of nominees; assembling a blue ribbon review panel of leading attorneys from each practice area; directly contacting lawyers and law firm representatives, verifying data and conducting a good-standing review of candidates.

Firm Represents Colony Capital in $5.5 Billion Luxury Hotel Merger
On January 30, Fairmont Hotels & Resorts Inc. announced that it has entered into an acquisition agreement whereby a Canadian company owned by Willkie client Colony Capital and by Kingdom Hotels International will acquire Fairmont in a deal potentially valued at $5.5 billion, including the intended combination with Raffles hotel portfolio currently owned by an affiliate of Colony. The acquirers will pay $45 per share for all of Fairmont’s outstanding common shares. The intended combination of the Fairmont and Raffles portfolios following the completion of the transaction will create a luxury global hotel leader with 120 hotels in 24 countries. Colony Capital is a private, international investment firm focusing primarily on real estate-related assets and operating companies. At the completion of this transaction, Colony will have invested more than $20 billion in over 8,000 assets through various corporate, portfolio and complex property transactions. Willkie partner Thomas Cerabino and associate Adam Turteltaub represented Colony in this deal.

Thelen Reid Adds Sue Stott in San Francisco Leading Labor and Employment Partner Joins Firm from Jones Day
SAN FRANCISCO (January 30, 2006) Thelen Reid & Priest LLP announced today that Sue J. Stott has joined the San Francisco office as a partner in the firm’s Labor & Employment Department. Ms. Stott joins the firm from Jones Day, where she specialized in labor law and employment class action defense.

“We are extremely pleased to add such a well-regarded attorney to our Labor and Employment Department,” said Stephen V. O’Neal, chairman of Thelen Reid & Priest. “Sue’s depth of experience handling the full range of employment law issues adds further talent and resources to our already strong Labor and Employment Department and Employee Benefits and ERISA practice.”

Ms. Stott has over twenty-five years of experience representing employers in virtually all aspects of employment law. She is a highly skilled employment counselor, trainer and litigator with significant experience involving the defense of wage and hour and employment discrimination class actions and multidistrict litigation, single and multi-plaintiff cases, and federal and state appeals. She has conducted jury and bench trials in state and federal courts throughout California as well as arbitrations and mediations before the NYSE, NASD, AAA, and JAMS.

“Sue is a great strategic fit for our Labor and Employment department which enjoys a national reputation for preeminence in the area of wage and hour and employee benefits class action defense ,” said Linda S. Ms. Stott received her J.D. from the University of California, Hastings College of Law, and her A.B., with distinction, from Stanford University.

Recently, Thelen Reid won two major appellate victories benefiting all California employers. In Mills, et al. v. Bed Bath & Beyond Inc. (January 27, 2006) __ Cal.App.4th __, the California Court of Appeal, Second District unanimously held that the payment for meal and rest period violations mandated by Labor Code Section 226.7 is a penalty and not a wage. Thelen Reid also represented Pacific Gas & Electric Company in Conley, et al. v. PG&E (2005) 131 Cal.App.4th 260. In that case, the California Court of Appeal, First District unanimously upheld an employer’s right to debit the vacation leave banks of exempt employees for partial day absences without invalidating the overtime exempt status of those employees. A contrary decision would have destroyed the exempt status of hundreds of thousands of California employees, and exposed California employers to more than a billion dollars in unanticipated overtime liabilities.

Jerry Maatman Published in National Underwriter Property & Casualty/Risk & Benefits Management
The January 23, 2006 issue of National Underwriter Property & Casualty/Risk & Benefits Management features an article by Jerry (“Nonpublic Firms Can Benefit from SOX”) which outlines how nonpublic companies can benefit from the enhanced corporate compliance practices mandated by the Sarbanes-Oxley Act (“SOX”), even though key portions of SOX apply only to public companies.

“Nonpublic companies and their management teams can enhance their corporate compliance strategies with SOX,” Jerry writes. “This includes addressing corporate culture issues, establishing enhanced governance and oversight controls, creating better responsiveness by board members and senior management, and adopting reporting and risk assessment practices for continuous focus on compliance issues.”

Why would a company adhere to SOX if it is not required to do so, especially since compliance means a significant drain on company finances and time? Jerry provides a host of reasons: Any private company planning to become public would become subject to SOX, so adopting its mandates in advance would be a boost to the acquisition process. Most investors, financial institutions, customers and vendors prefer to do business with companies that implement sound corporate governance practices. Certain steps which upgrade corporate governance standards -- such as adding independent directors to the board of directors, hiring an independent audit committee, and establishing formal standards for director responsibilities and qualifications -- provide both objective advice and a system of checks and balances to a company’s audit, financial and internal control processes. Good corporate governance strategies and internal accounting controls, Jerry concludes, enhance the value of a nonpublic corporation.

Chris DeGroff Published in Law Technology News
The January 2006 issue of Law Technology News published an article (“EDD Showcase: Ask Me a Question”) written by Christopher DeGroff, which examines the factors law firms and their clients should weigh when choosing a provider of electronic data discovery. “First, the obvious: do your homework. Create a vetting team, conduct proper due diligence, compare providers, check references.” The questions to ask when interviewing vendor candidates, Chris advises, should cover the vendor’s references, data gathering procedures, ability to provide back up and security, procedure for ensuring quality control, methods of presentation and handling of metadata, and issues of cost.

“These questions are a starting point – but with a caveat: Unless you understand what you are asking, the answers will be meaningless. Force the vendors to explain these concepts to you, in plain English. Learn the lingo – become at least conversational in their language. Judges are becoming increasingly sophisticated with respect to technology, and increasingly less tolerant of lawyers who hide behind a claim that they are not `techies.’ Knowing less about your own EDD vendor than your opponent can be a fatal error.”
