Mayer, Brown, Rowe & Maw LLP advises PPM Capital Limited on £128 million disposal of Upperpoint Distribution Limited
31 January 2006 - Mayer, Brown, Rowe & Maw LLP has advised private equity house PPM Capital Limited ("PPMC") and the management shareholders on their sale of the entire issued share capital of Upperpoint Distribution Limited ("UDL") to a new company backed by Close Brothers Private Equity ("CBPE") in a transaction valued at £128 million. The transaction completed on 27 January 2006.

UDL, which operates under the Norbain brand in the UK, specialises in the distribution of CCTV equipment covering both third party brands as well as its own brand, Vista, one of Europe's leading CCTV brands.

Norbain plc was acquired by way of a £43 million public-to-private transaction led by PPMC in September 1999. Mayer, Brown, Rowe & Maw LLP acted for the management team at the time of the transaction and has advised the Upperpoint Group for the last six years.

The Mayer, Brown, Rowe & Maw team was led by Andrew Sharples assisted by Louise Cracknell.

For Third Year In A Row, Locke Liddell & Sapp's Public Law Practice Named No. 1 in Texas
Locke Liddell & Sapp is the most ambitious law firm in Texas in terms of the reputation it wants to foster and the clout it aspires to wield with its lobby practice at the state, federal and local levels. The Houston-based law firm opened an office in Washington D.C. last year and staffed it with three veteran lobbyists who'd been top guns at other firms in the nation's capital. The firm's client list in Texas is a who's who of Houston power players who have a wide range of interests that are affected significantly by the policies of the state. With the expansion to Washington, an emphasis on teamwork and the ability to offer backup support in communications, ethics and campaign finance compliance and other areas of more specialized expertise, Locke Liddell can tout a full-package approach for clients from the Gulf Coast to the Potamic. The law firm had strengthened its positions in Austin as well with partner Bruce LaBoon's connections in the east wing of the Capitol and public law section chairman Robert Miller's good working relationships in the House. Miller has stepped up to the election-year plate as a point person for lawmakers and others who want to take advantage of Houston's vast field of potential for raising campaign funds.

The former METRO board chairman and ex-state Senate aide has been organizing fundraisers in Houston and other parts of the state while somehow finding time to commute back and forth to offices in Austin and Houston. The short story is that Locke Liddell is ranked number one for the third consecutive year on the list of top law firm lobby practices because it wants to be a player under the domes and tries to do what it takes to make things happen.

Under “Rising Lobby Stars to Watch”: Yuniedth Midence, a former chief of staff for State Senator John Whitmire, is a key member of the public affairs team at the Locke Liddell law firm, where her former boss has the ‘of counsel' position.

Consoli Joins Lewis and Roca LLP as Partner
Lewis and Roca LLP is proud to announce that Carla A. Consoli has joined the firm as a partner. Consoli joins the Government Relations and Administrative Law Practice Group and will concentrate her practice in environmental law and water rights She will also assist the firm in expanding its capabilities to serve clients with environmental needs.
Ms. Consoli’s practice over the past 15 years has emphasized water rights and water availability analysis, environmental risk analysis and avoidance, and endangered species and habitat compliance. She counsels clients and educates them regarding environmental, archeological and natural resource laws affecting their business operations. Prior to joining Lewis and Roca, Ms. Consoli was a partner with the Phoenix office of Bryan Cave, LLP.
Ms. Consoli is chairman of the Boys Hope Girls Hope of Arizona board of directors, the immediate past-chairman of the State Bar of Arizona Environmental and Natural Resources Law Section and a former chairman of the Valley Forward board of directors. She is the editor-in-chief of “The Most Frequently Asked Questions in Environmental Law", the first edition of a handbook for non-environmental lawyers and business owners to aid their understanding of the impact of environmental law on business transactions. Ms. Consoli was named to the Business Journal’s Forty Under 40 and has been identified by the Business Journal as “A Woman to Watch.”

Kronish Lieb Team Plays Lead Role in 100% Plus Interest Return in Footstar, Inc. Bankruptcy
Kronish Lieb's Bankruptcy and Restructuring Group has played a leading role in securing a full pay, 100% distribution, plus 4.25% interest per annum, for unsecured creditors in the chapter 11 bankruptcy case of specialty footwear retailer Footstar, Inc. and its now reorganized discount and family footwear business (also known as Meldisco). Creditors are expected to be paid in full in February, 2006.

Representing the official committee of unsecured committee in the case, Kronish Lieb helped to facilitate a competitive auction for the company's Footaction business, resulting in a sale of that business to Foot Locker, Inc. for approximately $225 million. The sale included 353 stores.

With the sale proceeds in estate hands, Kronish Lieb assisted the company in its contract litigation with Kmart to save the Meldisco business for reorganization. The Firm helped Footstar craft a settlement with Kmart to continue the parties' business relationship, which assured the solvency of the company and its exit from bankruptcy.

"In my 20 years plus representing creditors' committees, I can count on my hand the number of retail cases where general unsecured creditors are due to receive 100% plus interest shortly after confirmation," said Lawrence C. Gottlieb, Chair of Kronish Lieb's Bankruptcy & Restructuring Group.

"The committee was instrumental in facilitating this exceptional level of return and assisted the company at every turn to overcome the many legal hurdles it faced to reorganize," said Kronish Lieb partner Jay R. Indyke. "Each of these could have caused the company to liquidate, resulting in less than a full pay case," said Indyke. In addition to Messrs. Gottlieb and Indyke, the Kronish Lieb team included partners Richard S. Kanowitz and Cathy Rae Hershcopf and associates Brent I. Weisenberg and Michael A. Klein.

Footstar, Inc. is a public corporation organized under the laws of Delaware that serves as a holding company for Footstar's businesses, which filed for chapter 11 bankruptcy protection in the U.S. Bankruptcy Court, Southern District of New York, on March 3, 2004. At that time, the company was one of the largest specialty footwear retailers in the United States, whose operations included footwear retail operations throughout the United States, Puerto Rico and the U.S. Virgin Islands. Footstar's operations were comprised of two distinct business segments: the discount and family footwear segment (also known as Meldisco) and the athletic footwear and apparel segment, operated under the names Footaction, Just For Feet, and Uprise.

City College to Dedicate New Student Center and Forum in Honor of Kronish Lieb's Harold M. Hoffman and Wife
The City College of New York will commemorate the opening of the new Lillian and Harold Hoffman Student Center and Forum with a reception on Tuesday, January 31st. Named for one of Kronish Lieb's founding partners, Harold M. ("Hal") Hoffman, and his wife, City College's first Student Center will include facilities for interest clubs, professional societies, social spaces and performances. The new facility will be located on City College's North Campus.

"We are thrilled to be giving back to our alma mater," said Mr. Hoffman, who graduated from City College in 1949 and serves as Counsel at Kronish Lieb. "City College was our first encounter with the world beyond our circumscribed environment, and it opened our eyes to the joys of learning and opened doors to endless opportunities."

Mr. Hoffman has practiced in Kronish Lieb's Corporate Group, where he handled matters involving friendly and hostile breakups of family businesses, investment banking, corporate financing, mergers and acquisitions, sale of businesses and executive compensation agreements. Mr. Hoffman currently serves as Village Justice for the Village of Great Neck Estates on Long Island.
