Brown Rudnick Represents Sermo in Company’s Recent $26.7 Million Series C Funding Led by Legg Mason Capital Management
Brown Rudnick, a premier international law firm, represented Sermo, the largest online physician community, in the company’s closing of a
$26.7 million round of Series C funding. Sermo will use the additional financing to accelerate product development to accommodate the increased volume of online content and physician subscribers. This latest round was led by Legg Mason Capital Management who was joined by Allen & Company LLC. Edwin C. Pease, a partner in Brown Rudnick’s Corporate Department, served as lead counsel for Sermo.

Brown Rudnick has been a business and legal advisor to Sermo since the company’s launch in 2006. In June 2007, the firm represented the company in its two-year agreement with the American Medical Association (AMA) aimed at improving medical practice, physician advocacy and patient care. Through this new partnership, the AMA can now listen to the discussions on Sermo, post questions, and get feedback from physicians instantaneously. In representing Sermo, Brown Rudnick’s Corporate & Securities and Information Technology Practice Groups developed the licensing and service agreements between Sermo and the AMA.

Last year, the firm handled Sermo’s $2 million Series A funding from Longworth Venture Partners, as well as the $9.5 million Series B round led by SoftBank Capital in early 2007. The firm also provided counsel on employment matters including Sermo’s non-disclosure agreement, consulting agreement, and employee and privacy policies. Additionally, attorneys from Brown Rudnick’s Intellectual Property Group assisted with trade secret and copyright matters.

The CEO of Sermo, Daniel Palestrant, M.D. said, “We are grateful for the support of our key advisors such as Brown Rudnick, who has been with us every step of the way. This latest financing round is an important milestone for the growth of the company. It will allow us to escalate product development and physician outreach, thus adding greater value to analready valuable physician tool.”

Two at Bradley Arant Named Among The Lawdragon 500 Leading Dealmakers
John B. Grenier, chairman of Bradley Arant's Executive Committee, and firm partner Paul S. Ware have been named among The Lawdragon 500 Leading Dealmakers. Only four other attorneys in Alabama earned this distinction in the Summer 2007 issue.

The Lawdragon 500 Leading Dealmakers are touted as attorneys who "handle headline-making transactions --- from M&As and securities transactions to public and private financings to real estate deals."

In the Summer 2007 guide, Lawdragon cites Mr. Grenier?s part in bringing Hyundai's $1 billion plant to Alabama and his role in guiding Revco Drugs in its hostile tender offer for Big B Drugs. Mr. Ware is commended for his representation of SouthTrust Corp in its $13.4 billion acquisition by Wachovia.

DLA Piper Hosts Foreign Policy Event Featuring Lee Hamilton
DLA Piper US LLP hosted a keynote address by Iraq Study Group Co-Chair Lee Hamilton on the future of American foreign policy. The Washington, DC event, “Iraq and Beyond,” was attended by a group of business leaders, diplomats, elected officials, journalists and current and former ambassadors, including sitting Ambassadors from Iraq, Afghanistan, Lichtenstein, New Zealand and Bulgaria. Senator George J. Mitchell, Chairman of the Global Board of DLA Piper, Governor James Blanchard, chair of DLA Piper’s Government Affairs practice and Secretary William S. Cohen, chairman and chief executive officer of The Cohen Group also spoke at the event.

DLA Piper’s Government Affairs practice has been called one of the most high-powered and high-profile in the nation’s capital. Many of the attorneys and other professionals in this group have held senior positions in all branches of federal and state government. This distinguished group includes three former congressional majority leaders: Mitchell, the former Senate Majority Leader, House Majority Leader Richard K. Miller Canfield Opens Office in Chicago: Expands Regional Reach
Miller, Canfield, Paddock and Stone, P.L.C., Michigan’s largest corporate law firm, announced today that it has opened an office in Chicago.

The new Chicago office will be located at 225 W. Washington Street and will start with five attorneys formerly with McGuire Woods LLP law firm of Chicago.

The office resident director will be John L. Senica, corporate, M&A and real estate attorney. Also joining the firm are Darryl R. Davidson, public finance and capital markets attorney; Paul D. Durbin, public finance and capital markets attorney; Janice K. Hamblin, corporate, M&A and international transactions attorney; and Robert T. Zielinski, labor and employment attorney.

“Our expansion into the largest economic center in the Midwest will create new opportunities and regional and international access for clients, especially in transactional and litigation matters,” said Michael W. Hartmann, CEO of Miller Canfield. The firm is the only Michigan-based law firm with offices in Canada and Poland. “We have numerous clients headquartered or active in the Chicago area, and we work with many Chicago underwriters and financial institutions in the public and private sectors.”

Hartmann added, “The five attorneys joining the firm bring a broad variety of expertise, furthering our ability to be a full-service corporate law firm in the Midwest. We will look to expand this regional platform in the next year according to client needs.”

McDermott Pro Bono Team Obtains Reversal in Seventh Circuit Criminal Conviction
A unanimous panel of the Seventh Circuit reversed the criminal conviction of Firm pro bono client Felix Vasquez-Ruiz and remanded his case to the district court for a new trial.

The Seventh Circuit's decision was the culmination of years of work by members of McDermott’s Chicago Trial Department, who were first appointed to Mr. Vasquez-Ruiz’s case in 2004. At that time, Mr. Vasquez-Ruiz was representing himself in habeas proceedings before the Northern District of Illinois and seeking the right to file an appeal that his previous lawyer had failed to file before the deadline. Although the district court initially denied Mr. Vasquez-Ruiz’s motion, it recognized that it was required to hold an evidentiary hearing.

After investigating Mr. Vasquez-Ruiz’s allegations that his previous lawyer had failed to consult with him regarding the appeal and assembling detailed documentary evidence, the McDermott team conducted a day-long evidentiary hearing and persuaded the district court to grant Mr. Vasquez-Ruiz the habeas relief he sought—the right to appeal his underlying conviction. McDermott then pursued an appeal on Mr. Vasquez-Ruiz 's behalf, presenting multiple trial and sentencing arguments to the Seventh Circuit. In the most significant of those arguments, McDermott asserted that the district court should have granted a mistrial due to misconduct during jury deliberations. After reviewing the briefs and hearing oral argument, the court agreed with McDermott and concluded that the misconduct could only be cured by granting a mistrial. Accordingly, it reversed Mr. Vasquez-Ruiz 's conviction and remanded the case to the district court for a new trial.

The McDermott team representing Mr. Vasquez-Ruiz included Jeffrey Stone, head of the Firm’s Trial Department; Jeffrey Rossman; Rachael Trummel; Jocelyn Francoeur, who argued the appeal before the Seventh Circuit; and Megan Thibert-Ind.
