Thompson Elected Chair, VBA's Young Lawyers Division for 2006
Lori D. Thompson, a partner in the Firm’s Roanoke Office, has been installed as the 2006 Chair of the Young Lawyers Division of the Virginia Bar Association.

The Young Lawyers Division operates over forty projects across the Commonwealth of Virginia designed to service the unmet legal needs of society, to improve the administration of justice, and to promote the highest standards of professional service. Division projects include, among others, assisting victims of domestic violence in obtaining protective orders, providing mentors to minority college students interested in pursuing a career in law, and staffing a “hotline” at Legal Aid Society offices providing free legal advice to the indigents.

As Chair of the Young Lawyers Division, Ms. Thompson will also serve on the Board of Governors, Executive Committee, Finance Committee and Operations Committee of the Virginia Bar Association.

In addition to Ms. Thompson, five other LeClair Ryan attorneys serve in leadership positions within the Young Lawyers Division.

Katja H. Hill, a partner in the Firm’s Richmond Office, is a member of the Young Lawyers Division Executive Council and Executive Committee, and serves as co-chair of the New Projects Committee and the Law School Council at the University of Richmond.

Tara R. Boyd, a partner in the Firm’s Charlottesville Office, is a member of Executive Council and serves as co-chair of the Law School Council at the University of Virginia.

Christopher A. Jones, a partner in the Firm’s Richmond Office, and Joseph M. Rainsbury, an associate in the Firm’s Roanoke Office, are also members of Executive Council and serve as co-chairs of the Membership Committee.

James W. Thweatt, III, an associate in the Firm’s Roanoke Office, is a member of Executive Council and co-chair of the Roanoke Town Hall Meeting Project.

SAN DIEGO - KLINEDINST PC is very pleased to introduce Hilary J. Vrem as the newest attorney in the law firm's San Diego office.
Ms. Vrem's practice is devoted almost entirely to defending California businesses in employment-related litigation. “Hilary brings to Klinedinst proven experience in the area of employment law,” noted John D. A graduate of California Western School of Law, Ms. Vrem previously worked at a small, boutique law firm in San Diego. She is active in the local legal community, participating in the American Inns of Court, Louis M. Welsh Chapter. She is also active in Volunteers in Parole, a program from the California Division of Juvenile Justice that matches troubled youths with adult role models. These mentors work with the young offenders to ensure they don't offend again, and that their personal needs are met.

While attending law school, Ms. Vrem served as a mediator with the Small Claims Court and Juvenile Hall. She conducted over 100 mediations between adverse parties and juvenile offenders. She also interned at California Western's award-winning Bail Project, which provides students the opportunity to interview and represent felony arrestees in court.

Ulmer & Berne LLP Attorney, Peter R. Sonderby, Elected President of the Northern District of Illinois Historical Association
Ulmer & Berne LLP announced today that one of its partners, Peter R. Sonderby, was elected president of the Northern District of Illinois Historical Association.

A not-for-profit, the Northern District of Illinois Historical Association is responsible for collecting, preserving and publishing historical information about the United States District Court for the Northern District of Illinois.

As an attorney with Ulmer & Berne, Peter’s areas of concentration include complex commercial litigation, arbitration, securities litigation, employment litigation and antitrust and trade regulation comprise. He has extensive experience representing brokerage firms in disputes with customers; employment discrimination, restrictive covenants and other disputes with employees; and disputes with other brokerage firms and trading professionals. Peter’s business litigation work includes antitrust, securities, intellectual property, insurance coverage, breach of contract and ERISA. He regularly serves as a panel chairman or panel member in NASD securities arbitrations. Peter was recently named an Illinois Super Lawyer in a survey of Illinois lawyers by Illinois Super Lawyers and Chicago magazines.

OMM Represents The Weinstein Company in $500M Film Securitization Facility
O'Melveny recently represented The Weinstein Company (TWC) in a $500 million film securitization facility. The facility completes the financing for the new company launched by Bob and Harvey Weinstein in October 2005. To date, TWC has raised a total of approximately $1.2 billion, including $490 million in equity, $500 million in the film securitization, and over $200 million through other commercial arrangements.

The $500 million revolving film securitization was arranged by Goldman, Sachs & Co., and provides for up to $500 million of borrowings during the term. TWC received an investment grade rating from Moody Investor Services, which enabled the company to have the facility wrapped, or insured, by Ambac Assurance Corporation. The Weinstein Portfolio Funding Company LLC, a subsidiary of TWC, will be the borrower under the facility and hold the films that are part of the securitization.

The film securitization facility will provide financing for substantially all of the motion pictures released by TWC over the next five years. The film securitization structure is quite different from all of the other film securitizations done to date by the major film studios, and is especially unique given the start-up nature of TWC.

The O'Melveny team was led by Century City partner Stephen Scharf, who was supported by new partner Chris Brearton and associates Ken Deutsch, Jason Skolnik, Jordan Lichtman, Michael Melone, and Tracy Zuckerman. Counsels Lesley Freeman and Matt Erramouspe, associate Paul Iannicelli, and partner Dan Passage all provided invaluable support.

Willkie Represents Joint Venture Group in Competitive Bid to Acquire Town and Country Trust
On February 2, it was announced that Willkie client Oriole Partnership LLC, a joint venture investment vehicle formed among Essex Property Trust, Inc., UBS Wealth Management - North American Property Fund Limited, and AEW Oriole Co-Investment, LLC, has submitted a definitive offer to acquire all of the outstanding common shares of The Town and Country Trust for $36.00 per TCT share in an all cash transaction. If the bid is accepted, the merger agreement entered into by TCT with a joint venture formed by affiliates of Morgan Stanley and Onex Corporation on December 19, 2005 would be terminated. Town & Country is a real estate investment trust (REIT) that owns 38 apartment complexes across Mid-Atlantic states and down the eastern seaboard to Florida. The deal was handled by partners Steven Seidman, William Gump, Henry Cohen and Steven Klein, and associates Laura Delanoy, Erika Shalette, Matthew Guercio, Thomas O'Grady, Andrew Reardon, Christopher Peters, Lawrence Plotkin, Bernadette Davida, Alycia Green, Michael Sherman, Debra Sapp, Kate Dolan, Matthew Kaplan and Kevin Klesh.

Wiley Rein & Fielding Secures Dismissal of Class Action Lawsuit against Coors and Other Major American Beer and Spirits Manufacturers
Washington, DC—An Ohio District Court has dismissed all claims against Wiley Rein & Fielding client Coors in a class action lawsuit alleging industry ads were to blame for underage drinking. The court dismissed “with prejudice,” holding that the claims were so fundamentally flawed that any effort to amend the complaint would be “futile.”

In addition to holding that each claim was legally defective, the Ohio court said that the plaintiffs impermissibly were attempting to substitute litigation for the democratic process.

This decision in favor of Coors, and most other major American manufacturers of alcoholic beverages was foreshadowed by the dismissal of a virtually identical complaint on September 16, 2005 by the District Court for Jefferson County, Colorado.

Claiming to represent a large class of parents and guardians, plaintiffs sought billions of dollars, which they alleged were defendants’ ill-gotten gains from underage drinking, and an injunction against the defendants' advertising. Plaintiffs accused defendants of false and misleading advertising, unfair trade practices in violation of consumer protection laws, unjust enrichment and negligence. Similar suits by the same group of plaintiffs’ lawyers are pending in state and federal courts across the country.
