Grupo Aeroportuario del Pacífico in $1 Billion IPO
Cleary Gottlieb represented the Ministry of Communications and Transportation of Mexico, as selling stockholder, and Grupo Aeroportuario del Pacífico, S.A. de C.V. (""GAP"") in GAP’s $1 billion initial public offering. After giving effect to the exercise of the underwriters’ overallotment option, the global offering included 33,379,500 ADSs in the international offering and 143,055,000 Series B shares in the Mexican offering. Together, the offered securities represented 85% of GAP’s outstanding capital stock.

The transaction is believed to be the largest Mexican equity offering since the privatization of Telmex in the early 1990s. The offering priced at $21 per ADS, higher than the preliminary prospectus range of $18 to $20. The shares traded up on their first day of trading and closed at $29.90 per ADS. Credit Suisse was the lead underwriter for the international offering syndicate, which also included Citigroup, Deutsche Bank and Santander Investment, and Accival was the lead underwriter for the Mexican offering.

In 1998, the Mexican government divided 35 of Mexico’s principal airports into three groups to be opened to private investment. GAP’s IPO completes the privatization of the second of these groups, following the 2001 IPO of Grupo Aeroportuario del Sureste, S.A. de C.V.

GAP’s subsidiaries operate 12 airports serving Mexico’s Pacific coast, including the two major metropolitan areas of Guadalajara and Tijuana, as well as Puerto Vallarta, Los Cabos, La Paz, Manzanillo and a number of mid-sized cities. Six of its airports ranked among the ten busiest airports in Mexico based on commercial aviation passenger traffic in 2004. GAP’s two-phase privatization process began in 1999 with the acquisition by Aeropuertos Mexicanos del Pacífico, S.A. de C.V., GAP’s strategic partner pursuant to the Mexican airport privatization guidelines, of 15% of GAP’s equity in the form of Series BB shares, which Aeropuertos Mexicanos del Pacífico continues to own.

Two Sierra Leonean Teenagers Obtain Special Immigrant Juvenile Status
Cleary Gottlieb successfully represented A.S. and M.T., both from Sierra Leone, in their application to U.S. Citizenship and Immigration Services for permanent residency in the United States as Special Immigrant Juveniles.

Initially the Cleary team filed asylum applications on behalf of A.S. and M.T., however, their particular circumstances made them eligible to apply for permanent residency under the Special Immigrant Juvenile (SIJ) category, specifically carved out by Congress for minors under the age of 21 determined to be dependent on the family court and eligible for long-term foster care where it is not in the children’s best interest to return to their country of nationality. Cleary Gottlieb submitted SIJ applications on behalf of both teenagers and represented them at interviews with U.S. Citizenship and Immigration Services.

Fulbright\'s \"The Colonel\" Wins Two Telly Awards
The Colonel, Fulbright & Jaworski’s documentary about partner Leon Jaworski, won a Silver Telly Award. Winning a Silver Telly in the national documentary category and a Bronze Telly in the legal video category, the Silver Telly is the highest honor obtainable, with only 7% of all entrants winning this award. The Bronze Telly is awarded to about 18% of the entrants.
The Telly is one of the most sought-after awards by entertainment industry leaders, from large international firms to local production companies and ad agencies. Founded in 1978 to honor excellence in local, regional and cable TV commercials, the Telly Awards receives over 12,000 entries annually from around the world.

Fulbright Expands International Arbitration Practice in D.C.
The international law firm of Fulbright & Jaworski has expanded its coast-to-coast international arbitration presence by transferring Houston-based partner, Arif Hyder Ali, to its Washington, D.C. office. Ali has 16 years experience in international dispute resolution and client representation which spans continents and cultures, national political establishments and inter-governmental organizations, private companies and state-owned enterprises, sovereign governments and private individuals. Ali also serves as an Adjunct Professor of Law at the Georgetown University Law Center where he teaches international investment and commercial arbitration.

Ali has represented parties from more than 30 countries on five continents in international commercial and investment arbitrations. He also has represented parties before inter-governmental tribunals, including the United States-Iran Claims Tribunal and the United Nations Compensation Commission. As a result of his role in the representation of the State of Bahrain in its territorial and maritime border dispute with the State of Qatar before the International Court of Justice, in 2001, Ali was decorated by the King of Bahrain with the Order of Bahrain.

Joseph T. Small, Jr., partner in charge of Fulbright’s Washington, D.C. office, said, “Over the years, we have added key arbitration practitioners to the Washington, D.C. office. Arif Ali’s move to our D.C. office will allow us to better service our clients involved in treaty-based investment arbitrations, international intellectual property and information technology related disputes, and conflicts arising out of infrastructure and defense contracts.”

Ali has advised businesses operating internationally on international investment risk management strategies, bilateral investment treaties, host state investment laws, foreign sovereign immunity, state responsibility, war claims, international human rights, and territorial and maritime boundaries. Prior to joining Fulbright in 2001, Ali was a Section Chief at the United Nations Security Council, Senior Counsel at the World Intellectual Property Organization Arbitration and Mediation Center, and practiced international arbitration and public international law in Paris, France.

A 1986 graduate of Columbia University (Phi Beta Kappa, summa cum laude), Ali attended NYU Law School where he received his J.D. in 1990 (Vanderbilt Medal). Widely published on topics concerning international dispute resolution and public international law, Ali is a frequent speaker at conferences around the world. He is married and has two children.

DLA Piper advises Work Group plc on AIM listing
London - DLA Piper Rudnick Gray Cary UK LLP (""DLA Piper"") has advised Work Group (""Work""), a leading UK recruitment services provider with offices in six locations in the UK, on its listing on AIM.

Work has raised £7.0m (before expenses) through a placing of new ordinary shares and will have a market capitalisation of approximately £19.1 million at the placing price of 80.5p. The placing will be used for working capital purposes and to fund an expansion of Work's business through selective acquisitions.

The DLA Piper team was led by corporate partner Charles Severs and assisted by associate, Juan Perez-Tejedor. The nominated adviser and broker to Work is Altium Capital Limited.

Charles Severs said: ""We are delighted to have been involved in this transaction which represents an important step in Work Group's growth plan. The recruitment market is undergoing fundamental change and its management team is dedicated to the business' success. DLA Piper advises Lloyds TSB Bank plc on the secondary buy-out of Tula Group Limited
London - DLA Piper Rudnick Gray Cary (""DLA Piper"") has advised Lloyds TSB Bank plc on its provision of debt funding which was utilised in part to fund the £45,000,000 secondary buy-out of Tula Group Limited (maker of Radley handbags) by Radley Group Limited. Additional funding was provided by the Management Team and Phoenix Private Equity.

Lloyds TSB Bank plc is an existing client of DLA Piper.

The DLA Piper team was led by banking partner Peter Crichton and assisted by Tamsyn Mileham, Michelle Tarpey, Ewen Scott and Sheena Bhudia.
