Veteran Litigation Partner Joins Pillsbury\'s Growing Environmental Practice
SAN FRANCISCO – Pillsbury Winthrop Shaw Pittman LLP, a leading international law firm, announces the arrival of Scott A. Sommer to the firm’s San Francisco office. Sommer joins the firm’s Environment, Land Use & Natural Resources practice section as a partner. He comes from the Walnut Creek office of Miller, Starr & Regalia.



“We are very pleased to welcome Scott to the firm,” says Michael Barr, co-leader of Pillsbury’s environmental group. “Scott brings an impressive background in environmental and land use law that stretches over 30 years.”

Sommer represents clients in complex litigation, administrative proceedings and transactional matters involving land title, secured transactions, land use and environmental law. His clients have included financial institutions, title insurance companies, landowners, developers and governmental entities. He earned a J.D. from U.C. Hastings College of the Law in 1976.

“Scott is a very important addition to our group, giving us added abilities in litigation and added experience in land use and real estate,” says John Hansen, head of the San Francisco section of Pillsbury’s environmental practice. “We have tremendous opportunities for growth in the land use area in California. Scott’s practice is statewide and really quite extraordinary.”

Hennepin County Bar Association Presents ‘Distinguished Service’ Award to Attorney Bricker Lavik
MINNEAPOLIS (March 2, 2006) – The Hennepin County Bar Association (HCBA) presented Dorsey & Whitney attorney Bricker Lavik with its 2006 Distinguished Service award at the HCBA annual Bar Benefit March 2. The annual award honors an individual whose career reflects “an overall commitment to pro bono work.”

Lavik, Dorsey senior counsel and director of the firm’s worldwide pro bono program, has received numerous awards for his pro bono activities, including the Minnesota State Bar Association 's President's Award, the Minnesota Legal Services Coalition Pro Bono award, and HCBA’s private sector Pro Bono Publico award.

“One measure of a law firm’s success is its contribution to the well being of communities where it practices,” said Peter S. Lavik practices primarily in the areas of commercial real estate litigation, including commercial lease enforcement, creditor’s rights, construction, and other general litigation.

A resident of Minneapolis, Minnesota, Lavik is a graduate of the University of Minnesota and Hamline University School of Law. He is a member of the Minnesota State Bar, the Hennepin County Bar Association, and the Hennepin County Bar Association Advisory Commission.

LONDON OFFICE ADVISES MITIE GROUP PLC ON ACQUISITION OF LYNDHURST SERVICES LTD
LONDON (2 March 2006) — The law firm of McDermott Will & Emery UK LLP has advised MITIE Group PLC on its acquisition of Lyndhurst Services Limited for £9 million.

MITIE has acquired 100 percent of the issued share capital of Lyndhurst and will pay £7.9 million upon completion.

MITIE Group PLC is one of the UK’s leading support services companies and provides its clients with a wide range of services including servicing, maintaining, managing and improving buildings and infrastructure for a wide range of private and public sector customers.

Lyndhurst Services Limited provides external grounds maintenance services to commercial property sites across England, Scotland and Wales.

The McDermott Will & Emery was led by corporate partner Andrew Croxford and included corporate associate Linda Whittle.

Commenting on the transaction, Andrew Croxford said: ""We are delighted to have been able to act on another transaction for MITIE Group which will further enhance its market position in the ground maintenance sector. We wish them every success.

LITIGATION TEAM JOINS MCDERMOTT\'S LOS ANGELES OFFICE
LOS ANGELES (March 2, 2006) — McDermott Will & Emery is pleased to announce the addition of a labor and employment litigation team led by Phyllis Kupferstein to the Firm's Los Angeles office. Ms. Kupferstein, Jill Basinger and Jon Dean will be joining the Firm's Trial Department as partners. The group previously practiced at the law firm of Quinn Emanuel Urquhart Oliver & Hedges, LLP, which Ms. Kupferstein co-founded in 1986.

LONDON OFFICE ADVISES NUMIS SECURITIES ON THE ADMISSION OF AIM OF ECONERGY INTERNATIONAL PLC
LONDON (2 March 2006) — The law firm of McDermott Will & Emery UK LLP has advised Numis Securities Limited, as nominated adviser and broker, on the admission to AIM of Econergy International PLC. Econergy raised gross proceeds of £60 million via a placing of 60 million ordinary shares at a price of 100p per share and its initial market capitalisation on admission was £87 million.

Econergy was founded in 1994 and operates from a network of offices in the United States and Latin America. The company has four primary areas of operation: clean energy investment and development, carbon brokerage, fund management and consultancy.

The McDermott Will & Emery team was led by corporate partners William Charnley and Andrew Croxford and included corporate associate Vicky Hau.

Shearman & Sterling Bolsters Global M&A Team
London, 02 March 2006 - Shearman & Sterling LLP has boosted its global M&A team with the election of Laurence Levy as a partner in its London office.

Levy joins from Norton Rose, where he was head of one of the firm's three corporate practice groups in London. Educated at Cambridge University, he joined Norton Rose in 1986, qualified in 1988 and became a partner in 1996. From 1991 to 1994 he was based in Hong Kong.

Levy specializes in public and private company mergers and acquisitions and also has significant experience in equity offerings, joint ventures and corporate restructurings. High profile matters on which he has advised include: representing Drax Holdings on its £1.3 billion restructuring in 2003 and its IPO and refinancing in 2005; Corus on its Teesside plant's innovative long-term steel supply arrangements with a multinational consortium; and Eni SpA on its successful competing offer for LASMO and its takeover of British-Borneo Oil & Gas.

Peter Lyons, co-head of Shearman & Sterling's global M&A group, commented: ""London continues to be an important center for cross-border M&A and finance transactions. Thus, the London M&A market remains important for any law firm with an international reach. Our outlook for 2006, both globally and in London, is very good and Laurence will help us to build on our solid international platform.""

The firm's global M&A team recently advised Viacom Inc. on the $50 billion division of its businesses into separate publicly traded companies, CBS Corporation and ""new"" Viacom Inc., in the largest transaction of its type ever completed; Koch Industries' $21 billion acquisition of Georgia-Pacific; Hunan Valin's $338 million sale of 37% interest to Mittal Steel; France Telecom's $7.6 billion acquisition of 80% interest in Amena; mm02's $7.74 billion capital reorganization in the UK; and SunGard Data Systems' record-breaking $11.4 billion acquisition by a consortium of leading private equity firms.

White & Case Acts for Saudi Aramco on Largest Project Financing in Saudi Arabia
London and New York March 2, 2006 ... White & Case advised the world's largest oil company, Saudi Aramco, in connection with a $9.9 billion joint venture with Sumitomo Chemicals for the development of an existing 400,000 barrel-per-day refinery at Rabigh, on Saudi Arabia's western coast, into a major integrated refinery and petrochemical complex. It is the first project financing undertaken by Saudi Aramco and the largest project financing to date in Saudi Arabia. Financing agreements were signed on March 2, 2006.

The $5.8 billion financing facilities comprise: a $2.5 billion Japan Bank for International Cooperation Overseas Investment Loan; a $1 billion loan from the Public Investment Fund of Saudi Arabia; $1.7 billion of commercial bank debt; and $600 million of Islamic financing. The financing is also significant for including the largest long-term Islamic project financing to date in the Middle East.

The financing will also support the development of a $1.1 billion third-party utilities project to supply water, steam and power to the complex, which was awarded in a competitive solicitation to a consortium led by Marubeni Corporation.

Due to come on stream in the third quarter of 2008, the new complex, which will be one of the world's largest refinery and petrochemical complexes, will produce 18.4 million tons per annum of high value petroleum products and 2.4 million tons per annum of ethylene- and propylene-based petrochemical derivatives.

White & Case partners Craig Nethercott and Christopher Cross, based in London and New York respectively, led the financing negotiations. Steve Payne, counsel in the Washington, D.C. office, advised Saudi Aramco on the power and steam project. Christopher Cross also led a multi-office and a multi-disciplinary team that advised Saudi Aramco on all aspects of the deal, including: corporate structuring; project development; technology; and environmental matters. Among others, partners Mohammed Al Sheikh (Riyadh), Steve Betensky and Rick Horsch (New York) and associates Clement Fondufe (New York), Mark Shalaby (Washington, DC), Euan Pinkerton, Ed Hills and Harjaskaran Rai (London) worked on the team. The Firm has now represented Saudi Aramco for more than 30 years.
