Four Estate Planning Partners Join Blackwell Sanders
(Kansas City, Mo.) – Christine H. DeMarea, H. Elvin Knight, Jr., Michael R. Thiessen and Lisa A. Veselich have joined Blackwell Sanders Peper Martin’s Corporate Department as partners in the firm’s Kansas City, Mo., office. The four join Blackwell Sanders from Husch & Eppenberger, LLC, and will focus in the area of estate planning, trusts and estates.

“We’re delighted that Christine, Elvin, Mike and Lisa chose to join Blackwell Sanders,” said Scott Blakesley, chair of the Estate Planning, Trusts and Estates practice area. “They are a great addition to our existing group and give us more capacity to handle the increasing estate and business planning needs of our clients.”

DeMarea has more than 10 years of experience in tax and estate planning, with an emphasis on multigenerational planning, business continuity planning, charitable giving and trust administration. In 2003 and 2004, DeMarea was named as “Best of the Bar” by the Kansas City Business Journal. She earned a J.D. from the University of Missouri at Kansas City School of Law (1993), where she was a technical editor of Law Review. She also received an LL.M. in taxation from the University of Missouri at Kansas City School of Law (1997). DeMarea earned a B.S.B.A. in financial economics from Rockhurst University (1990), cum laude.

With more than 30 years of experience, Knight brings expertise in all aspects of tax and estate planning. His practice has involved identifying and solving complex tax problems, and he leads his clients through the process of transferring family corporations from one generation to the next. He is involved in the utilization and coordination of Family Limited Partnerships, private foundations, life insurance and employee benefits in the estate planning process. Knight is a frequent lecturer on estate planning programs for The Missouri Bar and other professional organizations. He was also named a “Super Lawyer” by Missouri & Kansas Super Lawyers 2005. He is a fellow of the American College of Trust and Estate Counsel and is listed in Best Lawyers in America in the areas of Tax Law and Trusts and Estates. He received a J.D. from the University of Kentucky College of Law (1968) and an LL.M. in taxation from the University of Missouri at Kansas City (1971).

The more than 32 years of experience Thiessen bring to Blackwell Sanders is focused on the challenges and opportunities associated with estate planning, wealth preservation planning and business continuity, and transition planning. He assists clients in identifying and solving complex business owner relationship challenges, wealth transition and tax problems, which enable him to lead his clients through the process of transferring family wealth and businesses from one generation to the next. He serves as either primary or special legal counsel on a national basis, and has worked with estates of all sizes. Thiessen is a frequent speaker at regional and national legal symposiums on the subject of business, tax and estate planning. He is a fellow of the American College of Trusts and Estate Counsel He earned a J.D. from Stanford University Law School (1973) and a B.S. from the United States Air Force Academy (1969).

Veselich has more than 10 years of experience in tax and estate planning. She has represented clients in the areas of estate planning, probate and trust administration, business continuity planning, and charitable giving. She has prepared analysis and recommendations on complex estate, gift and generation-skipping transfer tax issues, including development of complex estate plans. She earned a J.D. from the University of Missouri at Kansas City School of Law (1994), where she was a member of the Kansas City Law Review. She received a B.S. in accounting from William Jewell College (1991), summa cum laude. Veselich is also a certified public accountant.

The addition brings Blackwell Sanders’ existing estate planning, trusts and estates practice to 10 attorneys in the Kansas City office, and 18 in all offices. These attorneys focus on comprehensive estate and business planning to accomplish clients’ unique goals through tax-effective methods. Blackwell Sanders’ lawyers recognize that effective planning must be proactive and responsive, and they strive to coordinate both the business and personal aspects of clients’ affairs. Blackwell Sanders’ estate planning, trusts and estates attorneys are recognized for their significant expertise, and several attorneys hold advanced degrees in tax. Six attorneys have been elected as fellows of the American College of Trust and Estate Counsel. Five have been recognized in the Best Lawyers in America. One is a past president of the National Committee on Planned Giving.

Chadbourne Represents Majority Shareholders of Ukraine\'s Ukrsotsbank in the Sale of 85.4% of Shares
March 2, 2006 -- Chadbourne & Parke LLP acted as legal counsel on matters of Ukrainian law to the controlling shareholders of Ukraine's Ukrsotsbank in the sale of 85.4% of the bank's share capital to Banca Intesa.

The deal, announced recently, is worth about US$1.2 billion, making it the largest bank deal in Ukraine to date.

The share purchase agreement was signed on February 14, 2006. The transaction will close by the end of the year.

As of December 31, 2004, Ukrsotsbsank was Ukraine's fourth largest bank, with US$1.3 billion in total assets.

Working on the deal for Chadbourne were Kyiv office international partner Volodymyr Baibarza, and associates Valery Fedichin, Artem Chernov and Ruslan Ostapenko.

Thomas J. Cole, Bruce K. Fenton and Michael B. Staebler Elected to Pepper Hamilton\'s Executive Commi
Philadelphia, Pa. – March 2, 2006 – Pepper Hamilton LLP announced that Thomas J. Cole, Jr. and Bruce K. Fenton, partners in the Philadelphia office, and Michael B. Staebler, a partner in the Detroit office, have been elected to the Executive Committee, the law firm’s governing body. Julia D. Corelli, a partner in the Philadelphia office, was re-elected to the Executive Committee.

Mr. Cole is a member of Pepper’s Labor and Employment Group and chairman of the firm’s Associates Committee. He represents management in all manner of labor and employment matters. He defends employers against claims of employment discrimination and regularly counsels employers concerning employment policies and contracts as well wage and hour issues. He also helps employers deal with union organizational campaigns and issues related to collective bargaining agreements.

Mr. Fenton is in Pepper’s Corporate and Securities Practice Group and serves as secretary of the Pepper partnership. He concentrates in private equity transactions, and his practice includes mergers and acquisitions and the related financing, as well as securities and general corporate counseling, both domestically and internationally. He also structures and documents limited liability companies, partnerships and joint ventures.

Mr. Staebler is a corporate lawyer, head of Pepper’s SBIC practice and co-chair of the firm’s investment funds practice. He concentrates in mergers and acquisitions, corporate finance, venture capital, real estate, and forming and advising SBICs. He represents private and public businesses in the entire range of corporate matters, including their acquisition and sale, issuance of securities, corporate finance and contract negotiations. He is particularly experienced in the formation, management and operation of venture capital firms.

Ms. Corelli is a corporate lawyer and co-chair of Pepper’s investment funds practice. She concentrates her practice in private investment fund formation, private equity investment transactions, venture capital investments, acquisitions and dispositions of business enterprises, joint ventures, and corporate/shareholder and partner/partner dealings. She also is experienced in matters of investment fund principal compensation and planning.

Also serving on Pepper’s Executive Committee are partners Barry M. Abelson (a corporate lawyer and chairman of the Executive Committee), Joseph V. Del Raso (a corporate lawyer and head of the firm’s investment management practice), Charles M. Greenberg (a corporate lawyer and head of the firm’s sports practice), Robert E. Heideck (a construction litigator and the firm’s executive partner), Robert L. Hickok (a commercial litigator and the firm’s chief strategy officer), George A. Lehner (co-chairman of the firm’s Litigation and Dispute Resolution Department and vice chairman of the Executive Committee), James D. Rosener (a corporate lawyer and head of the firm’s international practice) and David B. Stratton (a bankruptcy lawyer and the partner in charge of the firm’s Wilmington office).

Smith Urges Supreme Court to Throw Out Texas Congressional Map
Jenner & Block Partner Paul M. Smith told the U.S. Supreme Court yesterday in a closely watched case that Texas lawmakers violated the Constitution when they re-drew congressional boundaries with an eye towards increasing the number of Republican representatives from that state. Jackson v. Perry, No. 05-276.

Mr. Smith argued on behalf of a group of Democratic voters and lawmakers that the Texas legislature lacked a “rational, legitimate public purpose” for enacting the map in 2003, thus violating the Constitution’s Equal Protection Clause and First Amendment. “The only reason it was considered, let alone passed, was to help one political party get more seats than another,” he said.

Mr. Smith also argued that the map was unconstitutional because it was based on old census data and violated Section 2 of the Voting Rights Act because it eliminated a district in the Fort Worth area that was previously controlled by African-American voters.

J.W. Childs Associates, L.P. and Merrill Lynch Global Private Equity Agree to Acquire Advantage Sale
Kaye Scholer represented long-time client J.W. Childs Associates, L.P. and Merrill Lynch Global Private Equity, in a definitive merger agreement for the acquisition of Advantage Sales & Marketing Inc. (ASM) for approximately $1.05 billion. ASM is a leading sales and marketing agency in the US, providing outsourced sales, marketing and merchandising services to manufacturers, suppliers and producers of consumer goods. The transaction, reported in the March 3 edition of The Daily Deal, is expected to close by the end of the first quarter of 2006.

Stephen Koval led the corporate team, which included Thomas Yadlon, Melanie Montenegro, Steven Vine, Ami Cietta Duche, Monica Lima, Evelyn Tollinche, and Evan Kipperman. Laurie Abramowitz provided invaluable tax and other assistance to the corporate team. Ed Gabbay led the finance team together with Alan Glantz.

Bankruptcy Attorney Frederick Rosner Joins Duane Morris Wilmington Office
WILMINGTON, March 2 - Fred Rosner, a bankruptcy attorney, has joined Duane Morris LLP. Fred joins the firm's Wilmington office as a partner in the Business Reorganization and Financial Restructuring Practice Group.

Fred represents clients in a wide range of debtors' and creditors' rights matters, including bankruptcy, secured transactions, general business law and commercial litigation. He has acted as counsel to chapter 11 debtors, official committees of unsecured creditors, DIP lenders, trustees, financial institutions, landlords, equipment lessors, reclamation creditors, intellectual property licensors and investors in workouts and bankruptcy cases. Fred has been appointed to serve as a fiduciary in insolvency cases. He has served as a chapter 11 trustee, an examiner and on the board of directors of an international public company. He is an active member in several organizations, including the American Bankruptcy Institute and the Business Division of the American Bar Association. In addition, he is a contributing author for the Collier Treatise on Bankruptcy, frequently writes articles on issues relevant to bankruptcy law, and lectures on topics of corporate restructuring, bankruptcy and insolvency.

Prior to earning his J.D. from Brooklyn Law School in 1986, Fred graduated with a B.A. from Hamilton College in 1982. He is admitted to practice in Delaware and New York.
