Announcing the Release of The 2006 Legal Guide to Doing Business in North Carolina
We are pleased to announce the publication of the 5th edition of The Legal Guide to Doing Business in North Carolina, which provides an overview of the rules and regulations governing companies with business operations in this State.

The firm publishes this Legal Guide as a member of Lex Mundi, the world’s leading association of independent law firms with more than 17,000 lawyers in 160 states, countries and provinces. The Lex Mundi association provides our lawyers with access to cost-effective legal representation and local market knowledge practically anywhere legal issues may arise.

Womble Carlyle initiated its first Legal Guide in 1991 in response to a request from the American Bar Association to Lex Mundi member firms and has revised the guide four times since then.

The Legal Guide to Doing Business in North Carolina is a particularly useful reference for companies considering relocation to or expansion within the State. The booklet should not be relied upon in any specific factual situation, and does not cover all laws or regulations that may be applicable in all circumstances. Thelen Reid Client Aloha Airlines Emerges from Bankruptcy with Restructured Pension and Labor Arrang
Thelen Reid & Priest LLP client Aloha Airlines, Inc. has emerged from bankruptcy with a restructured pension program and revised labor agreements. The airline’s exit came on February 17, 2006, following a six-day bankruptcy trial over the termination of Aloha’s defined benefit pension plans and collective bargaining agreements, an expedited appeal, and intensive negotiations with the federal Pension Benefit Guaranty Corporation. The modifications to Aloha’s pension and labor arrangements were essential to the company’s ability to survive.

The single biggest obstacle to Aloha’s reorganization was the termination of its defined benefit pension plans, which were underfunded by more than $150 million on a termination basis. Aloha’s efforts were opposed by the PBGC, the federal agency that insures such plans.

At the conclusion of the trial in early December, the bankruptcy court found in favor of Aloha, holding that the airline could not continue in business outside bankruptcy unless the pension plans were terminated. The PBGC then appealed to the district court.

Aloha’s trial team obtained orders expediting the appeal, which was heard within days. The district court upheld the bankruptcy court’s ruling, following which Aloha’s labor and pension team negotiated intensively with the PBGC and reached a settlement on February 2.

Aloha’s stay in bankruptcy was one of the briefest in recent airline history, lasting less than 14 months from petition to exit.

Aloha’s labor strategy was developed and led by Sheldon Kline, a labor and employment partner in Thelen Reid’s Washington, DC office. Aloha’s trial team was led by Chuck Dyke, a litigation partner in the San Francisco office. Negotiations with the PBGC were led by Sheldon Kline and Michael Schloss, of counsel in Washington, DC.

Cozen O\'Connor Member Barry Boss Serves as Instructor for D.C. Bar CLE Course
WASHINGTON, D.C. – March 06, 2006 – Cozen O’Connor member Barry Boss served as an instructor for the litigation course of the D.C. Bar Continuing Legal Education Winter 2005 – 2006 program. Boss conducted the session, Part IV: Cross-Examination, a segment of the Essential Trial Skills Series, which taught students how to use cross-examination to tell a story, how to control the witness and how to impeach the witness. The class also delved into the objectives, strategies, tactics, mechanics and legal principles governing effective cross-examination.

Boss is the managing partner of Cozen O’Connor’s Washington D.C., office. He concentrates his practice in complex criminal matters, focusing on white-collar crime and corporate compliance. Boss is co-author of Federal Criminal Practice, a 750-page treatise for criminal defense attorneys, and an adjunct professor at The George Washington University Law School, regularly serving as a faculty member or featured speaker at continuing legal education programs and seminars throughout the country.

Former co-chair of the United States Sentencing Commission’s Practitioners’ Advisory Group, Boss currently serves as co-chair of the American Bar Association Criminal Justice Section Corrections and Sentencing Committee. He has been named a “Top Lawyer” for criminal defense by Washingtonian magazine and is also a past recipient of the R. Kenneth Mundy Lawyer of the Year Award from the District of Columbia Association of Criminal Defense Lawyers.

A resident of Chevy Chase, Md., Boss earned his undergraduate degree from Bates College (B.A., 1982) and his law degree from The George Washington University Law School (J.D., with high honors, 1985), where he was a member of Order of the Coif. Boss is admitted to practice in the District of Columbia and Maryland.

Cozen O’Connor Attorneys Present at Insurance Coverage Litigation Committee Seminar
PHILADELPHIA – March 06, 2006 – Cozen O’Connor Philadelphia office members, William P. Shelley and William H. Howard, and associate Ilan Rosenberg, recently presented at the American Bar Association’s eighteenth annual Insurance Coverage Litigation Committee CLE Seminar in Tucson, Ariz. Shelley spoke on the absolute pollution exclusion, Howard spoke on environmental risk insurance coverage and Rosenberg spoke on the enforcement of U.S. judgments abroad.

The three-day event was held at the Westin La Paloma Resort and was comprised of the nation’s top insurer and policyholder lawyers and industry leaders who presented diverse topics and views on current insurance issues.

Shelley serves as vice chair of the firm’s national insurance litigation department. His practice primarily focuses on complex insurance coverage issues, including general and professional liability and on the coordination of the defense of mass tort claims. Shelley serves as counsel for insurers in many major asbestos coverage cases as well as associated bankruptcy proceedings pending around the country.

Shelley was selected a 2005 ""Pennsylvania Super Lawyer"" by his peers, appearing in Philadelphia Magazine and Pennsylvania Super Lawyers, and was selected for inclusion in the 2006 edition of The Best Lawyers in America. He is a published author, serves as editor of the Insurance Coverage Law Bulletin and frequently speaks on insurance coverage issues at seminars around the country.

Shelley is a member of the American, New Jersey State and Burlington County bar associations and the Defense Research Institute. He is admitted to practice in New Jersey, New York and Pennsylvania, and before the U.S. Supreme Court, New York Supreme Court, Pennsylvania Supreme Court and Supreme Court of New Jersey, the U.S. Court of Appeals for the District of Columbia, Third and Eleventh Circuits, and the U.S. District Court for the District of New Jersey, Eastern, Northern, Southern and Western Districts of New York, and Eastern District of Pennsylvania.

A resident of Moorestown, N.J., Shelley earned his undergraduate degree from Rutgers University (B.A., highest honors, 1976) and his law degree from Rutgers University School of Law (J.D., 1979).

Howard concentrates his practice in the areas of insurance law and litigation, with a sub-specialty in insurance coverage for environmental claims.

Howard has spoken on insurance coverage for environmental claims at seminars sponsored by various bar association and insurance organizations, and has spoken on insurance-related topics at Cozen O'Connor-sponsored seminars. He has authored a number of articles on insurance coverage, published in the American Bar Association’s Tort Trial Tort and Insurance Practice Law Journal and Coverage journal, as well as in other publications.

Howard is a member of the American Bar Association’s litigation, environment, energy and resources, and torts and insurance practice sections, serving on the litigation’s insurance coverage litigation committee, where he is a co-chair of the environmental coverage subcommittee; the Pennsylvania Bar Association and its civil litigation and environmental, mineral and natural resources law sections and sports, entertainment and art law committee; the Philadelphia Bar Association and its environmental law, federal courts and insurance committees; and the Ohio State Bar Association.

Howard is admitted to practice in Pennsylvania and Ohio, and before the U.S. Court of Appeals for the Third and Sixth Circuits, the U.S. District Courts for the Eastern and Middle Districts of Pennsylvania and the Northern and Southern Districts of Ohio, and the U.S. Court of Appeals for Veterans Claims.

Howard is a volunteer lawyer with the Philadelphia Volunteer Lawyers for the Arts and received its Meritorious Service Award in 1997 and 2000. He is also a volunteer lawyer for the Veterans Consortium Pro Bono Program. He has been named a Pennsylvania “Super Lawyer” in 2004 and 2005.

A resident of Berwyn, Pa., Howard received his undergraduate degree from Case Western Reserve University (B.A., magna cum laude, honors English, 1975,) and his law degree from Case Western Reserve University (J.D., 1978), where he was an editor on the Law Review. He is a member of Phi Beta Kappa and Omicron Delta Kappa.

Rosenberg concentrates his practice in the area of insurance coverage and commercial disputes, with an emphasis in assisting Latin American corporations on cross-border defense and recovery efforts. Rosenberg served in the Mexican public sector for two years where he provided legal consultation for the federal government. While in private practice, Rosenberg had extensive experience litigating coverage, commercial and civil rights claims in the U.S. and Mexico.

Rosenberg is admitted to practice in Pennsylvania and every jurisdiction in Mexico, and before the Pennsylvania Supreme Court and the U.S. District Court for the Eastern District of Pennsylvania. He is a member of the American and Pennsylvania bar associations, and sits on the board of directors of the America-Israel Chamber of Commerce and the Mexican Cultural Center of Philadelphia.

A resident of Cheltenham, Pa., Rosenberg earned his law degree from the Escuela Libre de Derecho in Mexico City, Mexico (J.D., 1998) and his master of laws from the University of Pennsylvania Law School (LL.M., 2002).

RICHARD HALL TO SPEAK AT TWO CONFERENCES IN TORONTO
Cravath partner Richard Hall will speak at two upcoming conferences in Toronto. On June 6, Richard will speak at "Mergers & Acquisitions: Leading Strategies for Targeting, Negotiating, and Closing Deals", presented by Infonex. Richard's session, entitled "Special Considerations That Apply to Hostile Takeover Bids", will address why hostile bids are becoming more prevalent in Canada and major factors which limit hostile takeover bids. On June 7, Richard will speak at "Securities Law Forum: U.S./Cross-Border Securities Law", presented by Insight. His session, entitled "Cross-Border M&A: Overview and Update", will discuss recent trends and developments, unsolicited transactions and structuring Canadian transactions where a target has U.S. shareholders.

JEFF SMITH TO SPEAK AT SPRING MEETING OF ABA SECTION OF INTERNATIONAL LAW
On April 7, Cravath partner Jeff Smith will speak at the 2006 Spring Meeting of the ABA Section of International Law at the Waldorf Astoria in New York City. Jeff will serve as a panelist for a discussion entitled "Greening the Deal: Environmental Considerations in International Transactions". Panelists will examine a variety of topics relating to the environmental aspects of cross-border deals, including comparative environmental liability, obligations and trends relating to environmental disclosure, environmental management systems, coordination of foreign internal and external counsel, and reliance on outside experts.

59 TROUTMAN SANDERS ATLANTA ATTORNEYS SELECTED AS SUPER LAWYERS
ATLANTA, GEORGIA (March 6, 2006) . . . Fifty-nine Troutman Sanders LLP Atlanta attorneys have been selected by their peers and are included in the 2006 edition of Super Lawyers.

The attorneys are selected through a process where approximately 23,500 attorneys were asked to name the best of their peers in Atlanta magazine's annual Super Lawyers survey. The extensive balloting, research and blue ribbon review process revealed 59 Troutman Sanders attorneys in the top five percent.

Law & Politics and Atlanta magazine, organizers of the annual survey, asked voters to choose colleagues they had personally observed in action, rather than voting for others based on reputation alone, and many precautions were taken to ensure a fair selection process.
