Randall Fons, Senior SEC Enforcement Official, Joins Morrison & Foerster
Denver, March 7, 2006 — Morrison & Foerster announced that Randall J. Fons, Regional Director of the Central Regional Office of the Securities and Exchange Commission, will join the firm as a partner. Mr. Fons, who spent 18 years with the SEC in trial and directorship posts around the U.S., will join the firm’s 120-lawyer securities litigation, enforcement, and white-collar practice and will be based in the firm’s Denver office.

Mr. Fons has served as the Regional Director of the SEC’s Central Regional Office for the past six years. The Central Region is composed of three district offices located in Denver, Ft. Worth, and Salt Lake City and has both enforcement and regulatory oversight programs across an 11-state area. Before his tenure with the Central Regional Office, Mr. Fons was Regional Director for the SEC’s Southeast Region, where he managed the work of the Miami and Atlanta offices. Mr. Fons began his impressive career with the Commission in 1988 as a staff attorney in the SEC’s Chicago office.

During Mr. Fons’s tenure in the Central Region, he has been responsible for a number of groundbreaking enforcement actions. He oversaw market manipulation cases concerning public corporations’ stocks, and cases against broker-dealers and investment advisers.

Keith Wetmore, Chair of the firm, commented, “Randy Fons has built a distinguished career in securities enforcement – one especially noteworthy for his extensive trial and investigative experience. His first-hand knowledge of the SEC will prove invaluable to our clients, and his expertise will enhance our already strong national securities, enforcement and white-collar criminal litigation practices.”

At Morrison & Foerster, Mr. Fons will represent issuers, underwriters, broker-dealers and investment advisers and their officers and directors in federal and state investigations and enforcement proceedings and also will assist companies with internal investigations and provide counseling on litigation avoidance and legal compliance.

Eric Elliff, managing partner of the firm’s Denver office, added, “Randy is highly regarded, and he possesses an extensive knowledge base concerning enforcement issues throughout the United States, and particularly in the Western and Central areas. He will be a huge asset for the firm and our clients. He brings to our Denver office a depth of government securities and enforcement experience that complements our strong national practice and local presence.”

“Randy brings a wealth of experience and insight on securities matters that will be invaluable to our clients, whether they are dealing with SEC enforcement matters, private securities litigation, or internal investigations,” commented Jordan Eth, Co-Chair of the firm’s securities litigation, enforcement, and white-collar defense practice. “He adds further depth to our strong national practice.”

Randall Fons said, “Morrison & Foerster not only has one of the country’s premier securities litigation practices, but it also is a firm whose client base includes a large number of emerging and established technology firms and other leading public corporations. I look forward to working with my new colleagues.”

Mr. Fons received his law degree from the University of Colorado School of Law, where he was a contributor to the University of Colorado Law Review. Following law school, Mr. Fons was a legal clerk to the Presiding Judge of the Wisconsin State Court of Appeals. Mr. Fons received the SEC’s Distinguished Service Award, the Commission’s highest recognition, and the Capital Markets Award.

Morrison & Foerster is a recognized national leader in all aspects of securities litigation and enforcement. The firm represents corporate issuers and their officers and directors in private securities litigation, including class actions and derivative suits. Morrison & Foerster has extensive experience representing investment banks, broker dealers, and other professionals in class action and derivative litigation. The firm represents issuers and individual officers and directors in civil and criminal government investigations and litigation, including enforcement actions brought by the SEC, the Criminal Division of the Justice Department, and various state Attorneys General.
