BOB JOFFE NAMED CHAIR OF TASK FORCE ON JUDICIAL SELECTION
Cravath Presiding Partner Robert D. Joffe has been chosen to Chair a task force created by the New York City Bar Association and charged with issuing recommendations on improving the judicial selection process in New York state. The Task Force will study judicial selection reform proposals against the backdrop of the recent decision by Judge John Gleeson that found the current judicial convention process for selection New York Supreme Court Justices unconstitutional. The Task Force will then further develop an action plan for implementing the Association's proposals. Cravath Litigation Associate Niki Kerameus has also been named to the Judicial Selection Task Force and will serve as its Secretary.

Marcia Ellis\' Speech on Media Law in China Covered in Media

A speech on media law in China given by counsel Marcia Ellis to the American Chamber of Commerce (AmCham) in Hong Kong last week was the subject of an article in the March 2 edition of Daily Variety and the March 6 editions of The Standard and BBC Worldwide. At the AmCham program, Marcia and panelist Hugh Stephens, Time Warner's senior vice president for strategic policy in Asia, discussed the tightening of regulation of China's media and entertainment sector in 2005, noting the challenges it has created for foreign and local investors. Marcia told the audience that the past year in China ""felt as if we had taken a great leap backward after a long run of steady progress forward,"" but she noted there are some signs that regulatory progressiveness may be on the horizon.

Willkie Advises Shurgard Storage in $5 Billion Transaction

On March 7, 2006, Willkie client Shurgard Storage Centers, Inc. agreed to the $5 billion acquisition offer made by Public Storage, Inc. Both companies are real estate investment trusts that manage self-storage facilities. This complex matter incorporated intense negotiations aimed to culminate to mutually agreeable terms. The combined company is expected to have a market capitalization of $18 billion and ownership interest in more than 2,100 self-storage facilities in 38 U.S. states and seven European nations.

The all-stock deal is currently valued at $3.2 billion, plus Public Storage's assumption of $1.8 billion of Shurgard's debt.

Willkie’s team included partners Richard Posen, Robert Stebbins, Rosalind Fahey Kruse, Tariq Mundiya, Doug Ulene, Frank Daniele and Henry Cohn.

Cooley Partner Named a Dealmaker of the Year for M&A Achievements
Palo Alto, Calif. – March 7, 2006 — Cooley Godward today announced that partner Keith Flaum has been named a Dealmaker of the Year by The American Lawyer magazine for his significant mergers and acquisitions achievements in 2005. The American Lawyer is the legal industry's leading monthly magazine.

Flaum played a lead role on more than 15 deals last year, with a combined value of more than $16 billion, including eBay Inc.'s purchase of Skype Technologies S.A. in a transaction valued at up to approximately $3.9 billion, Siebel Systems, Inc.’s sale to Oracle Corporation in a transaction valued at approximately $5.8 billion and Adobe Systems’ acquisition of Macromedia in a transaction valued at approximately $3.4 billion. In the eBay transaction, he successfully negotiated and helped to structure one of the largest and most complex “earn outs” in history.

“Keith’s legal skills and negotiating talents were critical to guiding our clients through these complex, sizeable transactions and we applaud this noteworthy achievement,” said Richard Climan, firmwide head of Cooley Godward’s M&A Group. “2005 was an extremely robust year for the entire M&A team at Cooley and this recognition is a fitting tribute not just to Keith but also to the other members of the M&A Group, whose efforts contributed to making the past year a great success.”

Flaum focuses his practice on mergers & acquisitions, representing both public and private companies in a broad range of industries, primarily in the information technology and life sciences sectors. He was also recently named a 2005 “Attorney of the Year” by California Lawyer magazine. In 1999 he was recognized by California Law Business as one of the “Top 20 California Lawyers Under the Age of 40.” He is also included in Chambers USA, Leading Lawyers for Business as a leading Northern California M&A lawyer.

Debevoise Represents Mexican National in the Supreme Court
On November 7, 2005, the Supreme Court granted certiorari in Moises Sanchez-Llamas v. Oregon and Bustillo v. Johnson and consolidated the cases for argument. Both cases raise issues concerning the consular notification and access provisions of Article 36 of the the Vienna Convention on Consular Relations and the enforcement of those provisions in the United States legal system. Specifically, Mr. Sanchez-Llamas’ case presents the questions whether Article 36 is individually enforceable in criminal proceedings against a defendant foreign national and whether suppression is available as a remedy for an Article 36 violation, and Mr. Bustillo's case presents the further question whether procedural default doctrines can bar a foreign national from raising an Article 36 claim when the national has not received the required notification. The cases thus present issues of broad significance for the constitutional scheme of treaty enforcement in the United States.

In March 2004, in Avena and Other Mexican Nationals (Mexico v. United States), the International Court of Justice held that Article 36 does confer an individual right on detained foreign nationals and that procedural bars cannot prevent the assertion of an Article 36 claim when the competent authorities have failed in their notification obligations. Debevoise represented Mexico in that case. In April 2005, in Medellin v. Dretke, the Supreme Court declined, after hearing oral argument, to decide whether the Avena judgment was enforceable in United States courts after President Bush, acting pursuant to his Article II authority, determined that state courts would provide the review and reconsideration that the ICJ has ordered as a remedy for the 52 Mexican nationals subject to that judgment. In September 2005, the Texas Court of Criminal Appeals heard argument on whether Texas must give effect to the Avena judgment and the President's determination, but that court has not yet rendered a decision. Debevoise represented Mr. Medellin in the Supreme Court and the Texas Court of Criminal Appeals.

In Sanchez-Llamas, Debevoise serves as co-counsel to the Office of Public Defense Services in Salem, Oregon, which filed the petition on Mr. Sanchez-Llamas' behalf.

A former president of the Boston Bar Association, Ms. Rikleen is a senior partner with Massachusetts-based Bowditch & Dewey LLP. Her new book focuses on the institutional impediments to women's success in law firms and is the result of two years of extensive research and more than 100 interviews with women and law firm managers all over the country. Ms. Rikleen’s book includes excerpts from the interviews to illustrate each of the issues raised through their stories. Issues addressed include, law firm assignments, management, compensation, billable hours, mentoring, business development and reduced-hours. The book also focuses heavily on issues unique to women and proposes solutions to each.
As an attorney, Ms. Rikleen has a diverse environmental law practice emphasizing negotiation, enforcement and compliance issues. She is also an experienced mediator. Proposed Merger of Suez and Gaz de France
Davis Polk & Wardwell is serving as U.S. counsel to Suez S.A. in connection with its proposed $47 billion merger with Gaz de France. Based in Paris, Suez is an international industrial group that designs sustainable and innovative solutions for the management of public utility services as a partner of public authorities, businesses and individuals. Gaz de France, a French state-owned company, is the leading European natural gas supplier.

The transaction is expected to be completed in the second half of 2006, pending regulatory approval and other closing conditions. The boards of directors of both companies have approved the transaction.

The combined company will become the fifth-largest producer of electricity, the operator of the largest European gas transport and distribution network and the leading energy services provider in Europe.

The Davis Polk corporate team includes partners Joseph Rinaldi, Margaret E. Tahyar and associate Siobhan Dalton, all of the Paris office.
