White & Case Advises on £13.5 Billion Acquisition Finance Double
London, March 8, 2006 ... White & Case is acting on two of the largest acquisition financings in the European market in the form of the £8.2 billion financing for the proposed acquisition of FTSE 100 company, BOC Group plc (""BOC""), by Linde Group AG (""Linde""), as well as the €8 billion financing for the cash portion of Mittal Steel N.V.'s (""Mittal"") bid to acquire French rival, Arcelor SA (""Arcelor""). The Linde/BOC deal, announced March 6, is subject to regulatory approval and will create the world's largest industrial gas group. If completed, Mittal's acquisition of Arcelor will create the world's largest steel company by some margin.

White & Case advised Commerzbank AG, Deutsche Bank AG, Dresdner Kleinwort Wasserstein, Morgan Stanley International Limited and the Royal Bank of Scotland plc as Mandated Lead Arrangers for the BOC acquisition financing, which enabled Linde to make an all cash offer of £16 per share.

""The extremely buoyant European loan market, which has grown steadily over the last few years and spectacularly in the last 18 months, means that the finance that can make these deals a reality is out there,"" commented Christopher Kandel, one of the lead White & Case lawyers advising on the Linde/BOC financing. ""These conditions have paved the way for high-end acquisitions to be paid for entirely with cash.""

In the Mittal/Arcelor deal, White & Case is advising mandated lead arrangers Goldman Sachs, Citibank and Société Générale. White & Case, through partner Claire Denison, is also advising Rabobank as aval (bank guarantee) provider on the transaction. The number of exchanges on which Arcelor is listed raised the issue of varying compliance requirements in countries such as Luxembourg, France, Belgium and Spain, all of which have had to be taken account of in assembling the debt financing.

""During the last four years we've built up a strong presence in the leveraged lending market, but we're now experiencing increasing demand from clients to work on their investment grade financings, which is great news for the practice,"" added Maurice Allen, co-head of White & Case's London Banking & Structured Finance group and the lead partner advising on the Mittal/Arcelor financing.

On the Linde/BOC financing, working alongside in-house counsel Joachim Walgenbach of Deutsche Bank were White & Case partners Mike Goetz and Christopher Kandel, counsel Andrew O'Keeffe and associate Kim Lübbe. Partner Stephen Hodgson in the Firm's Frankfurt office advised on German law issues.

The White & Case team advising on the Mittal/Arcelor financing was led by partner Maurice Allen and comprised partner Magdalene Bayim-Adomako and associates Tania Bedi, Sam Hamilton, Kellie Scott and Jenni Semmens.

Mittal is the world's largest global steel company with operations in 16 countries. In 2004 it reported revenues of $31.2 billion and a workforce of 164,000 employees worldwide. In 2005, Arcelor employed 96,000 employees across 60 countries, with a reported turnover of $32.6 billion. With annual sales of just over £4.6 billion in 2004, UK-based BOC is one of the world's leading industrial gases companies, employing 30,000 people and serving customers across 50 countries. Linde is a diversified business, with a forklift truck and warehouse equipment-making division in addition to its industrial gases business. It employs 41,000 people and reported 2004 sales of $12.8 billion.

Bennett Re-appointed to OCBA\'s House of Delegates
