Chadbourne Represents ArvinMeritor, Inc. and Conexant Systems, Inc. in Separate Convertible Debt Off
March 8, 2006 -- Chadbourne & Parke LLP recently represented ArvinMeritor, Inc. and Conexant Systems, Inc. in separate Rule 144A private offerings of convertible debt in amounts aggregating $460 million. Both deals closed on March 7.

The ArvinMeritor offering was $260 million of convertible senior notes due in 2026. Net proceeds of the offering are to be used, along with proceeds from other sources, to fund purchases pursuant to the company's pending offers to purchase up to $450 million aggregate principal amount of its outstanding indebtedness.

The Conexant offering comprised $200 million of convertible subordinated notes due in 2026. Conexant will apply the proceeds to the payment or other retirement of outstanding indebtedness.

Working on one or both of the deals for Chadbourne were New York office partners Peter R. Kolyer, Marc A. Alpert, Sey-Hyo Lee, Kevin C. Smith, Charles E. Hord, William G. Cavanagh and Lauren D. Kelly; counsel Michael Graif; associates Brad Berman, Jillian Eng, Joseph Giannini, Andrew B. Hutchinson, Kessar Nashat, Beth Rogers and Dorothy Wisniowski; and paralegal Sarah Chan.

Buchanan Ingersoll Attorney Alex Saksen Joins PUMP Board of Directors
Pittsburgh, PA, March 8, 2006 — Buchanan Ingersoll attorney Alexander W. Saksen has been selected to join the Board of Directors of the Pittsburgh Urban Magnet Project (PUMP). Saksen also serves as the member chair of the organization's Politics Committee.

Firm Supports Scholarship Chicago’s “High 5” Initiative for College-Bound Students
Jenner & Block recently became a “High 5” sponsor of Scholarship Chicago, a nonprofit organization that provides economically disadvantaged youth in Chicago with programs and scholarships to help them pursue college or other post-secondary education.

As a High 5 sponsor, the Firm will make a significant contribution to Scholarship Chicago over five years. That investment will support five college-bound students with a full year of college preparatory programming in their senior year of high school, including a personal mentor to work with them through college, renewable 4-year college scholarships, and access to summer internships and career networking opportunities, among other things.

“The Firm is a longtime supporter of Scholarship Chicago, and we are proud to increase our commitment to such an important organization,” said Jenner & Block Chairman Jerold S. Solovy, who, along with Partner J. Kevin McCall, spearheaded the Firm’s donation.

Scholarship Chicago is the largest privately funded college scholarship organization in the city.

Firm Hosts Debate by Renowned Professors on Future of the Supreme Court
The U.S. Supreme Court’s perceived shift toward a conservative ideology was among the topics debated by two renowned professors at a recent event presented by the Jewish United Fund / Jewish Federation of Metropolitan Chicago. The debate was held at Jenner & Block’s Chicago office.

Conservatism at the Court has typically been characterized by the term “originalism,” or the philosophy that says the Court’s decisions ought to be based on what the framers of the Constitution intended at the time, said Professor Geoffrey Stone of the University of Chicago Law School.

However, Professor Stone asserted that originalism is not what makes today’s Court conservative. He argued that modern conservatism is about the Justices’ “personal values” rather than their political methodology. “In that sense, the Court is becoming more conservative because the Justices are using more conservative personal values when deciding cases,” he said.

Professor Stephen Presser of Northwestern Law School agreed that the court is moving in a conservative direction, but said it’s because the Court still applies the concepts of originalism, especially when ruling in the areas of race, religion and other high-stakes social issues.

The debate was hosted by Partner Debbie L. Berman, who, among other things, is currently a member of the JUF/Jewish Federation’s board of directors, and is the 2005-06 Chair of the JUF/Jewish Federation Leadership Development Committee and Campaign Chair of the JUF Lawyers Division.

Private Equity Analyst Highly Ranks Goodwin Procter on \"Most Active Law Firms\" List
March 8, 2006 — Private Equity Analyst recently ranked Goodwin Procter LLP the 6th ""Most Active Law Firm"" based on the number of private equity and venture capital deals negotiated and closed in 2005, as well as the 19th ""Most Active Law Firm"" based on the number of private equity or venture capital funds worked on for general partners and limited partners that closed in 2005.

Goodwin Procter is a national leader in the private equity sector. For the past 35 years, the firm has been helping clients with investments, recapitalizations, buyouts, fund formations and portfolio company transactions.

Cooley Successfully Defends Leadis Technology
Palo Alto, Calif. – March 8, 2006 — Cooley Godward announced today that it has successfully defended Leadis Technology, Inc. in a Section 11 securities class action lawsuit. The complaint, filed in March 2005, had alleged that the defendants violated federal securities laws by making allegedly false and misleading statements in Leadis’ prospectus for its June 2004 initial public offering. On March 1, 2006, the United States District Court for the Northern District of California granted, with prejudice, defendants’ first motion to dismiss the complaint against Leadis and certain of its officers and directors.

“It is rare in Section 11 cases to obtain a dismissal with prejudice on the first motion,” said Cooley partner Grant Fondo, who led Leadis’ defense. “We and our client are extremely pleased with the judge’s ruling.

\"DJ Insurers Ask Appeals Court to Order New Trial in WTC Dispute\"
Litigation co-chairman Harvey Kurzweil was quoted in an article regarding the appeal by a group of nine insurers, including Dewey Ballantine client Travelers, who asked a federal appeals court to order a new trial in their dispute with Manhattan developer Larry Silverstein over whether the 2001 terrorist attack on the World Trade Center constituted two events. At the hearing, Mr. Kurzweil argued that the district court erred, in part, by allowing Jeff McKinley to testify as an expert witness in one phase of their dispute over insurance coverage for the complex. He commented further that lawyers for Silverstein failed to make a case for the terrorist attack being two separate events, saying they did it "solely and exclusively through McKinley.
