Kennedy Covington\'s Research Triangle Park Office Expanding To New Location
Firm Continues Steady Growth in the Raleigh and Research Triangle Park Region

RALEIGH, N.C. - Kennedy Covington, one of the largest full service law firms in the Carolinas, announced today that it is moving its Research Triangle Park offices to Keystone Park in early May. The move will provide the firm with additional space in order to accommodate its growing regional client base.

Kennedy Covington, which was recently recognized by the National Law Journal as one of the ""Top Ten"" fastest growing law firms in the country, is the third largest law firm in North Carolina and continues to increase its presence in Raleigh, Durham and Research Triangle Park. The firm recently moved its Raleigh practice into larger offices in North Hills.

""With our continued expansion, our RTP office move to Keystone Park will enable us to better meet the needs of our clients in the Southeast and across the country,"" said Kent Christison, partner-in-charge of Kennedy Covington's Triangle offices in Raleigh and Research Triangle Park. ""We're very excited about our new space and look forward to a smooth transition to Keystone Park.""

Kennedy Covington's new RTP office address will be 430 Davis Drive at Keystone Park in Durham, North Carolina. Centrally located, the Keystone Park location provides easy access to Research Triangle Park, Cary, RDU International Airport, Raleigh, Durham and Chapel Hill. In addition, the 32,000 square foot office space on the 4th floor of Keystone's five-story office building will provide the firm with ample parking, state-of-the-art conference facilities and numerous other amenities.

""Keystone is proud to have Kennedy Covington select Keystone Park for its Durham/RTP location,"" said J. Patrick Gavaghan, president of Keystone Corporation. ""Kennedy Covington is one of North Carolina's largest and most prestigious law firms and their new location will put them right in the epicenter of Research Triangle Park and all of the economic growth occurring there. It is a very strategic location and will give them excellent proximity to their clients.

Schroeder Quoted in Yahoo! News
Jones Walker attorney Rick Schroeder was quoted in the February 20 Reuter's article on Yahoo! News, “New Orleans courts face Mardi Gras amid crisis.” Schroeder was appointed as an advisor by Judge Calvin Johnson in an investigation into the failure of the New Orleans criminal court system to obtain lawyers for thousands of indigent city-jail inmates now dispersed across Louisiana due to Hurricane Katrina. “It’s an unimaginable situation where the court has to face the total collapse of resources,” Schroeder is quoted as saying. “The sheer passage of time—more than six months—would suggest that evidence is being lost.” According to the article, there are more than 4,000 pending cases, with at least 3,000 inmates lacking a lawyer.

Lewis McHenry Quoted in Law Firm Inc. Magazine
New Orleans partner Lewis McHenry was quoted in the Jan/Feb 2006 Volume of Law Firm Inc. The article is titled “A Long-term Commitment,” and examines the topic of relationships between a law firm and its landlord. McHenry was quoted on the effects of Hurricane Katrina: “Nobody has been through what we’ve been through . . . Our courts are still generally closed, so we are all operating off our own interpretation of the law—the general consensus as to how large commercial leases should be handled . . .With Katrina, that didn’t simply mean the mayor lifting the order to stay away. . .It meant that you had potable water in the building, and adequate water pressure, which we didn’t have for a long time.

Securities Partner Horace Nash Selected as 2005 Dealmaker of the Year by American Lawyer Magazine
March 8, 2005 (Mountain View and San Francisco, CA) – Horace Nash, Chair of the Fenwick & West Securities Group, was selected by American Lawyer Media as a ""Dealmaker of the Year"" for 2005. The honor is reserved for 12 U.S. attorneys who handled ground-breaking or industry-changing deals. Mr. Nash’s leadership on the conversion of Diamond Walnut Growers, Inc. and the July 2005 initial public offering by Diamond Foods, Inc. was both.

Mr. Nash represented Stockton-based Diamond Foods in an offering that raised over $115 million for the company and its grower members. But the path to Diamond’s successful IPO was an unusual one, requiring special creativity to enable the 90-year old agricultural cooperative association to convert into a stockholder-owned corporation for the IPO, through a merger approved on the vote of the cooperative’s grower-members.

""Diamond’s vision was to implement a conversion and IPO so that the company could continue to grow and tap new sources of capital. The key was to obtain member approval of a major structural change, which involved a registered public offering to the 1,700 grower-members, and unique securities regulation problems,"" stated Mr. Nash. ""One major challenge was to convey clearly to the membership that they would retain their ability to sell walnuts to the company, gain a liquid ownership position in the form of common stock, and still retain control of the organization. Doing that while also describing the complexities of the conversion, and the risks, was quite a challenge. The SEC had only seen one other transaction similar to this one, so we were breaking new ground.""

Horace Nash has handled dozens of security offerings over the past 20 years, and advises public and private companies on corporate governance, securities and acquisition matters.
