Orrick Advises iVillage on $600 Million Acquisition by NBC Universal
Orrick, Herrington & Sutcliffe LLP serves as counsel to iVillage in its $600 million acquisition by NBC Universal. An agreement between iVillage, a top-ranked Web site aimed at women, and NBC Universal, was signed on March 3. The deal is expected to close in the second quarter.

iVillage has become a successful Web site, drawing 14.5 million unique visitors in January. The site features content from several women's magazines and offers insight on fashion, love and diet tips, parenting topics, celebrity gossip and career advice. Orrick has been a legal adviser to iVillage since 1998.

According to a joint press release, ""iVillage immediately gives [NBC Universal] scale and a profitable, established platform to expand [its] digital efforts, especially in the rapidly growing areas of health and women's interests.""

The Wall Street Journal reported that the deal highlights an effort by big media conglomerates to expand their presence on the Web as ad sales in traditional media like television, newspapers and magazines slows. Internet advertising is estimated to have grown 30 percent to $12.5 billion in 2005. Although it remains a small piece of the overall advertising market, Internet advertising is growing at a much faster pace than traditional media.

The transaction involved Orrick lawyers from offices in San Francisco, Seattle, New York and Washington, D.C. Led by San Francisco mergers and acquisitions partner Richard Vernon Smith, the team included from the corporate group, partner Brad Breen, of counsels Elizabeth Lefever, Vincent Ricci and Pat Zeigler, and associates Scott Porter and Amanda Reed; from the global finance group, associate Mache Mouzakis; from the tax group, partner Grady Bolding; from the compensation & benefits group, partner Jim Telfer, of counsel Gregory Schick and associate Juliano Banuelos, and from the antitrust group, partner Garret Rasmussen.

Working on the transaction from iVillage were Jeremy Wolk, deputy general counsel and Laura O'Daly, vice president of legal affairs.
